Examples of Xxxxxxx Provided Services in a sentence

  • Subject to the terms and conditions of this Agreement, Veralto shall provide (or cause to be provided) to the Xxxxxxx Group all of the services listed in Schedule 2.01-2 attached hereto (as such Schedule may be amended pursuant to Section 2.04, the “Veralto Provided Services,” and collectively with the Xxxxxxx Provided Services and any Additional Services, the “Services”).

  • All of the Xxxxxxx Provided Services and Xxxxxxx Provided Facilities shall be for the sole use and benefit of Veralto Group, and all of the Veralto Provided Services and Veralto Provided Facilities shall be for the sole use and benefit of the Xxxxxxx Group; provided that nothing in this Section 2.06 is intended to limit a Provider’s access to or use of its own Facilities except as may be set forth in the applicable Schedule 2.02.

  • Subject to Section 3.4, the compensation for the Xxxxxxx Provided Services for the duration of the term shall be as described for each individual service as set forth on Schedule B plus applicable sales or value-added taxes, if any.

  • Subject to Section 3.5, the compensation for the Xxxxxxx Provided Services for the duration of the Term shall be as described for each individual service provided by the Xxxxxxx Business as set forth on Schedule B.

  • All of the Xxxxxxx Provided Services and Xxxxxxx Provided Facilities shall be for the sole use and benefit of Fortive Group, and all of the Fortive Provided Services and Fortive Provided Facilities shall be for the sole use and benefit of the Xxxxxxx Group.

  • Extended services means ongoing support services provided to individuals with the most significant disabilities, including youth with the most significant disabilities, after the time-limited vocational rehabilitation services have been completed and job stabilization has been achieved. They consist of specific services, including natural supports, needed to maintain the supported employment placement. Extended services are paid from funding sources other than DRS and are specifically identified in the IPE, except that DRS may provide and pay for extended services for youth with the most significant disabilities for a period not to exceed 4 years or extend beyond the date when the youth reaches age 25.

  • Excluded Services has the meaning set forth in Section 2.1(a).

  • Support Services the support services, as described in the Support Services Description, that We provide to You in respect of the Cloud Service.

  • Value Added Services means products, equipment, hardware, Software, or services the Agency procures through Vendor or Vendor Contractors, directly or indirectly, hereunder, including goods or services:

  • Distribution Services means services related to the distribution of electricity and the services the Board has required distributors to carry out, for which a charge or rate has been approved by the Board under section 78 of the Act.

  • Hosting Services means the provision, administration, and maintenance of servers and related equipment, the provision of bandwidth at the hosting facility, and the operation of the Application for access by Customer Users to be provided by the relevant hosting service provider.

  • Hosted Services means the hosting, management and operation of the computing hardware, ancillary equipment, Software, firmware, data, other services (including support services), and related resources for remote electronic access and use by the State and its Authorized Users, including any services and facilities related to disaster recovery obligations.

  • Technical Support Services means the technical support and maintenance Services provided by us according to our then-current technical support policy and procedure listed at xxxxxxxxxxxxx.xxx (“Technical Support Policy”) when the Services are purchased.

  • Maintenance and Support Services means the services provided by Contractor under Appendix F.

  • Processing Services means those services, which are necessary to issue a Card and process a transaction in accordance with Government Requirements and the Rules of any System and Regulatory Authority. Such services shall include but not be limited to: set-up and maintenance of the Card and Cardholder Funds, transaction authorization, processing, clearing and Settlement, System access, Cardholder dispute resolution, System compliance, regulatory compliance, security and fraud control, and activity reporting.

  • Manufacturing Services means the manufacturing, quality control, quality assurance, stability testing, packaging, and related services, set forth in this Agreement, required to manufacture Product or Products from Active Materials and Components;

  • Urgently Needed Services means Covered Services needed to prevent a serious deterioration in a Member’s health. While not as immediate as Emergency Services, these services cannot be delayed until the Member can see a Plan Provider.

  • Maintenance Services means SAP’s then-current maintenance and/or support services offered under and described in detail in the applicable SAP PartnerEdge Model.

  • Regulatory Services Provider means the organization which provides regulatory services to BSEF pursuant to a Regulatory Services Agreement.

  • Monthly Service Fees means the monthly (or 1/12 of the annual fee) subscription fees paid for the affected Cloud Service which did not meet the SA SLA.

  • Transportation Services means travel assistance given to an individual

  • Passenger Services means the Franchisee's railway passenger services as specified in any Timetable and/or Plan of the Day including those railway passenger services which the Franchisee may delegate or subcontract or otherwise secure through any other person from time to time in accordance with the Franchise Agreement;
