Force Majeure Events Cláusulas Exemplificativas
Force Majeure Events. (a) Service Provider shall not be responsible for unavailability or interruptions of Platform due to a Force Majeure Event. For purposes of this Agreement, a “Force Majeure Event” shall mean:
(i) delays or unavailability resulting from the acts or omissions of Customer, its contractors, subcontractors, or other persons for whom Customer may be liable;
(ii) delays or unavailability resulting from the acts or omissions of Shippers, Carriers, or other Users; Security classification: Confidential 8
(iii) acts of God, fires, explosions, casualties, floods, earthquakes, tornadoes, severe weather, natural disasters, epidemics, pandemics or quarantine restrictions, civil disturbances, war, acts of terrorism, riots, sabotage, accidents, restraints or injunctions issued by a court or other governmental entity, governmental acts or omissions, strikes or labor disputes;
(iv) the occurrence of an amendment, modification or enactment after the date of this Agreement of any law, statute, ordinance, code, order, rule or regulation of any governmental authority which in Service Provider’s reasonable discretion adversely affects Service Provider’s performance hereunder; or
(v) the occurrence of any other events or matters which are beyond the control of Service Provider.
(b) Upon the occurrence of a Force Majeure Event, Service Provider shall, at its option,
(i) notify Customer of the occurrence of Force Majeure Event and resume provision of Platform when feasible, as determined by
(ii) terminate this Agreement without incurring any penalty and without including any liability to Customer whatsoever.
(c) Notwithstanding anything contained herein, should Force Majeure Event last for more than 1 month, Customer shall be entitled to terminate this Agreement and Service Provider shall have no further liability to Customer in such event.
(d) If any Force Majeure Event is caused by Customer or any of its representatives, Customer shall reimburse Service Provider for any additional costs arising from such delay.
