123RF’s obligations. During the Term, 123RF shall, at its own costs and expenses, be responsible for the followings: To pay the Fund in accordance with the agreed Payment Milestones as stated in Clause 4.2 herein; To participate in various meetings in relation to any matters relating to this Agreement as may be requested by MMU from time to time; To provide all assistance and supports to MMU for all matters as may be reasonable contemplated in this Agreement; and To respond in a timely manner all communications from MMU. RESEARCH FUND 123RF agrees to provide Ringgit Malaysia Seventy-Two Thousand (RM 72,000.00) only, (hereinafter referred to as “Fund”) to MMU to fund the research and development works based on the Agreed Scope of Works, pursuant to this Agreement. During the Term, the Fund shall be payable by 123RF to MMU via yearly equal instalments in accordance to the following manner: 1st Instalment - Ringgit Malaysia Thirty-Six Thousand (RM 36,000.00) only payable within sixty (60) days from the Effective Date; and 2nd Instalment - Ringgit Malaysia Thirty-Six Thousand (RM 36,000.00) only payable within sixty (60) days upon the first anniversary of the Term. The above payment obligations (hereinafter referred to as the “Payment Milestones” as set forth in Schedule B of this Agreement) are conditional upon: (i) the acceptance of Deliverables by 123RF based on the Agreed Scope of Works performed by MMU through its Researcher at 123RF’s satisfaction; and (ii) MMU’s performance of its obligations under this Agreement. If any amount due to be paid by 123RF to MMU pursuant to this Agreement is unpaid, MMU shall send a notice of reminder to 123RF and a period of fourteen (14) days shall be given for 123RF to make the necessary payment. If 123RF fails to pay on or after the fourteen (14) days of the notice of reminder, 123RF agrees that it shall pay interest on the unpaid amount, from the due date for payment, until payment is made, at the rate of 3 % per annum calculated on daily basis. MMU shall provide an invoice to 123RF for each instalment of the Fund referred to in Clause 4.2 above and the payment of the Fund shall be made by 123RF to the designated bank account as notified by MMU or as stated in the invoice (where applicable).
