A/E’s Records Sample Clauses

A/E’s Records. Upon request, the A/E shall provide the Owner with access to its records for inspection, audit, and reproduction and with an accounting of any Services of the A/E or of any of its consultants of any tier. The accounting of Services shall detail the Services performed, the amounts paid to a consultant (supported by copies of all paid invoices), and such other information as the Owner may reasonably request. The Owner shall in no event be obligated to make any payment to any consultant, and the Owner is not obligated to reimburse the A/E for such payments if the amount thereof has been taken into account in determining the Compensation payable to the A/E under this Agreement. If the Owner makes any such payment which the A/E was obligated to make, the A/E shall reimburse the Owner upon demand for the same, together with all related costs and expenses incurred by the Owner. Claims: If the A/E believes that it is entitled to any additional compensation beyond the Maximum Compensation, such as payments for which the A/E considers to be Additional Services, the A/E shall notify the Owner in writing of such claims for compensation as provided in Section 3.2. Failure of the A/E to provide such written notification to the Owner shall constitute a waiver of the A/E’s rights to seek additional compensation. In no event shall the A/E have the right to seek such additional compensation from the Owner unless such claims are attached to the A/E’s invoice which seeks payment for the final amounts of compensation identified in Section 12.1. Such invoice shall also include any final requests for Reimbursable Expenses.

  • Client Records 26.2.1 CONTRACTOR shall prepare and maintain accurate and complete records of clients served and dates and type of services provided under the terms of this Contract in a form acceptable to ADMINISTRATOR.

  • Transit Records 7.6.1 CenturyLink and CLEC will exchange wireline network usage data originated by a wireline Local Exchange Carrier (LEC) where the NXX resides in a wireline LEC Switch, transits CenturyLink's network, and terminates to CLEC's network when Technically Feasible and commercially reasonable. Each Party agrees to provide to the other this wireline network usage data when CenturyLink or CLEC acts as a transit provider currently or in the future. The Parties understand that this information is Carrier protected information under Section 222 of the Telecommunications Act and shall be used solely for the purposes of Billing the wireline LEC. CLEC will provide to CenturyLink information to enable CenturyLink to provide transit records on a mechanized basis when Technically Feasible. This includes, but is not limited to: service center information, operating company number, and state jurisdiction. CenturyLink and CLEC agree to exchange wireline network usage data as Category 11-01-XX.

  • Business Records Keep, and cause each Subsidiary to keep, adequate records and books of account with respect to its business activities in which proper entries are made in accordance with GAAP reflecting all its financial transactions.

  • J4 Records The Contractor and any Sub-contractors appointed by it shall maintain the records referred to in clause E9.1 and such other documents as the Authority may reasonably require throughout the period of this Contract; and the Contractor and any Sub-contractors appointed by it shall maintain such records and documents until at least 31 December 2022.

  • Project Records ‌ As further described below, Project records include but are not limited to Grantee, financial, and voucher records. All Project records must be retained for a period of three (3) years after final payment under this Grant. All Project records are subject to audit pursuant to Section P of this Grant Agreement. Upon completion of the third year of record retention, the Grantee shall submit all Project records to CARB. Hardcopy of electronic records are suitable. Acceptable forms of electronic media include hard drives, CDs, DVDs, and flash drives. Other forms of electronic media may be allowed based on prior written concurrence from CARB.

  • MARC Records When applicable to the Licensed Materials, at Licensee’s request, Licensor shall provide full OCLC-quality batched sets of MARC records incorporating Licensee specifications at no additional cost by the date of the execution of this License Agreement. Updates to existing records and new title records, matching the schedule of release and delivery of new publications, will be provided on a mutually agreed-upon schedule and in a format that renders them useful to the Licensee and/or the Participating Institutions.

  • Contractor’s Records The Contractor shall keep true and accurate accounts, records, books and data which shall correctly reflect the business transacted by the Contractor in accordance with generally accepted accounting principles. These records shall be stored in Orange County for a period of three (3) years after final payment is received from the County. Storage of records in another county will require written approval from the County of Orange assigned Deputy Purchasing Agent.

  • Time Records (1) Every employer shall provide, to the satisfaction of the Regional Chamber, a semi- automatic time recording clock or other recording system and shall establish beyond reasonable doubt the actual time each individual employee has attended at the establishment.

  • BOOKS, RECORDS, AND REPORTS 6 19. The Contractor shall establish and maintain accounts and other books and records 7 pertaining to administration of the terms and conditions of this Settlement Contract, including: 8 the Contractor's financial transactions, water supply data, and Project land and right-of-way 9 agreements; the water users' land-use (crop census), land ownership, land-leasing and water use 10 data; and other matters that the Contracting Officer may require. Reports thereon shall be 11 furnished to the Contracting Officer in such form and on such date or dates as the Contracting 12 Officer may require. Subject to applicable Federal laws and regulations, each party to this 13 Settlement Contract shall have the right during office hours to examine and make copies of each 14 other’s books and official records relating to matters covered by this Settlement Contract.

  • Files and Records A. An employee will have the right to review the contents of files concerning the employee, excluding initial references of the district pertaining to said employee or other items statutorily exempt from disclosure originating after initial employment, and to have a representative of the Association accompany him/her in such a review.
