Access to Records and Information; Personnel; Customers. (a) Between the Signature Date and the Closing Date, Seller shall afford to Buyer and its authorized agents and representatives access, during normal business hours, to the operations, books, records, contracts, documents and other information of or relating to the Deposits and Assets to be transferred to Buyer as contemplated herein, and shall provide Buyer a true copy of the form of all contracts, agreements, and other documents governing or specifying the terms of the relationship between Seller and its customers at the Branch. Reasonable notice for access shall be given to Seller by Buyer. The date and time of such access will then be mutually agreed upon by both Parties. Seller shall cause its personnel to provide assistance to Buyer in Buyer's investigation of matters relating to such Deposits, Account Loan, Assets and Safe Deposit Boxes; provided, however, that Buyer's investigation shall be conducted in a manner which does not unreasonably interfere with Seller's normal operations, customers and employee relations; and provided further, that Buyer and its authorized agents and representatives shall be afforded physical access to the Branch over the weekend immediately prior to the Closing Date.

Access to Records and Information; Personnel; Customers. Between the date of this Agreement and the Closing Date, and subject to Section 7.6 hereof, Seller shall: (i) afford to Buyer and its authorized agents and representatives full access, upon prior notice, during normal business hours, to the properties, operations, books, Records, contracts, documents and other information of, or relating to, the Deposit Liabilities, the Loans, the Deposit-Related Loans, the Fixed Assets, the Segregated Fixed Assets and the Branches. Seller shall cause its personnel to provide assistance to Buyer in Buyer’s investigation of matters relating to the Deposit Liabilities, the Loans, the Deposit-Related Loans, the Fixed Assets, the Segregated Fixed Assets and the Branches; provided, however, that Buyer’s investigations shall be conducted in a manner which does not unreasonably interfere with Seller’s normal operations, customers and employee relations.

The officers of Seller shall furnish Buyer with such additional financial and operating data and other information relating to the assets, properties and business of Seller as Buyer shall from time to time reasonably request. Seller shall consent, upon reasonable advance notice, to the review by the officers and authorized representatives of Buyer of the reports and working papers of Seller's independent auditors (upon reasonable advance notice to such auditors).
Access to Records and Information; Personnel; Customers. (a) Upon reasonable advance notice by Buyer to the Chief Executive Officer or Chief Financial Officer of Seller, Seller shall afford to the officers and authorized representatives of Buyer full access during regular business hours to the office, properties, books, contracts, commitments and records of Seller in order that Buyer may have full opportunity to make such investigations as it shall desire of the Deposits, Assets, Liabilities and the operations of the Seller’s locations; provided, however, that Seller shall not be required to take any action that would provide access to or to disclose information where such access or disclosure would violate or prejudice the rights or business interests or confidences of any customer or would result in the waiver by Seller of the privilege protecting communications between it and any of its counsel, or which would violate banking laws and regulations; provided, further, that such access and investigations shall not interfere with the normal business activities and operation of the Seller’s locations. The officers of Seller shall furnish Buyer with such additional financial and operating data and other information relating to the assets, properties and business of Seller as Buyer shall from time to time reasonably request in accordance with this Section 7.04(a). Seller shall consent, upon reasonable advance notice, to the review by the officers and authorized representatives of Buyer of the reports and working papers of Seller’s independent auditors (upon reasonable advance notice to such auditors).

If such books, records, contracts, documents or other information is not located at the Branch Offices, SELLER, upon the BANK'S request, will make the same (or copies thereof) available at the Branch Offices to the extent it is reasonably practicable to do so. SELLER shall cause its personnel to provide assistance in the BANK'S investigation of matters relating to the Branch Offices; provided, however, that the BANK'S investigation shall be conducted in a manner which does not unreasonably interfere with SELLER'S normal operations, customers and employee relations and provided further that the right of access and examination granted hereby is subject to the requirements of financial privacy laws or similar laws relating to account holders and other records.

Seller shall cause its personnel to provide assistance to Buyer in Buyer's investigation of matters relating to the Target Deposits and Branch Office; provided, however, that Buyer's investigations shall be conducted in a manner which does not unreasonably interfere with Seller's normal operations, customers and employee relations.

The officers of Seller shall furnish Buyer with such additional financial and operating data and other information relating to the assets, properties and business of Seller as Buyer shall from time to time reasonably request. Nothing in this Section 7.03 shall be deemed to require Seller to disclose information it cannot lawfully disclose or to breach any obligation of confidentiality or to reveal any proprietary information, trade secrets or marketing, business or strategic plans not related to the transactions contemplated by this Agreement.
