Other Records. Each Participating TO shall provide to the CAISO and maintain current data, records, and drawings describing the physical and electrical properties of the facilities under the CAISO's Operational Control, which records shall be shared with the CAISO under reasonable guidelines and procedures to be specified by the CAISO.
Other Records. The Trustee shall maintain such other records and books as to enable it to carry out the terms and provisions of this Agreement.
Other Records. The accounting books and records, minutes of proceedings of the Members and the Board of Managers and any committees or delegates of the Board of Managers and all other information pertaining to the Company that is required to be made available to the Members under the Delaware Act shall be kept at such place or places designated by the Board of Managers or in the absence of such designation, at the principal place of business of the Company. The minutes shall be kept in written form and the accounting books and records and other information shall be kept either in written form or in any other form capable of being converted into written form. The books of account and records of the Company shall be maintained in accordance with generally accepted accounting principles consistently applied during the term of the Company, wherein all transactions, matters and things relating to the business and properties of the Company shall be currently entered, subject to such reasonable standards (including standards, governing what information and documents are to be furnished and at whose expense) as may be established by the Board of Managers from time to time; and minutes, accounting books and records and other information shall be open to inspection upon the written demand of any Member at any reasonable time during usual business hours for purposes reasonably related to the Member's interests as a Member. Any such inspection may be made in person or by an agent or attorney and shall include the right to copy and make extracts. Notwithstanding the foregoing, the Board of Managers shall have the right to keep confidential from Members for such period of time as the Board of Managers deems reasonable any information which the Board of Managers reasonably believes to be in the nature of trade secrets or other information the disclosure of which the Board of Managers in good faith believes is not in the best interests of the Company or could damage the Company or its business or which the Company is required by law or by agreement with a third party to keep confidential.
Other Records. (A) The Generator must prepare and maintain, for the life of each relevant item of Facility Metering Equipment, including each Meter and Measurement Transformer, complete, up-to-date and accurate records as required by the CfD Counterparty from time to time.
(B) Such records must include details of the following (including relevant dates and time periods, where applicable):
(i) Facility name;
(ii) Facility address;
(iii) Generator Unique Reference Number;
(iv) Meter Serial Number;
(v) name of commissioning body (even if the Generator is the commissioning body);
(vi) date of commissioning;
(vii) name of persons responsible for organising and undertaking commissioning;
(viii) reason for commissioning;
(ix) Key Meter Technical Details (including any certificate identity);
(x) current transformers details (including any certificate identity);
(xi) voltage transformers details (including any certificate identity);
(xii) circuit name (where more than one);
(xiii) calibration results (including individual test errors for each Meter); and
(xiv) results of inspections, tests and observations.
Other Records. The Company shall maintain records at the principal office of the Company or such other place as the Member may determine which shall include the following:
(a) the Capital Account of the Member and the Membership Interest of the Member;
(b) a current list of the full name and last known business or mailing address of the Member;
(c) a copy of the Certificate of the Company and all amendments thereto; and
(d) copies of the Company's currently effective written operating agreement, copies of any writings permitted or required with respect to the Member's obligation to contribute cash, property or services to the Company, and copies of any financial statements of the Company for the three most recent fiscal years.
Other Records. (a) The Partnership shall maintain at its principal place of business the following:
(i) A current list of the full names and last known business address of each Partner;
(ii) A copy of the Certificate of Limited Partnership, all amendments thereto, and executed copies of any powers of attorney pursuant to which the same have been executed;
(iii) A copy of this Agreement, all amendments thereto, and executed copies of any written powers of attorney pursuant to which the same have been executed;
(iv) Copies of any federal, state, and local income tax returns and reports of the Partnership for the three most recent years; and
(v) Copies of any financial statements of the Partnership for the three most recent years.
(b) Except as otherwise set forth herein, each Partner shall have the right, exercisable upon written demand, to examine the items described in Section 11.2(a) during ordinary business hours and for any purpose reasonably related to the Partner's Interest in the Partnership (which purpose must be stated in the written demand), and shall have the right, at its own expense, to make copies of all such items.
Other Records. Unsubstantiated or unproved allegations of misconduct made against an employee shall not appear in any files of the City and shall not be used in any disciplinary action, and shall not be voluntarily shared outside the Division of Police.
Other Records. In addition to the foregoing, the Cooperative shall keep at its Principal Office the following information:
(a) true and full information regarding the status of the Cooperative’s business and the financial condition of the Cooperative, including, but not limited to, annual audited financial statements; and
(b) true and full information regarding the amount of cash and a description and statement of the agreed value of any other property or services contributed by each Member and of which each Member has agreed to contribute in the future, Percentage Interests, Capital Accounts, and the date on which each Member became a Member.
Other Records. COMPANION agrees to maintain all required books of account and related financial records on behalf of UNDERWRITER. All such books of account and records shall be maintained and preserved pursuant to 1934 Act Rules 17a-3 and 17a-4 (or the corresponding provisions of any future federal securities laws or regulations). All such books and records shall be maintained by COMPANION on behalf of and as agent for UNDERWRITER whose property they are and shall remain for all purposes and shall at all times be subject to reasonable periodic, special or other examination by the SEC and all other regulatory bodies having jurisdiction. COMPANION also agrees to send to UNDERWRITER's customers all required confirmations of customer transactions.
Other Records. The Company shall maintain records at the principal place of business of the Company or such other place as the Directors may determine, which shall include the following:
(a) financial reports of the Company, if any, for the most recent Fiscal Year;
(b) a current list of the name and last known business, residence or mailing address of each Member;
(c) copies of the Company’s federal, state and local income tax returns and reports, if any, for the three most recent years;
(d) a copy of the Certificate of Formation and all amendments thereto;
(e) a copy of this Limited Liability Company Agreement and all amendments hereto;
(f) copies of any written information with respect to the amount of cash and a description of the agreed value of any property or services contributed by each Member and which each Member has agreed to contribute in the future and the date such Member became a Member;
(g) minutes of every meeting of the Board of Directors and the Members;
(h) any written consents obtained from Directors or Members for actions taken by the Board or by Members without a meeting; and
(i) a copy of the Company’s most recent annual report delivered to the Delaware Secretary of State and delivered to the Secretary of State in such other states where the Company is required to file an annual report from time to time.
