Accounting/Records/Audits. Grantee shall maintain complete and accurate records of its actual Project costs, in accordance with generally accepted accounting principles and practices, and shall retain said records for at least three years after final disbursement by Grantor. During such time, Grantee shall make said records available (or cause them to be made available) to the State of California for inspection and audit purposes during normal business hours. Expenditures not documented, and expenditures not allowed under this Agreement or otherwise authorized in writing by Grantor shall be borne by Grantee. The audit shall be confined to those matters connected with this Agreement, including but not limited to administration and overhead costs.

Accounting/Records/Audits. With respect to Permittee’s operations within the scope of this Agreement, Permittee shall keep true and accurate records, accounts, books and data, which shall, among other things, show all passenger pick-ups and drop-offs made and services performed for cash, or credit, or otherwise, without regard to whether paid or not, and also, the gross receipts of said operation under this Agreement. Permittee agrees to operate its business so that a record of each passenger pick-up and drop-off is made for Airport operations. Permittee further agrees to keep its books and records in accordance with generally accepted accounting principles. All Permittee’s books in relation to the operations at the Airport shall be open for inspection by authorized representatives of the Authority at reasonable times during business hours, upon request. Permittee shall maintain such records for three (3) years after the end of the term of this Agreement.
Accounting/Records/Audits. All payments and other amounts under this Agreement shall be accounted for in accordance with the International Financial Reporting Standards (“IFRS”) accounting principles for GSK or U.S. Generally Accepted Accounting Principles (“GAAP”) accounting principles for Impax, in each case applied on a consistent basis. GSK and its Affiliates and sublicensees will maintain complete and accurate records in sufficient detail to permit Impax to confirm the accuracy of the calculation of royalty payments and the achievement of milestone events. Upon reasonable prior notice of at least sixty (60) days, such records shall be available during regular business hours for a period of three (3) years from the end of the calendar year to which they pertain for examination, and not more often than once each calendar year, by an independent certified public accountant selected by Impax and reasonably acceptable to GSK, for the sole purpose of verifying the accuracy of the financial reports furnished by GSK pursuant to this Agreement. Any such auditor shall not disclose GSK’s Confidential Information, except to the extent such disclosure is necessary to verify the accuracy of the financial reports furnished by GSK or the amount of payments due by GSK to Impax under this Agreement. Any amounts shown to be owed but unpaid shall be paid within sixty (60) days from the accountant’s report, plus interest (as set forth in Section 7.7) from the original due date. Impax shall bear the full cost of such audit unless such audit discloses an underpayment by the GSK of more than five percent (5%) of the amount due, in which case GSK shall bear the full cost of such audit.
Accounting/Records/Audits. Contractor shall keep and maintain complete and accurate records, books of account, records and other data necessary for the proper administration of this Agreement on a generally recognized accounting basis. Contractor shall keep and maintain such documentation for [*] years after the expiration, cancellation or termination of this Agreement. PM shall have the right to have an outside auditor review Contractor's books and records relating to (a) the amount of PM tobacco received by Contractor and (b) the amount of PM Strip and OTM packed by Contractor. Contractor shall provide PM's auditor sufficient information and opportunity to audit and inspect such records as will allow the auditor to verify any information submitted to PM by the Contractor as a basis for payment hereunder. Such auditor shall be entitled to share the results of its audit or inspection with PM, but in doing so shall not be authorized to share with PM any information concerning Contractor's costs or profit margins related to any service provided to PM hereunder. PM shall pay for any such audit or inspection; provided, however that Contractor shall provide offices and related services to support the audit or inspection.

  • Books and Records; Audits Licensee shall prepare and maintain, in such manner as will allow its accountants to audit same in accordance with generally accepted accounting principles, complete and accurate books of account and records (specifically including without limitation the originals or copies of documents supporting entries in the books of account) in which accurate entries will be made covering all transactions, including advertising expenditures, arising out of or relating to this Agreement. Licensee shall keep separate general ledger accounts for such matters that do not include matters or sales related to this Agreement. Licensor and its duly authorized representatives shall have the right, for the duration of this Agreement and for one (1) year thereafter, during regular business hours and upon seven (7) business days advance notice (unless a shorter period is appropriate in the circumstances), to audit said books of account and records and examine all other documents and material in the possession or under the control of Licensee with respect to the subject matter and the terms of this Agreement, including, without limitation, invoices, credits and shipping documents, and to make copies of any and all of the above. All such books of account, records, documents and materials shall be kept available by Licensee for at least two (2) years after the end of the Annual Period to which they relate. If, as a result of any audit of Licensee's books and records, it is shown that Licensee's payments were less than the amount which should have been paid by an amount equal to *% or more of the payments actually made with respect to sales occurring during the period in question, Licensee shall reimburse Licensor for the cost of such audit and shall make all payments required to be made (along with accrued interest at the rate of *%)) to eliminate any discrepancy revealed by said audit within ten (10) days after Licensor's demand therefore.

If such accounting firm correctly identifies a discrepancy made during such period, the appropriate Party shall pay the other Party the amount of the discrepancy within [***] of the date of delivery of such accounting firm’s written report so correctly concluding, or as otherwise agreed upon by the Parties. The fees charged by such accounting firm shall be paid by the auditing Party, provided that if the underpayment or overcharge exceeds [***], the audited Party shall pay the fees. Upon the expiration of [***] following the end of any Calendar Year, absent willful misconduct or fraud by a Party (its Affiliates, as applicable) the calculation of amounts payable with respect to such Calendar Year shall be binding and conclusive upon the Parties, and the Parties shall be released from any liability or accountability with respect to amounts payable for such Calendar Year. The auditing Party shall treat all financial information subject to review under this Section 8.6(c) in accordance with the confidentiality and non-use provisions of this Agreement, and shall cause its accounting firm to enter into an acceptable confidentiality agreement with the audited Party obligating it to retain all such Confidential Information in confidence pursuant to such confidentiality agreement.

  • Accounting Records and Reports The Trustee will keep or cause to be kept proper books of record and accounts in which complete and correct entries shall be made of all transactions relating to the receipts, disbursements, allocation and application of the Revenues, and such books shall be available for inspection by the Authority at reasonable hours and under reasonable conditions. The Trustee shall provide to the Authority monthly statements covering the funds and accounts held pursuant to the Trust Agreement.   • Records; Audit The Contractor shall maintain during the term of the contract all books of account, reports and records in accordance with generally accepted accounting practices and standards for records directly related to this contract. The Contractor agrees to make available to the City Auditor or the City Auditor’s designee, during normal business hours and in Broward, Miami-Dade or Palm Beach Counties, all books of account, reports, and records relating to this contract.
