Acquisition by Council of Design Documents. 46.1.1 Notwithstanding clause 52.2, if Council terminates this Deed under clause 9 or 45.3 Council may (in its absolute discretion) elect, at any time after the date of termination, to acquire from the Developer (by notice in writing to the Developer) all rights (including licence to use rights), title, interest and all Intellectual Property Rights in the Design Documents and all other Intellectual Property Rights, information and material in connection with the Council Works and the Developer Works (to the extent such rights, title, interest and Intellectual Property Rights have not otherwise vested, accrued or otherwise been granted to Council under clause 52.2) by paying the IP Transfer Sum to the Developer and, in that instance, the Developer must do all things necessary to give effect to that acquisition.

  • Release of Design Plan The Engineer (1) will not release any roadway design plan created or collected under this contract except to its subproviders as necessary to complete the contract; (2) shall include a provision in all subcontracts which acknowledges the State’s ownership of the design plan and prohibits its use for any use other than the project identified in this contract; and (3) is responsible for any improper use of the design plan by its employees, officers, or subproviders, including costs, damages, or other liability resulting from improper use. Neither the Engineer nor any subprovider may charge a fee for the portion of the design plan created by the State.

  • Coordination of Design and Construction Contract Documents 5.5.1 Review model(s), Drawings, Specifications and other Construction Documents as they are developed by A/E during the Schematic Design, Design Development, and Construction Documents design phases of the Project.

  • Schematic Design Documents In accordance with the approved Preliminary Design and Construction Schedule and based upon approval of and comments made by the Owner regarding the Concept Design Studies, the Design Professional shall prepare and submit to the Owner Schematic Design Documents, including drawings and outline specifications. Typically, all such documents shall be drawn to scale, indicating materials and assemblies, as appropriate, to convey the design intent and to illustrate the Project’s basic elements, scale and relationship to the Site. All major pieces of furniture and equipment to be fixed or supplied by the CM/GC shall be illustrated to scale. (See ASTM Standard Practice E 1804-02, August 2007, Sections 6.3, 8.2 and 8.3 for guidance on information which is generally developed in Schematic Design.)
