Additional Compensation; Expenses and Benefits. (a) During the Term, the Company shall reimburse the Executive for all reasonable and necessary business expenses incurred and advanced by the Executive in carrying out the Executive’s duties under this Agreement; provided that such expenses are incurred in accordance with the policies and procedures established by the Company. The Executive shall present to the Company an itemized account of all expenses in such form as may be required by the Company from time to time.
(b) During the Term, the Executive shall be entitled to participate fully in any other benefit plans, programs, policies and fringe benefits which may be made available to the executive officers of the Company and/or Holdings generally, including, without limitation, disability, medical, dental and life insurance and benefits under the Company’s and/or Holdings’ 401(k) savings plan and deferred compensation plan.
(c) During the Term, the Executive shall be eligible to participate in any bonus plans generally offered to executive officers of the Company and/or Holdings. The Executive’s annual bonus (the “Bonus”), if any, shall be determined annually by the CEO, or the Board or the compensation committee of the Board (the “Compensation Committee”). During the Term, the Executive shall have a target bonus of 150% of the Base Salary (the “Target Bonus Opportunity”). Bonus(es) shall be subject to the Executive’s individual performance and satisfaction of objectives established by the CEO or the Board or the Compensation Committee, and further are subject to the exercise of discretion by the CEO and review and approval by the Compensation Committee. Bonus(es), if any, shall be paid in the form of cash and shall be paid by March 15th of the following year.
(d) During the Term, the Executive shall be entitled to accrue vacation under the Company’s policy at a rate of not less than four (4) weeks per year.

During the Term, the Executive shall have a target bonus of 150% of the Base Salary. Bonus(es) shall be subject to the Executive’s individual performance and satisfaction of objectives established by the CEO or the Board or the Compensation Committee, and further are subject to the exercise of discretion by the CEO and review and approval by the Compensation Committee. Bonus(es), if any, shall be paid in the form of cash and shall be paid by March 15th of the following year.
(c) The Company will guarantee the Executive a Bonus of at least $700,000 with respect to the year ending December 31, 2020 unless the Executive’s employment has been terminated by the Company for Cause (as defined below) or by the Executive without Good Reason (as defined below) prior to the payment of annual bonuses by the Company with respect to such year. Such bonus, if any, shall be paid to the Executive when annual bonuses are normally paid to other executive officers of the Company in 2021, but not later than March 15, 2021.

(a) During the Term, the Company shall promptly reimburse the Executive for all reasonable and necessary business expenses incurred and advanced by him in carrying out his duties under this Agreement. The Executive shall present to the Company from time to time an itemized account of such expenses in such form as may be required by the Company from time to time.
(b) During the Term, the Executive shall be entitled to participate fully in any bonus grants, benefit plans, programs, policies and fringe benefits which may be made available to the officers of the Company generally, including, without limitation, medical, dental and life insurance; provided that the Executive shall participate in any stock option or stock purchase or compensation plan currently in effect or subsequently established by the Company to the extent, and only to the extent, authorized by the plan document or by the Board of Directors of the Company (the "Board") or the compensation committee thereof. With respect to any annual bonus program which may be established by the Company, the Board or any committee thereof, the Company agrees that the Executive shall be entitled to annual bonuses, if any, on the same basis as other senior officers of the Company.

Bonus(es) will be subject to the Executive’s individual performance and satisfaction of objectives established by the Board or the compensation committee of the Board (the “Compensation Committee”), and further are subject to the exercise of negative discretion to reduce bonus(es) as determined in the sole discretion of the Compensation Committee. The Executive’s bonus for a year, if any, shall be paid in the form of cash and, unless prohibited by law, will be paid during the following year by March 15th of such following year.

Bonuses may be subject to the Executive’s individual performance and satisfaction of objectives established by the Board or the compensation committee thereof (the “Compensation Committee”). Bonuses may be paid in the form of cash, stock options, restricted stock, restricted stock units or other securities of the Company.

(b) During the Term, the Executive shall be eligible to participate fully in any other benefit plans, programs, policies and fringe benefits which may be made available to the executive officers of the Company and Holdings generally, including, without limitation, disability, medical, dental and life insurance and benefits under the Company’s or Holdings’ 401(k) savings plan and deferred compensation plan.
(c) During the Term, the Executive shall be eligible to participate in any bonus plans generally offered to executive officers of the Company and Holdings. The Executive’s target annual bonus opportunity shall be 150% of the Executive’s Base Salary (the “Bonus”). Bonus(es) will be subject to the Executive’s individual performance and satisfaction of objectives established by the CEOs or the Board or the compensation committee of the Board (the “Compensation Committee”), and further are subject to the exercise of negative discretion to reduce Bonus(es) as determined by the CEOs and as reviewed and approved by the Compensation Committee. Bonus(es), if any, will be paid in the form of cash.
Additional Compensation; Expenses and Benefits. (a) During the Term, the Company shall reimburse the Executive for all reasonable and necessary business expenses incurred and advanced by him in carrying out his duties under this Agreement. In addition, the Company shall reimburse the Executive for the reasonable costs of an apartment in the New York metropolitan area and other incidental living expenses (e.g., phone, cable, electric, gas, and one month’s security deposit (which shall be returned to the Company at the end of the Term)), up to a maximum of $5,000 per month for rent (the “Housing Allowance”). The Company shall also reimburse the Executive for the reasonable costs of coach class air-fare from the Executive’s home in Indianapolis, Indiana, to the Company’s executive offices in New York City (the “Travel Allowance”). The Executive shall also be paid such additional amount as may be necessary to hold the Executive harmless as a result of any federal, state or New York City income taxes imputed to the Executive in respect of the Housing Allowance or the Travel Allowance. The Executive shall present to the Company an itemized account of all expenses in such form as may be required by the Company from time to time. The foregoing reimbursement shall be subject to the Reimbursement Rules.
(b) During the Term, the Executive shall be entitled to participate in any other benefit plans, programs, policies and fringe benefits which may be made available to the executive officers of the Company generally, including, without limitation, disability, medical, dental and life insurance and benefits under the Company’s 401(k) savings plan.
(c) During the Term, the Executive shall be entitled to participate in any bonus plans generally offered to executive officers of the Company. Bonuses may be subject to the Executive’s individual performance and satisfaction of objectives established by the Board or the compensation committee thereof (the “Compensation Committee”). Bonuses may be paid in the form of cash, stock options, restricted stock, restricted stock units or other securities of the Company.

(a) During the Term, the Company shall reimburse the Executive for all reasonable and necessary business expenses incurred and advanced by him in carrying out his duties under this Agreement. In addition, the Company shall reimburse the Executive for the reasonable costs of an apartment in the New York metropolitan area and other incidental living expenses (e.g., phone, cable, electric, gas, one month's security deposit (which shall be returned to the Company at the end of the Term) and one leasing broker's commission), up to a maximum of $4,500 per month for rent. The Company shall also reimburse the Executive for the reasonable costs of coach class air-fare from the Executive's home in Indianapolis, Indiana, to the Company's executive offices in New York City. The Executive shall also be paid such additional amount as may be necessary to hold the Executive harmless as a result of any federal, state or New York City income taxes that may be due solely as a result of the Company's reimbursement of rent and living expenses and reimbursement of air-fare from the Executive's home in Indianapolis, Indiana. The Executive shall present to the Company an itemized account of all expenses in such form as may be required by the Company from time to time.
(b) During the Term, the Executive shall be entitled to participate fully in any other benefit plans, programs, policies and fringe benefits which may be made available to the executive officers of the Company generally, including, without limitation, disability, medical, dental and life insurance and benefits under the Sirius Satellite Radio 401(k)

(a) During the Term, the Company shall promptly reimburse the Executive for all reasonable and necessary business expenses incurred or advanced by him in carrying out his duties under this Agreement. The Executive shall present to the Company from time to time an itemized account of such expenses in such form as may be required by the Company from time to time.
(b) During the Term, the Executive shall be entitled to participate fully in any bonus grants, benefit plans, programs, policies and fringe benefits which may be made available to the officers of the Company generally, including, without limitation, medical, dental and life insurance; provided that the Executive shall participate in any bonus, stock option or stock purchase or compensation plan currently in effect or subsequently established by the Company to the extent, and only to the extent, authorized by the plan document or by the Board of Directors or the compensation committee thereof. With respect to any annual bonus program which may be in effect from time to time, the Company agrees that the Executive shall be entitled to annual bonuses, if any, on the same basis as other senior officers of the Company; provided that the foregoing shall not be interpreted or construed as entitling the Executive to any annual bonus.
(c) The Company agrees that upon expiration or termination of this Agreement, it shall provide the Executive and his spouse medical coverage for the rest of their lives. Such medical coverage will be on the same terms and conditions (including, without limitation, co-payments and deductibles) as the Executive is receiving medical coverage on the date of the termination or expiration of this Agreement.
