Additional Services to be Provided by USBFS. A. If the Trust so elects, by including the service it wishes to receive in its fee schedule, USBFS shall provide the following services that are further described and that may be subject to additional terms and conditions specified in their respective exhibits, as such may be amended from time to time: Internet Access, Fan Web, Vision Mutual Fund Gateway (Exhibit C) The Trust hereby acknowledges that exhibits are an integral part of this Agreement and, to the extent services included in Exhibit C are selected by the Trust, such services shall also be subject to the terms and conditions of this Agreement. To the extent the terms and conditions of this Agreement conflict with the terms and conditions included in Exhibit C, the exhibits shall control. The provisions of Exhibit C, as applicable, shall continue in effect for as long as this Agreement remains in effect, unless sooner terminated pursuant to Section 13 hereof.

To the extent the terms and conditions of this Agreement conflict with the terms and conditions included in Exhibit C and/or Exhibit D, the exhibits shall control. The provisions of Exhibit C and/or Exhibit D, as applicable, shall continue in effect for as long as this Agreement remains in effect, unless sooner terminated pursuant to Section 15 hereof.

The indemnity and defense provisions set forth in Section 8 of the Agreement and in Exhibit C and Exhibit D, if applicable, shall survive for a period of 1 year following the termination and/or assignment of the Agreement.
Additional Services to be Provided by USBFS. The Trust desires USBFS to provide, and USBFS agrees to provide, the services that are listed below (each, a "System"). Each System is described and may be subject to additional terms and conditions specified in its respective exhibit noted below, as such may be amended from time to time: Eagle Portal (Appendix I) The Trust hereby acknowledges that exhibits are an integral part of this Agreement and, to the extent services included in Appendix I are selected by the Trust, such services shall also be subject to the terms of this Agreement. To the extent the terms and conditions of this Agreement conflict with the terms and conditions included in Appendix I, as applicable, the exhibits shall control. The provisions of Appendix I, as applicable, shall continue in effect for as long as this Agreement remains in effect, unless sooner terminated pursuant to Section 6 hereof.

If any GE Party so elects, by including the service it wishes to receive in the fee schedule, USBFS shall provide the following services that are further described and that may be subject to additional terms and conditions specified in their respective exhibits, as such may be amended from time to time: • Internet Access, Fan Web, Vision Mutual Fund Gateway (Exhibit F) Both the GE Parties and USBFS hereby acknowledge that exhibits are an integral part of this Agreement and that such services shall also be subject to the terms and conditions of this Agreement. To the extent the terms and conditions of this Agreement conflict with the terms and conditions included in the above Exhibits, the terms of Exhibits shall control.

If Madison so elects, by including the service it wishes to receive in its fee schedule, USBFS shall provide the following services that are further described and that may be subject to additional terms and conditions specified in their respective exhibits, as such may be amended from time to time: FAN Mail® and FAN Mail Services (Exhibit C) Madison hereby acknowledges that exhibits are an integral part of this Agreement and, to the extent services included in Exhibit C are selected by Madison, such services shall also be subject to the terms and conditions of this Agreement. To the extent the terms and conditions of this Agreement conflict with the terms and conditions included in Exhibit C, the exhibits shall control. The provisions of Exhibit C, as applicable, shall continue in effect for as long as this Agreement remains in effect, unless sooner terminated pursuant to Section 13 hereof.

The Fund hereby acknowledges that exhibits are an integral part of this Agreement and, to the extent services included in Exhibits C and D are selected by the Fund, such services shall also be subject to the terms and conditions of this Agreement. To the extent the terms and conditions of this Agreement conflict with the terms and conditions included in Exhibits C and D, the exhibits shall control. The provisions of Exhibits C and D, as applicable, shall continue in effect for as long as this Agreement remains in effect, unless sooner terminated pursuant to Section 14 hereof.
Additional Services to be Provided by USBFS. If the Trust so elects, by including the additional service it wishes to receive in its Additional Serves fee schedule, USBFS shall provide the additional services only after a separate addendum to this has been executed, which will outline the additional terms and conditions of the additional services.

USBFS shall provide the following service that is further described and may be subject to additional terms and conditions specified in Exhibit E, as may be amended from time to time: MARS System™ (Exhibit E) The Company hereby acknowledges that exhibits are an integral part of this Agreement and, to the extent services included in Exhibit E are selected by the Company, such services shall also be subject to the terms and conditions of the Agreement. The provisions of Exhibit E, as applicable, shall continue in effect for as long as the Agreement remains in effect, unless sooner terminated pursuant to Section 11 hereof. The indemnity and defense provisions set forth in Section 6 of the Agreement and in Exhibit E, if applicable, shall indefinitely survive the termination and/or assignment of the Agreement.
