AGREEMENT DOCUMENTS AND CONTROLLING PROVISIONS. This Agreement consists of this Agreement and Exhibits “A” and “B”. The parties agree to be bound by all the terms and conditions set forth in the aforementioned documents. To the extent that there exists a conflict between the terms and conditions of this Agreement and the Exhibits, the terms and conditions of this Agreement shall prevail. Wherever possible, the provisions of such documents shall be construed in such a manner as to avoid conflicts between provisions of the various documents.
AGREEMENT DOCUMENTS AND CONTROLLING PROVISIONS. This Agreement incorporates by reference the Applicable Laws and the Customer’s Application and supporting documents. To the extent of any conflict between this Agreement and the remaining documents incorporated herein, the Applicable Laws shall control with this Agreement next taking precedence.

This Agreement consists of this Agreement, the RFP (which is incorporated herein by reference as if set forth in full), Exhibit “A” (Scope of Services), and Exhibit “B” (Price Proposal). The parties agree to be bound by all the terms and conditions set forth in the aforementioned documents. To the extent that there exists a conflict between the terms and conditions of this Agreement and the remaining aforementioned documents, the terms and conditions of this Agreement shall prevail. The RFP shall take precedence over the Consultant’s Price Proposal in Exhibit “B”. Wherever possible, the provisions of such documents shall be construed in such a manner as to avoid conflicts between provisions of the various documents.

Wherever possible, the provisions of such documents shall be construed in such a manner as to avoid conflicts between provisions of the various documents.
AGREEMENT DOCUMENTS AND CONTROLLING PROVISIONS. This Agreement consists of this Agreement and the Scopes of Work and Purchase Orders issued in accordance with the terms of this Agreement. The parties agree to be bound by all the terms and conditions set forth in the aforementioned documents. To the extent that there exists a conflict between the terms and conditions of this Agreement and any Scope of Work, the terms and conditions of this Agreement shall prevail. The terms and conditions stated in the Town issued Purchase Order(s) shall not apply. Wherever possible, the provisions of such documents shall be construed in such a manner as to avoid conflicts between provisions of the various documents.

To the extent that there exists a conflict between the terms and conditions of this Agreement, and the rest of the documents, the terms and conditions of the documents shall control in this order: 1. Exhibit C; 2. the Agreement (and any amendments); 3. the RFP; 4. Exhibit A; and 5 Exhibit B. Wherever possible, the provisions of such documents shall be construed in such a manner as to avoid conflicts between provisions of the various documents.
