Scopes of Work. CIPAN shall perform for Paratek certain services related to the development, technology transfer and Manufacturing (including scale-up and validation) of the Products (the “Services”) as set forth in one (1) or more statements of work to be mutually agreed by the Parties and attached as addenda to this Agreement (each, a “Scope of Work”). Each Scope of Work shall be automatically incorporated by reference into and governed by the terms and conditions of this Agreement. A Scope of Work shall include the scope of Services to be provided by CIPAN, any deliverables or milestones in connection with such Services, the fees payable for such Services, the applicable standard of service to be provided and any other relevant terms and conditions not already set forth in this Agreement. In the event of any conflict between this Agreement and any Scope of Work, the terms of this Agreement shall govern unless the Scope of Work explicitly states that its terms and conditions are to supersede this Agreement. The Parties may amend the activities or costs set forth in any Scope of Work by mutual written agreement.

Scopes of Work. Applicants may apply for one or more of the Program Types (except for PRC). Applicants must submit a complete and separate proposal for each proposed Program Type. Applicants applying for a YPI, YPS, or YPU Program Type will be required to submit a complete and separate proposal for each proposed curriculum and age range. The Program Types for this RFA are:
1. Community Coalition Partnerships (CCP)
2. Prevention Resource Centers (PRC)
3. Youth Prevention Indicated (YPI)
4. Youth Prevention Selective (YPS)
5. Youth Prevention Universal (YPU) The Scopes of Work for the five (5) Program Types are as follows:
Scopes of Work. Scopes of Work are outlines of the production process, maintenance, change orders, work requirements, product prices, required development or implementation hours and pricing. All Scopes of Work are delivered for Client approval before production begins. The Parties to this Agreement may adopt multiple Scopes of Work pursuant to this Agreement. The Client’s execution of a Scope of Work demonstrates its assent to the terms and conditions therein the Scope of Work and this Terms and Conditions Agreement.
Scopes of Work. SCI may purchase any of the Services by agreeing a Scope of Work with the Service Provider. The Parties will use reasonable efforts to agree a Scope of Work within the timescales required by the relevant Programme. The Service Provider will provide the Services from the date set out in the Scope of Work in accordance with its terms and the terms of this Agreement. The Parties acknowledge that the Service Provider has not been appointed on an exclusive basis to supply the Services and that SCI may purchase Services from any other third party and/or perform any part of the Services itself. SCI shall have no obligation to purchase a minimum quantity Services during the term and at its sole discretion may determine not to purchase any Services at all. The Service Provider warrants, represents and agrees that: it shall provide the Services in accordance with the terms of this Agreement including the relevant Scope of Work(s); it shall provide the Services in accordance with applicable laws, including the laws of the country(ies) in which the Programme is being or shall be implemented; it shall perform the Services with the best care, skill and diligence in accordance with best practice in the Service Provider’s industry; it shall co-operate with SCI in all matters relating to the Services, and comply with SCI’s instructions; it shall obtain and maintain during the term of this Agreement all necessary licences, consents and/or approvals necessary to provide the Services, including registration and licensing by the relevant regulatory body/ies and comply with all relevant laws in relation to the Services; it shall put in place internal controls and monitoring systems which are in line with the requirements of the relevant local regulatory body/ies to monitor the Services (including “know your customer” checks where required); it shall allocate sufficient and high-quality resources to the Services to enable it to comply with its obligations under this Agreement, including Key Personnel where required by SCI; it shall promptly inform SCI of the absence (or anticipated absence) of, or any changes in, any member of the Key Personnel and not make any changes to Key Personnel without giving SCI prior written notice; it shall fully co-operate with SCI in relation to any tender or re-tender process which may, at the option of SCI, be carried out at any time in relation to the supply of any of the Services; it shall not enter into any contract, make any promises, represen...

Scopes of Work a. Exhibit A, attached hereto and incorporates by reference, contains the General Terms and Conditions governing work to be performed under this contract, the nature of the working relationship between the AGENCY and the CONTRACTOR, and specific obligations of both parties.

Scopes of Work. The details of the Services to be performed by Provider under this Agreement shall be specified in writing on terms and in a form acceptable to the Parties (each, a “Scope of Work”). An approved Scope of Work is attached hereto as Exhibit A-1. Each Scope of Work shall follow the form of Exhibit A-1 and shall include, as appropriate, the scope of the work to be performed, time line, budget, other deliverables, as well as a payment schedule. Each Scope of Work shall be subject to all of the terms and conditions of this Agreement, in addition to the specific details set forth in the Scope of Work. A Scope of Work may be entered into by Alameda Unified or, as applicable, a Alameda Unified Affiliate. For purposes of this Agreement, “Affiliate” shall mean a person or business entity that directly or indirectly controls or is controlled by, or is under common control with, Alameda Unified. The term “control,” including the terms “controlled by” or “under common control with,” means the possession of, directly or indirectly, the capability to control the direction of the management and policies through the ownership of voting securities. Affiliates may become a Party to this Agreement by such Affiliate executing a Scope of Work. Any such Affiliate will be bound to the terms and conditions under this Agreement and shall have the rights and obligations applicable to Alameda Unified under this Agreement for the respective Scope of Work.
