Common use of Appearance as a Witness Clause in Contracts

Appearance as a Witness. Notwithstanding any other provision of this Article VII, the Partnership, at the sole discretion of the General Partner, may pay or reimburse reasonable out-of-pocket expenses incurred by an Indemnitee, employee or agent in connection with his appearance as a witness or other participation in a Proceeding at a time when he is not a named defendant or respondent in the Proceeding.

Notwithstanding any other provision of this Article VIISection 7.11, the Partnership, at the sole discretion of the General Partner, Partnership may pay or reimburse reasonable out-of-pocket expenses incurred by an Indemnitee, employee or agent a General Partner in connection with his such General Partner’s appearance as a witness or other participation in a Proceeding at a time when he such General Partner is not a named defendant or respondent in the Proceeding.
