Assignment and Subletting Procedures. (a) If Tenant delivers to Landlord a Tenant's Offer Notice with respect to any proposed assignment of this Lease or subletting of all of the Premises and Landlord does not timely exercise any of its options under Section 6.02, and Tenant thereafter desires to assign this Lease or sublet the Premises as specified in Tenant's Offer Notice, Tenant shall notify Landlord (a "Transfer Notice") of such desire, which notice shall be accompanied by (i) a statement of the material terms and conditions of the proposed subletting or assignment, as the case may be, the effective date of which shall be at least 30 days after the giving of the Transfer Notice, (ii) a statement setting forth in reasonable detail the identity of the proposed assignee or subtenant, the nature of its business and its proposed use of the Premises, (iii) current financial information with respect to the proposed assignee or subtenant, including, without limitation, its most recent financial statement or other evidence of proposed entity's creditworthiness and (iv) such other information as Landlord may reasonably request (provided such request is made within fifteen (15) days of Landlord's receipt of the Transfer Notice), and Landlord's consent to the proposed assignment or sublease shall not be unreasonably withheld, provided that:

Assignment and Subletting Procedures. (a) If Tenant desires to assign this lease or sublet the Demised Premises, Tenant shall notify Landlord (a “Transfer Notice”) of such desire, which notice shall be accompanied by: (i) a copy of the proposed assignment or sublease and all related agreements, the effective date of which shall be at least 30 days after the giving of the Transfer Notice; (ii) a statement setting forth in reasonable detail the identity of the proposed assignee or subtenant, the nature of its business and its proposed use of the Demised Premises; (iii) current financial information with respect to the proposed assignee or subtenant, including without limitation, its most recent financial statements; and (iv) such other information as Landlord may reasonably request. Assignment and Subletting Procedures. (a) Provided Tenant is not then or thereafter in default in the payment of Basic Rent and/or Additional Charges or is otherwise not in default under this Lease, if Tenant intends to assign this Lease or to sublet the Premises or any part thereof, Tenant shall give Landlord notice of such intent. Tenant's notice shall be accompanied by (i) a certified description of all material terms of the proposed agreement between Tenant and the proposed assignee or subtenant, (ii) a statement setting forth in reasonable detail the identity of the proposed assignee or sublessee, the nature of its business and its proposed use of the Premises and (iii) current financial information with respect to the proposed assignee or subtenant. Tenant shall provide Landlord with any additional information or documents requested by Landlord.
Assignment and Subletting Procedures. (a) If (y) Tenant delivers to Landlord a Tenant’s Offer Notice with respect to any proposed assignment of this Lease or subletting of the Premises (as set forth in Section 5.02(a)), and related to such Tenant’s Offer Notice, (i) Landlord shall have elected not to exercise its right of first offer under Section 5.02, or the twenty (20) Business Day period within which Landlord must exercise its right of first offer under Section 5.02 shall have elapsed; and (ii) Tenant intends to assign this Lease or sublease the Premises or consummate any other transaction prohibited under Section 5.01 (each a “Transfer”), or (z) Tenant intends to assign this Lease or sublease the Premises or consummate any other Transfer with respect to which Landlord’s right of first offer under Section 5.02 shall not be applicable, then in each of such events, Tenant shall send Landlord a notice of such intention (a “Transfer Notice”), which notice shall be accompanied by (i) a copy of the proposed Transfer and all related agreements, the effective date of which shall be at least twenty (20) Business Days after the giving of the Transfer Notice, (ii) a statement setting forth in reasonable detail the identity of the proposed assignee or subtenant or other party to the Transfer, including, without limitation, its most recent financial statement along with a Good Standing Certificate of the entity, if applicable the nature of its business and its proposed use of the Premises, (iii) current financial information with respect to the proposed assignee or subtenant or other party to the Transfer, and (iv) such other information as Landlord may reasonably request. If (I) Landlord does not timely exercise its option under Section 5.02 with respect to Tenant’s Offer Notice relating to such Transfer, or (II) Landlord’s right of first offer under Section 5.02 shall not be applicable, then, in each event, Landlord’s consent to the proposed Transfer shall not be unreasonably withheld, conditioned or delayed provided that:
Assignment and Subletting Procedures. (a) Tenant shall not, without the Landlord's prior written consent, (i) assign, convey, mortgage, pledge, encumber, or otherwise transfer (whether voluntarily, by operation of law, or otherwise) this Lease or any interest under it; (ii) allow any transfer thereof or any lien upon Tenant's interest by operation of law; (iii) sublet the Premises or any part thereof; and (iv) permit the use or occupancy of the Premises or any part thereof by anyone other than Tenant, and any attempt to consummate any of the foregoing without Landlord's consent shall be void.

Tenant's notice (the "TRANSFER NOTICE" ) shall be accompanied by (i) a certified description of all material terms upon which Tenant intends to assign or sublet (including, consideration, base rent and all other financial terms, rental abatements. allowances and other concessions and other material terms) and (ii) a statement setting forth in reasonable detail the identity of the proposed assignee or sublessee, the nature of its business and its proposed use of the Premises (to the extent a proposed assignee or subtenant has been identified) and current financial information with respect to any such proposed assignee or subtenant. Tenant shall provide Landlord with any additional information or documents reasonably requested (within ten (10) days after receiving Tenant's notice) by Landlord.
