ASSIGNMENT AND TERMINATION OF AGREEMENT. This Agreement may be terminated at any time, without the payment of any penalty by the Adviser or the Sub-Adviser on sixty (60) days’ written notice to the other party. This Agreement will automatically terminate, without the payment of any penalty, (i) in the event of its assignment (as defined in the Investment Company Act), or (ii) in the event the Investment Management Agreement between the Adviser and the Trust is assigned (as defined in the Investment Company Act) or terminates for any other reason. This Agreement will also terminate upon written notice to the other party that the other party is in material breach of this Agreement, unless the other party in material breach of this Agreement cures such breach to the reasonable satisfaction of the party alleging the breach within thirty (30) days after written notice. Notwithstanding the foregoing, no assignment shall be deemed to result from any changes in the directors, officers or employees of such Sub-Adviser except as may be provided to the contrary in the Investment Company Act or the rules or regulations thereunder.

ASSIGNMENT AND TERMINATION OF AGREEMENT. This Agreement shall automatically terminate in the event of its assignment and may be terminated at any time without the payment of any penalty by any Trust or by the Distributor on 60 days’ written notice to the other party. Any Trust may effect such termination by a vote of (i) a majority of the Trust’s Board of Trustees, (ii) a majority of the Independent Trustees, or (iii) a majority of the outstanding voting securities of the Trust.

ASSIGNMENT AND TERMINATION OF AGREEMENT. The Client or EFI may cancel the Agreement at any time with written notice. If the Client cancels the AMP after EFI has begun managing the Account, a prorated monthly fee may be deducted from the account prior to delivery of securities. If a prorated amount is deducted, it will be calculated by determining the number of days the client accounts were managed since the last billing date times the billing rate. Since fees are payable in arrears based upon the asset value on the last day of the previous month, there will be no prepaid, unearned fees to refund. Client agrees that such termination will not affect the liabilities or obligations of the parties under this Agreement which arise from transactions initiated prior to termination. EFI will direct the Custodian to deliver securities held in the Account as instructed by the Client. If the Account is liquidated as the result of a termination notice, Account assets will be payable to Client within ten (10) business days of liquidation, subject to normal brokerage settlement terms. Client will be responsible for any fees or charges incurred by Client from third parties as a result of maintaining managed accounts or for any securities transactions executed. EFI does not charge any performance-based fees (fees based on a share of capital gains on or capital appreciation of the assets of a Client).
ASSIGNMENT AND TERMINATION OF AGREEMENT. The Credit Union shall be entitled to amend this Agreement at any time, and any amendment will become effective immediately upon the Member’s receipt of notification or upon any later date specified in such notification. The Member may not amend any portion of this Agreement without the Credit Union’s prior consent. The Member may not assign this Agreement to any other person or entity without the Credit Union’s prior consent, at which time a new Agreement will be established. Member agrees that the Credit Union may terminate this Agreement without prior notice and shall remain in effect until the Credit Union is notified by the member in writing at the address set forth above. ASSIGNMENT AND TERMINATION OF AGREEMENT. This Agreement is terminable with respect to one or more of the Series without penalty by (i) the Trust’s Board of Trustees, (ii) the vote of a majority of the outstanding voting securities of the Series (as defined in the 0000 Xxx) or (iii) the Distributor on 60 days’ written notice to the other party, and such notice period may be waived upon the mutual written consent of the Distributor and the Trust. This Agreement will also automatically terminate in the event of its assignment as defined in Section 17 of this Agreement.

You agree to notify us promptly and to immediately suspend sales of Portfolio shares in the event of any such filing or violation, or in the event that you cease to be a member in good standing of the NASD. (c) Your or our failure to terminate this Agreement for a particular cause will not constitute a waiver of the right to terminate this Agreement at a later date for the same or another cause. The termination of this Agreement with respect to any one Portfolio will not cause its termination with respect to any other Portfolio. 11.

  • TERM, MODIFICATION AND TERMINATION OF AGREEMENT This Agreement with respect to the Fund shall continue in effect until the expiration date set forth on Schedule A (the “Expiration Date”). With regard to the Operating Expense Limits, the Trust’s Board of Trustees and the Adviser may terminate or modify this Agreement prior to the Expiration Date only by mutual written consent. If any required shareholder approval of this Agreement or any continuance of the Agreement is not obtained, the Subadviser will continue to act as investment subadviser with respect to such Portfolio pending the required approval of the Agreement or its continuance or of a new contract with the Subadviser or a different adviser or subadviser or other definitive action; provided, that the compensation received by the Subadviser in respect of such Portfolio during such period is in compliance with Rule 15a-4 under the Investment Company Act. This Agreement may be terminated at any time, without the payment of any penalty, by the Trustees of the Trust, by the vote of a majority of the outstanding voting securities of the Trust, or with respect to any Portfolio by the vote of a majority of the outstanding voting securities of such Portfolio, on sixty days' written notice to the Adviser and the Subadviser, or by the Adviser or Subadviser on sixty days' written notice to the Trust and the other party. This Agreement will automatically terminate, without the payment of any penalty, in the event of its assignment (as defined in the Investment Company Act) or in the event the Advisory Agreement between the Adviser and the Trust terminates for any reason.

  • EFFECTIVE DATE, DURATION AND TERMINATION OF AGREEMENT a. The effective date of this Agreement with respect to each Fund shall be the date set forth on Exhibit A hereto. b. No amendment to this Agreement shall be effective with respect to any Fund until approved by the vote of: (i) a majority of the directors of the Company who are not parties to this Agreement or "interested persons" (as defined in the 0000 Xxx) of Adviser or of the Company cast in person at a meeting called for the purpose of voting on such approval; and (ii) a majority of the outstanding voting securities of the applicable Fund. f. Wherever referred to in this Agreement, the vote or approval of the holders of a majority of the outstanding voting securities or shares of a Fund shall mean the lesser of (i) the vote of 67% or more of the voting securities of such Fund present at a regular or special meeting of shareholders duly called, if more than 50% of the Fund's outstanding voting securities are present or represented by proxy, or (ii) the vote of more than 50% of the outstanding voting securities of such Fund.

  • Termination of Agreement If this Agreement is terminated by the Representatives in accordance with the provisions of Section 5 or Section 9(a)(i) hereof, the Company shall reimburse the Underwriters for all of their out-of-pocket expenses, including the reasonable fees and disbursements of counsel for the Underwriters.

(d) Either the Advisor, the Sub-Advisor or the Portfolio may, at any time on sixty (60) days' prior written notice to the other parties, terminate this Agreement, without payment of any penalty, by action of its Board of Trustees or Directors, or with respect to the Portfolio by vote of a majority of its outstanding voting securities. This Agreement shall terminate automatically in the event of its assignment.

  • Term of Agreement and Termination 2.1. This Agreement enters into effect at the time of acceptance of this Agreement. 2.2.
