Authority of City. City has full power and authority to enter into this Agreement, to carry out its obligations hereunder, and to consummate the transactions contemplated hereby. The execution and delivery by City of this Agreement, the performance by City of its obligations hereunder, and the consummation by City of the transactions contemplated hereby have been duly authorized by requisite action of its governing board. This Agreement has been, and upon its execution will have been, duly executed and delivered by City; and, assuming due execution and delivery by all Parties hereto, this Agreement constitutes, and upon its execution will constitute, a legal, valid and binding obligation of City enforceable against City in accordance with its terms, except as may be affected by bankruptcy, insolvency, reorganization, moratorium or similar laws relating to or affecting creditors’ rights generally or by rules of law governing specific performance, injunctive relief or other equitable principles (regardless of whether such principles are considered in a proceeding at law or in equity).
Authority of City. City has full power and authority to execute and deliver this Agreement and all other documents or instruments executed and delivered by City, or to be executed and delivered by City pursuant to or in connection with this Agreement, and to perform and observe the terms and provisions of all of the foregoing.
Authority of City. City acknowledges that it has full power and authority to enter into this Agreement and perform all its obligations required hereunder.
Authority of City. Following execution and delivery of this Agreement, and for so long as this Agreement shall remain in effect, the City shall not enter into any lease or contract of sale or other agreement for the sale, lease or license of any portion of the Property without prior written approval of the Developer, which consent the Developer may withhold in its sole discretion.
Authority of City. Nothing herein is intended to limit or restrict the authority of the City to require any unit employee to perform overtime work, except that the City should make reasonable efforts to secure volunteers to work overtime.
Authority of City. This Agreement shall not be construed to limit the authority or obligation of City to hold necessary public hearings, or to limit discretion of City or any of its officers or officials with regard to rules, regulations, ordinances, laws and entitlements of use which require the exercise of discretion by City or any of its officers or officials, provided that subsequent discretionary actions shall not prevent or delay development of the Property for the uses and to the density and intensity of development as provided by the Initial Entitlements and this Agreement, in effect as of the Effective Date of this Agreement.
Authority of City. Notwithstanding anything in this Agreement or otherwise to the contrary, the City shall not be authorized or obligated to sell the Property to Developer until this Agreement has been fully executed by the duly authorized representative of the City pursuant to the resolution of the City of Xxxxxxxx Commission as approved by the Mayor of the City. Any amendments or modifications of this Agreement must likewise be duly authorized in a dated writing authorized by resolution of the City Commission as approved by the Mayor.
Authority of City. The City enters into this Agreement by authorization of its City Council by resolution adopted, a copy of which is attached as Exhibit B.

Authority of City. The City warrants that it has full authority to enter into and administer this Agreement. This includes, but is not limited to the right to terminate, amend, extend, modify or alter specific terms of the agreement in accordance with the terms set forth in this Agreement. The City shall have full access and authority to audit all pertinent records concerning this Agreement.
