Authority of Project Manager. The AOC Project Manager, or other designated representative, will be fully authorized to make decisions and to authorize timely payment of Contractor's invoices. The Project Manager will ensure that all necessary staff members are available, that all prerequisite tasks are completed, and that all necessary equipment is in place in order for scheduled on-site or off-site services to commence without delay.
Authority of Project Manager. The Project Manager shall decide any and all questions which may arise as to the quality and acceptability of the materials furnished, the Work performed, the manner of performance and the rate of progress of the Work. The Project Manager shall decide all questions which may arise as to the interpretation of the Plans and Specifications, all questions as to acceptable fulfillment of the Contract, all disputes and mutual rights by the Contractors if there be more than one Contractor on the Work, and all questions as to compensation. The decision of the Project Manager shall be final and shall have executive authority to make effective such decisions and to enforce the Contractor to carry out all orders promptly.
Authority of Project Manager. During the Term, the parties recognize that the Project Manager will be acting as the exclusive agent of the Obligors with regard to the Services described herein. Each Project Company hereby grants to the Project Manager the exclusive right and authority, and hereby appoints the Project Manager as its true and lawful attorney-in-fact, with full authority in the place and stead of such Project Company and in the name of such Project Company, to negotiate, execute, implement, amend or terminate, as circumstances dictate, for and on behalf of such Project Company, any and all Project Documents, contracts, permits, licenses, registrations, approvals, amendments and other instruments, documents and agreements as the Project Manager deems necessary or advisable in accordance with the Operation Standards. The Project Manager will also have the authority to enforce, terminate and compromise disputes under all Project Documents and all other agreements and documents, as the Project Manager deems necessary and desirable. In addition, the Project Manager will have full discretion in determining (subject to the Operation Standards and subject to the limitations set forth in Section 4(a)(vi)) whether to commence litigation on behalf of a Project Company, and will have full authority to act on behalf of each Project Company in any litigation proceedings or settlement discussions commenced by or against any Project Company. Each Project Company shall promptly execute such other or further documents as the Project Manager may from time to time reasonably request to more completely effect or evidence the authority of the Project Manager hereunder, including the delivery of such powers of attorney (or other similar authorizations) as the Project Manager may reasonably request to enable it to carry out the Services hereunder.
Authority of Project Manager. The Project Manager is an independent contractor retained by the Owner to assist it as a consultant and advisor to the Owner on the Project until Final Completion, unless otherwise designated by Owner. Notwithstanding the presence of the Project Manager at the Project and in Project meetings, the Owner directly employs representatives who will actively participate in Project meetings and be authorized to provide any approval, grant any consent, assert any objection, or make any decision required by the Design-Build Documents. Unless Design-Builder has been provided with written notice from the Owner granting specific authority to the Project Manager, Project Manager shall not be authorized to bind the Owner as to any approval, consent, objection, or decision except to the extent expressly authorized by the Design-Build Documents. Such limitation of authority, however, shall not obviate or limit Design-Builder’s obligation to provide notices to the Project Manager as required by Section 7.11.2 above and to provide access to the Project Manager as required by Section 7.11.3 above.
Authority of Project Manager. The Project Manager or his representative shall act as the County's Technical Representative during the execution of this contract. He shall decide questions which may arise as to quality and acceptability of services and products furnished and work performed. He shall interpret the technical intent of the Contract Documents in a fair and unbiased manner. He will make random inspections to determine if the services are proceeding in accordance with the Contracts Documents. He shall judge as to the accuracy of quantities submitted by the Contractor in payment requests and the acceptability of the work which these quantities represent. The decisions of the Project Manager or his representative shall be final and conclusive and binding upon all parties to the Contract.
