AWARD OF SUBCONTRACT. 3.1. In the event that the Prime Contractor is awarded the Prime Contract for this Program, each Team Member agrees to negotiate in good faith and proceed in a timely manner to execute a mutually acceptable subcontract for the work to be performed by the Subcontractor and identified in Exhibit A. Subcontractor acknowledges that unless otherwise agreed in Exhibit A, Prime Contractor may itself provide or may use other subcontractors to provide under the Program services or products that are similar to or compete with Subcontractor’s product or services in Exhibit A.
AWARD OF SUBCONTRACT. 5.1 In the event that a contract or task order for the Program is awarded, the Team Members agree that a subcontract shall be negotiated in good faith for the portion of the Program allocated to the Subcontractor in Exhibit A. The subcontract shall be consistent with the terms and conditions, statement of work, applicable flow-down clauses of the prime contract; and the prices proposed and subsequently negotiated as a result of the Subcontractor's proposal.
AWARD OF SUBCONTRACT. 3.1 If AccuPoll is selected by the Government as the prime contractor under the RFP, and the Prime Contract contains a requirement for the scope of work described in Schedule A, AccuPoll agrees to negotiate in good faith an agreement with EDS for the scope of work set forth in Schedule A. The parties agree to enter into good faith negotiations relating to Subcontract as soon as practicable.
AWARD OF SUBCONTRACT. If the Client awards a task order as a result of the IDIQ contract, to the Prime Contractor as a result of the Proposal, and subject to any required subcontract consent or approval by the Client, the Prime Contractor will promptly award a Basic Purchase Agreement (BPA) to the Subcontractor which will define the exclusive terms and conditions for the purchase of Subcontractor’s products or services related to that task order, which the parties agree to negotiate in good faith. The BPA shall contain all mandatory terms and conditions, which, under the RFP and/or contract are required to “flow down” to Subcontractors.
AWARD OF SUBCONTRACT a. If either party enters into a contractual relationship with a customer to provide Services, the other party if designated as subcontractor, is subject to any specific requirements by the customer, then the Subcontractor shall use its best efforts to satisfy the specific requirements of the customer so as not to jeopardize the contract obtained by the Contractor.
AWARD OF SUBCONTRACT. If the Client awards a contract to the Prime Contractor as a result of the Proposal, and subject to any required subcontract consent or approval by the Client, the Prime Contractor will promptly award a subcontract to the Subcontractor for the work proposed by the Subcontractor and listed in Attachment A, to the extent that such work is in the Prime Contract (the “Subcontract”). Other than those terms specified herein, upon which the parties have agreed, the parties agree to negotiate in good faith. By accepting such Subcontract, the Subcontractor agrees not to enter into any contractual arrangement with another contractor for work directly related to that being provided to the Client under the subject Prime Contract. This does not restrict either party's rights to pursue business outside that covered by this RFP or a resulting Prime Contract.
AWARD OF SUBCONTRACT. 2.1 If, during the term of this AGREEMENT, a contract is awarded to the Prime as a result of its Proposal, the Prime will, to the extent permitted by Government rules, regulations and applicable law, enter into negotiations with the Subcontractor for a subcontract wherein the Prime will exert best efforts to subcontract to the Subcontractor that portion of the work set forth in Exhibit A. The Parties shall exert their best efforts to reach a subcontract agreement within a reasonable period of time not to exceed 90 days from the award of the contract to the Prime, unless a further extension is mutually agreed to by the Parties. The terms and conditions of the Subcontract will be consistent with the terms and conditions in the Prime contract. It is agreed that the Subcontract terms and conditions will not conflict with Government rules, regulations and applicable law.
