Bargaining Position. Buyer expressly acknowledges and recognizes that the price for which the Seller Parties have agreed to sell the Assets and perform their obligations under the terms of this Agreement has been predicated upon the inapplicability of the Texas Deceptive Trade PracticesConsumer Protection Act, V.C.T.A. BUS & COMM Xxx. § 17.41 et seq. (the “DTPA”), or any similar statute, and this waiver of the DTPA, and any similar statute, by Buyer. BUYER FURTHER RECOGNIZES THAT THE SELLER PARTIES, IN DETERMINING TO PROCEED WITH ENTERING INTO THIS AGREEMENT, HAVE EXPRESSLY RELIED ON THE PROVISIONS OF THIS ARTICLE 5.

Bargaining Position. The Parties agree that this Article IX and the limits imposed on each Party’s remedies with respect to this Agreement and the transactions contemplated hereby were specifically bargained for between sophisticated parties and were specifically taken into account in the determination of the amount of the Purchase Price.
Bargaining Position. Purchaser and Seller each hereby acknowledge, represent and warrant that neither Seller nor Purchaser is in a disparate bargaining position with respect to the other party in connection with the transactions contemplated hereby, that both Seller and Purchaser each freely and fairly agreed to the waivers, conditions and other terms of this Agreement as part of the negotiations of this Agreement, and Seller and Purchaser has been represented by adequate, independent legal counsel in connection herewith and has conferred with such legal counsel concerning the waivers, conditions and other terms of this Agreement.

Upon termination, bargaining unit members shall be paid through their last day worked at the Equalized Daily rate.

  • Bargaining Committee A bargaining committee of no more than three (3) employees and one (1) alternate may be selected by the Union.

  • Bargaining Unit Information The Employer agrees to provide the Union such information relating to Employees in the bargaining unit as may be required by the Union for the purpose of collective bargaining.

  • Work of the Bargaining Unit (a) In order to protect the standard of nursing care, the Employer shall not contract out the work normally performed by members of this bargaining unit except: i) For purposes of instruction, ii) In the event of an emergency situation, iii) When performing developmental or experimental work, or iv) When employees are not available due to an employee not reporting for work as scheduled or not being available for work. (b) Reassignment to other employees of work normally performed by members of the bargaining unit shall not result in the termination, layoff or reduction in hours of any member of the bargaining unit. (c) When it is decided to not fill a position following an employee’s resignation, the Home will provide the rationale in writing for this decision to the Union. The Union may request a meeting to make representations on this matter.

  • Union Bargaining Committee A Union Bargaining Committee shall be appointed by the Union and shall consist of up to three (3) members of the Union together with the President of the Union or her designate. The Union shall have the right at any time to have the assistance of members of the staff of the Union when negotiating with the Employer.
