Basic values‌. The Contracting Authority and the PPP company are to construct and operate new waste and wastewater facilities in a PPP cooperation. It is a requirement for exploiting the full potential of the PPP model that both Parties maintain an open approach to the project and endeavour to achieve a constructive cooperation. The Contracting Authority invites a flexible cooperation so as to provide the best possible conditions for the PPP company’s optimum performance of the project. The cooperation is generally organised in a steering group as well as through the contact persons of the Parties, see clause 3 below. It is essential that the representatives of the Parties in the steering group have relevant decision-making power so that the group is able to solve unanticipated events and conflicts in a suitable manner. The organisation of the cooperation is described in clause 3 below. The following values form the basis of the cooperation: • A mutual respect for the various roles of the Parties in the cooperation with emphasis on an efficient operational cooperation. • A fundamental acknowledgement of the diverse interests and motives of the Parties as a basis for developing common objectives. • An open and dialogue-based cooperation model in which conflicts, if any, to the extent possible are handled through dialogue. • A cooperation based on trust allowing an efficient handling of situations not anticipated in the Agreement. • A flexible cooperation where the the PPP company and the Contracting Authority respond to the various situations arising during the term of the Agreement as warranted by the circumstances. • A mutual expectation of continuous participation in the development of the project solution to the benefit of the overall result and with involvement of new methods, new technology, etc. The values and approaches set out above illustrate the culture of cooperation which should govern the PPP project at all times.

  • Average Contribution Amount For purposes of this Agreement, to ensure that all employees enrolled in health insurance through the City’s HSS are making premium contributions under the Percentage-Based Contribution Model, and therefore have a stake in controlling the long term growth in health insurance costs, it is agreed that, to the extent the City's health insurance premium contribution under the Percentage-Based Contribution Model is less than the “average contribution,” as established under Charter section A8.428(b), then, in addition to the City’s contribution, payments toward the balance of the health insurance premium under the Percentage-Based Contribution Model shall be deemed to apply to the annual “average contribution.” The parties intend that the City’s contribution toward employee health insurance premiums will not exceed the amount established under the Percentage-Based Contribution Model.

  • Basic Benefit Effective January 1, 2008, the basic life insurance benefit will be increased from $15,000 to $18,000 for employees. This shall be the default level of life insurance coverage, which shall be provided at no cost to the employee.

  • Basic Fee The basic fee for a Fund (the "Basic Fee") for any period shall equal: (i) the Fund's average net assets during such period, multiplied by (ii) the annual rate identified for such Fund on Schedule B-1 hereto, multiplied by (iii) a fraction, the numerator of which is the number of calendar days in the payment period and the denominator of which is 365 (366 in leap years).

  • Added Value 22.1 The Contractor shall work with the Framework Public Bodies to implement a strategic approach to the management of costs within their own organisation.

  • Second Year Wage Adjustment Effective July 1, 2020, all salary ranges and rates shall be increased by two and one-half percent (2.50%), rounded to the nearest cent. Salary increases provided by this Section shall be given to all employees including those employees whose rates of pay exceed the maximum rate for their class. The compensation grids for classes covered by this Agreement are contained in Appendix E-2. Conversion to the new compensation grid shall not change an employee’s eligibility for step progression increases.

  • Payment Amount Payment for the Services shall be as follows: (choose one) ☐ - $______________________ for the Services (“Payment”). ☐ - At an hourly rate of $____ per hour (“Payment”). ☐ - Other. ______________________________________________ (“Payment”) If the Subcontractor asserts a claim which involves, in whole or in part, acts or omissions which are the responsibility of the Client or another person for whom a claim may be submitted, including but not limited to, claims for failure to pay, an extension of time, impacts, delay damages, or extra work, the Contractor shall present the Subcontractor's claim to the Client or other responsible party provided the Subcontractor presents to Contractor competent supporting evidence and in sufficient time for the Contractor to do so. The Subcontractor shall cooperate fully with the Contractor in any and all steps the Contractor takes in connection with prosecuting such a claim and shall hold harmless and reimburse the Contractor for all expenses, including legal expenses, incurred by the Contractor which arise out of the Contractor's submission of the Subcontractor's claims to the Client or other responsible party(ies). The Subcontractor shall be bound by any adjudication or award in any action or proceeding resolving such a claim.

  • First Year Wage Adjustment Effective July 1, 2017, all salary ranges and rates shall be increased by two percent (2.0%), rounded to the nearest cent. The compensation grids for classes covered by this Agreement are contained in Appendix E-1. Employees shall convert to the new compensation grid as provided in Section 2.

  • Basic Work Year The regular work year shall be prescribed by the School District each year for regular employees.

  • Benefit Waiting Period Allowance (a) An employee who qualifies for and takes leave pursuant to 21.1 or 21.2 and is required by Employment Insurance to serve a one-week waiting period for Employment Insurance Maternity/Parental benefits, shall be paid a leave allowance equivalent to one week at 85% of the employee's basic pay.
