Cooperation Model. 2.1 Party A establishes a wholly-owned platform company and independently serves as the owner of the project. The company does not do any other business work, but is only responsible for the construction of infrastructure such as factories, providing factories to Party B and recovering the investment funds for factories. Party A’s total investment is 115 million yuan (excluding the cost of seven connections and one flat), and Party B repays the principal and pays the rent. Party A’s platform company will carry out infrastructure such as factories. For details, please refer to the bidding list for factory construction.
2.2 Party B is responsible for the investment in production equipment, with an estimated total investment of 55 million yuan. Party B operates independently and pays for its own profits and losses.
2.3 When Party A’s platform company is constructing infrastructure such as factories, Party B can install equipment in advance as needed, and carry out equipment debugging and trial production at the same time.
2.4 The term and payment of principal and rent repayment: The principal amount is determined according to the final usage (subject to the written signature confirmation of both parties when the project is delivered. If the two parties cannot reach an agreement, the agreement shall be followed. If there is no agreement, the third-party audit confirmation shall prevail). Party B repays the principal and pays the rent annually. The agreement is as follows: 4.32% of Party A’s total investment (based on the determined principal amount) shall be paid in cash from the 1st to the 5th year as annual rent; 20% of the determined principal amount shall be paid each year from the 6th to the 10th year to repurchase the corresponding 20% of the shares of the platform company. Party A shall complete the change of the corresponding industrial and commercial registration within 1 month after Party B’s payment. After the repurchase begins, the rent shall be 4.32% of the unrepurchased investment of Party B as annual rent.
2.4.1 Rent payment method: Starting from the date of delivery of the factory building, the rent shall be paid every three months. Party B shall pay the rent to Party A’s designated account within 5 working days after receiving the rent payment notice submitted by Party A after the end of the third month.
Cooperation Model. Both parties hereby agree to work together in the Chinese-foreign cooperation in running school on Master Course of European Studies (curriculum Comparative and European Law) with a duration of two years. The excellent students who achieve all the stipulated courses in one and half a year in ZUEL can choose to go to SUR in the last half year of the second year for dissertation writing and oral defence. All the students who get the required credits and finish thesis will be conferred Master Degree (second cycle of the Italian qualification Framework） of “European Studies (curriculum Comparative and European Law)” with a duration of two years. The number of credits (for European credit transfer and accumulation system ECTS) conferred will be define with an appendix to this agreement.
Cooperation Model. For the duration of the Agreement, the Parties shall support the cooperation so as to continually optimise all services and avoid conflicts to the extent possible. The cooperation is organised in accordance with the Partnership Agreement, see Appendix 4.
Cooperation Model. In order to provide all-round and convenient vehicle purchase and vehicle purchase financing services for individual consumers, and provide appropriate risk management ability for all related parties, the parties hereto agree to, in accordance with this Agreement, cooperate in applying to financial institutions (“financial institutions”) for financing services for purchasing or renting a vehicle (“automobile financial leasing”) (hereinafter collectively referred to as “financing services for vehicle purchase”) in respect of individual consumers (“customers”), subsequent repayment, performance of contract and handling of breach of contract. Please refer to Articles II, III and IV of this Agreement for specific contents of the cooperative project:
Cooperation Model. The Parties determine the following three cooperation models for IDC sales business cooperation:
(1) The third party resale business1 means the model that Party A sells data center resources not owned by Party B to the customer and Party A will charge a predetermined commission for the end user service contracts it executes.
(i) Party B shall provide the list and directory of the third party resources purchased by Party B ([***]) and corresponding purchase cost regularly. [***].
(ii) Under the business model, with respect to the third party resources introduced to Party B by Party A and purchased by Party B directly:
a. If Party A’s selling price is less than [***]% of the purchase cost, whether the sales contract with the end user is executed by Party A directly or executed by Party B directly through Party A’s introduction, the sales profits shall be divided equally between Party A and Party B, in which the profits mean the selling price of Party A minus the purchase cost of Party B;
b. If Party A’s selling price is more than [***]% of the purchase cost of Party B, the Parties shall settle the amount in accordance with [***]% of the amount in the contract executed by Party A; if Party A introduces the customer to Party B and the contract is executed by Party B directly, Party B shall pay Party A a predetermined commission equal to [***]% of the amount agreed in the executed contract.

(2) Party B’s resources used by Party A for its own use mean data center resources self-owned by Party B and purchased by Party A for its own business operations. [***]. Party A may choose to execute the contract with the third party data centers by itself, which is not bound by this Agreement or other constraints.
(i) As of the beginning date of this Agreement, the prices of Party B’s own data center resources purchased by Party A for its own use shall remain unchanged during the term of this Agreement; in case of additional resources, the Parties shall negotiate separately for confirmation.
(ii) With respect to resources purchased by Party B from a third party, Party B shall provide Party A with the executed copy of its resource purchase contract for amount settlement by the Parties.

(3) The business cooperation of Party B’s self-owned resources means that Party A sells Party B’s self-owned resources to the customer and a service contract is executed between Party A and the customer. [***].

Cooperation Model. (i) For Category I: Xxxxxxx Xxxxxxxx will acquire 95% equity interest in each of the project companies. Hareon Solar shall make sure that grid-connection for the first category projects will be completed before 31 December 2013;
(ii) For Category II: Xxxxxxx Xxxxxxxx will acquire 95% equity interest in each of the project companies. After completion of equity transfer of the project companies, Hareon Solar shall make sure that at least 60% of the second category projects will obtain the approval letter from the relevant competent PRC governmental authorities within 6 months from the date of the Framework Agreement and all the second category projects will obtain such approval letter within 8 months from the date of the Framework Agreement, so that such projects are ready for construction;
(iii) For Category III: Xxxxxxx Xxxxxxxx and Hareon Solar will establish the project companies. Each of the project companies shall be owned as to 95% by Xxxxxxx Xxxxxxxx and 5% by Hareon Solar with the registered capital of RMB1,000,000. Hareon Solar shall make sure that at least 60% of the third category projects will obtain the approval letter from the relevant competent PRC governmental authorities within 6 months from the establishment of the project companies and all the third category projects will obtain such approval letter within 8 months from the establishment of the project companies, so that such projects are ready for construction;

Cooperation Model. 1. Scope of cooperation Party B uses [national/provincial common phone bill] as the cooperation resource, and cooperates with Party A to carry out business cooperation within the scope of the whole country or some provinces.
0. Xxxxxxxx model Party A purchases [national/provincial universal phone package] from Party B and provides it to its designated users with corresponding specifications. Party B will deliver phone bills to Party A’s designated subscribers through China Mobile, China Unicom and China Telecom.
3. Business Process Party A selects the following [2] types of call delivery methods.
(1) Bulk delivery: Party A will summarize the list of cell phone numbers and tariff specifications of its designated users according to the time agreed by both parties and send them to Party B’s contact person via email. After confirming the data, Party B will complete the delivery according to the time agreed by both parties.
(2) Interface delivery: Party B provides a standardized data interface to Party A. Party A can directly call this interface to its designated cell phone number to complete the call delivery. Party B shall promptly inform Party A of any unforeseen events in the course of phone bill delivery, and both parties shall propose solutions after consultation.
Cooperation Model. Verified and referred by Party B, the customer apply Party A for loan to purchase designed new automobile and /or automobile-related products (services) and Party B provides related supporting services.
