Bayer Responsibility. Following the transfer pursuant to Section 6.2 and subject to the terms and conditions of this Agreement, Bayer shall be solely responsible for the Manufacture of the Antibody and Licensed Product in the Field in the Territory, whether performed by Bayer or a Third Party appointed by Bayer. SECTION 7 PHARMACOVIGILANCE 7.1 Both Parties agree to promptly exchange all relevant information that relates to the safety of the Licensed Product and to comply with all Applicable Laws relating to the Licensed Product concerning drug safety. 7.2 In furtherance of Section 7.1, the Parties shall negotiate and execute a pharmacovigilance agreement within ninety (90) days of the Effective Date which shall define which safety information shall be exchanged and define pharmacovigilance responsibilities of the Parties.
Bayer Responsibility. Any sublicense granted by Bayer hereunder shall not relieve Bayer from any of its obligations under the Agreement and Bayer will be responsible for all actions of its sublicensee in connection with such sublicense.
Bayer Responsibility. Subject to Clause 8.3.4(b), Bayer shall have the right, but not the obligation, [***], to prosecute and maintain worldwide any [***]. With respect to the [***], Bayer: (a) shall, through the JPC, keep BicycleTx reasonably informed in relation to the preparation, filing, prosecution and maintenance of [***], including by: (i) providing BicycleTx with a copy of material communications to and from any patent authority in the Territory regarding the [***] and claims therein; and (ii) providing drafts of any communications to any patent authority covered by (i) above and any material filings to be made to such patent authorities in the Territory sufficiently in advance of submitting such communications or filings so as to allow for a reasonable opportunity for BicycleTx to review and comment on such communications and filings; (b) shall, through the JPC, consider and take into account BicycleTx's comments in relation to the preparation, filing, prosecution and maintenance of the [***], and in particular where such comments are with respect to [***]. To the extent Bayer does not intend to reflect BicycleTx's comments, Bayer shall notify BicycleTx of its decision and provide its reasons for such decision in order to enable BicycleTx to discuss such decision with Bayer; and (c) in prosecuting the [***], shall not (i) [***]; or (ii) [***]. If during the Term, Bayer no longer wishes to file, prosecute or maintain a [***] Bayer shall notify BicycleTx of such intention at least [***] prior to any final deadline with respect to such Patent to enable BicycleTx to decide whether it wishes to obtain ownership of the [***] and, if it does, Bayer shall assign its right, title and interest in and to such [***] to BicycleTx and BicycleTx shall have the right, but not the obligation, to assume responsibility for the prosecution and maintenance thereof at [***] with counsel of its choice. 289122840 v2 ​ CERTAIN CONFIDENTIAL INFORMATION CONTAINED IN THIS DOCUMENT, MARKED BY [***], HAS BEEN OMITTED BECAUSE IT IS BOTH (I) NOT MATERIAL AND (II) WOULD BE COMPETITIVELY HARMFUL IF PUBLICLY DISCLOSED.

  • Customer Responsibility You agree that you are responsible for all access to and use of the Service through your account or password(s) and for any fees incurred for the Service, or for software or other merchandise purchased through the Service, or any other expenses incurred in accordance with the terms of this Agreement. You agree that you are responsible for backing up (a) any data you submit, receive or transfer over the Service, including, without limitation, your email; and (b) any data, files, programs, or applications on any device you connect to the Service. You acknowledge that you are aware that content accessible on or through the Service may contain material that is unsuitable for minors (persons under 18 years of age). You agree to supervise usage of your account by minors. You ratify and confirm any obligations incurred by a minor using your account.

  • Your Responsibility You are solely responsible for the quality, completeness, accuracy, validity and integrity of the image. You are solely responsible if you, intentionally or unintentionally, submit fraudulent, incorrect or illegible images to us or if Mobile Deposit is used, by authorized or unauthorized persons, to submit fraudulent, unauthorized, inaccurate, incorrect or otherwise improper or unusable images to us.

  • User Responsibilities i. Users are required to follow good security practices in the selection and use of passwords; ii. Users shall ensure that unattended equipment is protected; and iii. Users shall adopt a clear desk policy for papers and removable storage media and a clear screen policy for information processing facilities.

  • Engineer Responsibilities No subcontract relieves the Engineer of any responsibilities under this contract.

  • Customer Responsibilities Notwithstanding the above, Customer agrees that except as provided by this DPA, Customer is responsible for its secure use of the Services, including securing its account authentication credentials, protecting the security of Customer Data when in transit to and from the Services and taking any appropriate steps to securely encrypt or backup any Customer Data uploaded to the Services.

  • Engineers Responsibility The Engineer shall be responsible for the accuracy of its work and shall promptly make necessary revisions or corrections resulting from its errors, omissions, or negligent acts without compensation. The Engineer will not be relieved of the responsibility for subsequent correction of any such errors or omissions or for clarification of any ambiguities until after the construction phase of the project has been completed.

  • Customer’s Responsibility The policies in this document apply to the use of Data by Customers, Redistributors and their End Customers. Customers are responsible for compliance with this policy by all members of the Customer’s Group and by all persons to whom they distribute Data where authorised to do so. Turquoise recommends that Customers make this Schedule available to all Subscribers to their services having access to Data which is subject to Charges, reporting requirements or usage restrictions.

  • Owner Responsibilities Owner shall: A. Provide all documentation, records and disclosures as required by law or required by Xxxxxx to manage and operate the Property, and immediately notify Broker if Owner becomes aware of any change in such documentation, records or disclosures, or any matter affecting the habitability of the Property. X. Xxxxxxxxx, defend and hold harmless Broker, and all persons in Broker's firm, regardless of responsibility, from all costs, expenses, suits, liabilities, damages, attorney fees and claims of every type, including but not limited to those arising out of injury or death of any person, or damage to any real or personal property of any person, including Owner, for: (i) any repairs performed by Owner or by others hired directly by Owner; or (ii) those relating to the management, leasing, rental, security deposits, or operation of the Property by Xxxxxx, or any person in Broker's firm, or the performance or exercise of any of the duties, powers or authorities granted to Broker. C. Maintain the Property in a condition fit for human habitation as required by IC 32-31-8-5. X. Xxxxx and pay for: (i) public and premises liability insurance in an amount of no less than $1,000,000; and (ii) property damage and worker's compensation insurance adequate to protect the interests of Owner and Broker. Broker shall be, and Owner authorizes Broker to be, named as an additional insured party on Owner's policies. E. Pay any late charges, penalties and/or interest imposed by lenders or other parties for failure to make payment to those parties, if the failure is due to insufficient funds in Broker's trust account available for such payment. F. Immediately replace any funds required if there are insufficient funds in Broker's trust account to cover Owner's responsibilities.

  • Member Responsibilities The Member’s responsibilities shall include, but are not limited to: 3.17.1. Inform the CONTRACTOR of the loss or theft of ID cards, 3.17.2. Present ID cards when using health care services, 3.17.3. Be familiar with the CONTRACTOR’s Health Plan Procedures to the best of their abilities, 3.17.4. Call or contact the CONTRACTOR to obtain information and have questions clarified, 3.17.5. Provide participating network Providers with accurate and complete medical information, 3.17.6. Follow the prescribed course of care recommended by the Provider or let the Provider know the reasons the treatment cannot be followed, as soon as possible, And 3.17.7. Make every effort to keep a scheduled appointment or cancel an appointment in advance of when it is scheduled.
