Best Efforts Obligation. Except as expressly provided herein, HP may at its sole discretion decide whether or not to use or distribute the Program, as it deem appropriate. Nothing in this Agreement shall be construed or interpreted as placing a "best effort" standard upon HP with respect to the use and distribution of the Program.
Best Efforts Obligation. XSPlatforms shall provide all Services on the basis of a best efforts obligation, unless and in so far as XSPlatforms has explicitly undertaken in the written agreement to achieve a specific result and the result in question is sufficiently determined.
Best Efforts Obligation. Representative shall use its best efforts to promote the sale of the Products in the Territory. Representative shall in particular:
(a) meet the minimum annual sales requirements ("Annual Minimums") as provided in Section 3.5 below.
(b) actively prospect the Territory and customers to visit its clientele at regular intervals and to make every effort to increase sales of the Products.
(c) support local field marketing events and activities, including making introductions to and arranging meetings with potential customers, on behalf of ATS, and to assist ATS in the preparation and submission of presentations, proposals, and quotations for contracts or orders and in assessing the financial status of customers and potential customers, at the times and in the manner reasonably requested by ATS.
Best Efforts Obligation. The Borrowers shall use their best efforts to secure the investment of a suitable investor or institution with the purpose of prepaying at least $250,000 of the principal of the Note within ninety (90) days of the Closing Date.
Best Efforts Obligation. Obligations of the Parties under the Agreement are Best Efforts obligations (“obligation de moyens” / “middelenverbintenissen”) unless it is explicitly specified herein that an obligation is an obligation of result (“obligation de résultat” / “resultaatsverbintenis”).

If the Ministry and the Agency do not achieve the funding levels proposed, they will so advise the CPAF and the parties will seek to revise their proposed arrangements in a mutually satisfactory way, but the CPAF will be under no obligation to proceed with, or make any further disbursements under, the Grant.

During the term of this Agreement, AVECOR agrees to use its best efforts to develop, test, manufacture, market, sell and technically support the Products and further agrees to use its best efforts to obtain all necessary approvals from the FDA and all other governmental agencies whose approval is necessary to manufacture, market or sell the Products. AVECOR agrees that its best efforts shall include, at a minimum, the obligation to use at least the same level of effort in connection with the Products as it uses in connection with its other products.
