Bids and Awards. To the Knowledge of Arrow, (i) each Active Government Contract and each Completed Government Contract (collectively, the “Dagger Government Contracts”) was legally awarded, (ii) no such Active Government Contract (or, where applicable, the prime contract with the United States Government under which such Government Contract was awarded) is the subject of bid or award protest proceedings, and (iii) no such Active Dagger Government Contract (or, where applicable, the prime contracts with the United States Government under which such Government Contract was awarded) is reasonably likely to become the subject of bid or award protest proceedings. To the Knowledge of Arrow, no facts exist which could give rise to a material claim for price adjustment under the Truth in Negotiations Act or to any other request for a material reduction in the price of any Dagger Government Contracts.

Bids and Awards. To the Knowledge of Seller, each Athena Government Contract has been legally awarded, and no Athena Government Contract (or, where applicable, the prime contract with the United States Government under which such Athena Government Contract was awarded) is the subject of bid or award protest proceedings. No facts exist that could give rise to a material claim for price adjustment under any Athena Government Contract under the Truth in Negotiations Act.
