Board of Trustees Approval. This agreement is subject to Purchaser's eligibility for membership in Crestwood Village Co-op Four, Inc. and to the approval of such membership by the Board of Trustees. In the event Purchaser is not eligible for membership and/or does not receive such approval, this agreement shall become null and void, all deposit monies paid shall be returned to Purchaser and parties shall have no further liabilities or obligations hereunder.

Board of Trustees Approval. Sellers shall have received within five (5) Business Days after the date of execution and delivery of this Agreement by both parties, the approval of the transactions contemplated by this Agreement from MGI's Board of Trustees. Seller shall promptly notify Purchaser in writing if and when this condition is satisfied. If this condition is not satisfied, Seller shall promptly notify Purchaser, the Deposit shall be refunded to Purchaser and all obligations of the parties hereto shall cease and this Agreement shall be void and without recourse to the parties hereto (except those provisions which are expressly intended to survive such termination).
Board of Trustees Approval. 1. Buyer's obligations hereunder are contingent upon Buyer obtaining the requisite authorization and approval of the Board of Trustees of Buyer with respect to Buyer's execution, delivery and performance of this Agreement on or before the Inspection Period Expiration Date. Upon Buyer's obtaining said authorization and approval, no other proceedings on the part of Buyer will be necessary to authorize this Agreement or permit Buyer to consummate the transactions so contemplated herein, and this Agreement will then constitute a valid and binding obligation of Buyer, enforceable in accordance with its terms.
2. In the event Buyer is unable to obtain said authorization and approval of the Board of Trustees of Buyer, within the above referenced period, Buyer shall have the right, at its option, to terminate this Agreement on or before the Inspection Period Expiration Date, and upon such termination, the Deposit shall be immediately refunded to Buyer, and thereupon the parties hereto shall have no further liabilities to each other with respect to the subject matter of this Agreement.
