Books and Accounting. 10.1. HOTEL JV shall provide to PHII that information as and when required to be provided Lenders pursuant to Sections 7.2(a); 7.2(b); 7.2(d); 7.2(j); 7.2(k); 7.2(l) and such other financial information as is reasonably requested by PHII in order for PHII to confirm the payment of the Continuing Fee and the Retail Royalties. 10.2. HOTEL JV shall keep accurate books of account and records covering all transactions relating to the license hereby granted, and PHII and its duly authorized representatives shall have the right, no more frequently than four (4) times in any calendar year, to an examination of said books of account and records and of all other relevant documents and materials in the possession or under the control of HOTEL JV with respect only to the subject matter and terms of this Agreement upon five (5) business days' written notice. Any such examination shall be conducted on reasonable notice and during normal business hours of HOTEL JV's executive management with no disturbance to guests or to the operations of the Complex. All books of account and records with respect to each calendar year shall be kept available for at least three (3) years after such calendar year. In the event that PHII's duly authorized representative shall discover an underpayment of fees of two percent 2% or more pursuant to any such examination, HOTEL JV shall pay to PHII the reasonable cost of such examination. Fees found to be due as a result of PHII's examination of HOTEL JV's books of account shall be paid within thirty (30) days of the completion of the audit with interest calculated in the manner described above with interest at ten percent (10%) per annum from the date the amount should have been paid to PHII, up to and including the month of payment. Any overpayment by HOTEL JV to PHII shall promptly be reported and paid by PHII to HOTEL JV after PHII's discovery of such discrepancy.

Books and Accounting. The Borrower will (a) keep proper books of record and account in which full, true and correct entries will be made of all its business transactions in accordance with GAAP; and (b) maintain a system of accounting established and administered in accordance with GAAP and set aside on its books from its earnings for each fiscal year all proper reserves, accruals and provisions which, in accordance with GAAP, should be set aside from such earnings in connection with its business, including, without limitation, provisions for depreciation, obsolescence and/or amortization and accruals for taxes for such period, including all taxes based on or measured by income or profits.
Books and Accounting. Jasper will maintain books of accounts relating to the Royalties in sufficient detail so as to allow for verification of the Royalties actually paid. Integral may, at its expense, have a certified public accountant, reasonably acceptable to Jasper, audit these books solely for the purpose of verifying the accuracy of Royalties paid and accompanying royalty statements, and make photocopies of such records for the certified public accountant’s use, during normal business hours upon thirty (30) days prior written notice to Jasper, but no more frequently than once a year and not later than three (3) years after the statement was rendered. Any costs associated with an audit shall be borne by Integral unless there is a discrepancy of more than five percent (5%) between Royalties actually paid and Royalties actually owed in a given month, in which case Jasper will bear the actual and documented costs of such audit.
Books and Accounting. (a) The General Partner shall keep or cause to be kept at the principal off-ice of the Partnership those records and documents required to be maintained by the Act and other books and records deemed by the General Partner to be appropriate with respect to the Partnership's business, including, without limitation, all books and records necessary to provide to the Limited Partners any information, lists and copies of documents required to be provided pursuant to Section 8.5(a) or Section 9.3 hereof. Books and Accounting. Accounting and other administrative records including the Joint Venture's books, and any other records relating to the Joint Venture shall be kept and maintained at the Englewood, CO office of the managing venturer New West Technologies, LLC with duplicate copy kept at the office of Energetics, Inc. Each venturer shall dming regular business hours have access to and may inspect and copy any and all such books and records. The Project Manager shall promptly send to each venturer copies of all reports, correspondence, documents and other information sent or received by the Joint Venture. SBA shall have authority to inspect the records of the venture at any reasonable deemed necessary time. All final original records including contract performance, accounting, bookkeeping, and audit files will be retained in the offices of the managing Venturer, New West Technologies, upon completion of the 8(a) contract performed by the joint venture.

  • Books and Accounts (a) The General Partner shall cause the Partnership to keep and maintain at its principal executive office full and complete books and records which shall include each of the following: (1) a current list of the full name and last known business or residence address of each Partner set forth in alphabetical order together with the Capital Contribution and the share in Income and Losses of each Partner; (2) a copy of the Certificate of Limited Partnership and all certificates of amendment thereto, together with executed copies of any powers of attorney pursuant to which any certificate has been executed; (3) copies of the Partnership's federal, state and local income tax information returns and reports, if any, for the six most recent taxable years; (4) copies of the original of this Agreement and all amendments thereto; (5) financial statements of the Partnership for the six most recent fiscal years; and (6) the Partnership's books and records for at least the current and past three fiscal years. (b) Upon the request of the Limited Partner, the General Partner shall promptly deliver to the Limited Partner, at the expense of the Partnership, a copy of the information set forth in Section 14.1(a) above. The Limited Partner shall have the right upon reasonable request and during normal business hours to inspect and copy any of the foregoing, or any of the other books and records of the Partnership or the Project at its own expense.

The Company shall use the accrual method of accounting in the preparation of its financial reports and for tax purposes and shall keep its books and records accordingly.

  • Financial Statements; Books and Records (a) Sellers have delivered to FID or its counsel true, correct and complete copies of (i) the audited balance sheet and profit and loss account of the Company as of 31st March 2014 and (ii) the unaudited balance sheet and statement of profit and loss of the Company 31 December 2014 (the “Unaudited Balance Sheet”), (all of the foregoing financial statements accounts of the Company and each Company Subsidiary and any notes thereto are hereinafter collectively referred to as of 31 December 2019 (if the relevant company was in existence on 30 June 2013) (the “Financial Statements”) and (iii) the management accounts of the Companies and each Company Subsidiary as of 31 December 2014 (the “Management Accounts”). The Financial Statements comply with the United Kingdom’s Companies Xxx 0000 and have been prepared on a proper and consistent basis in accordance with UK GAAP, and give a true and fair view of the assets, liabilities and state of affairs of the Company and each Company Subsidiary as at the dates indicated therein and of the profits and losses of the Company and each Company Subsidiary for the periods therein specified. The Management Accounts have been prepared with reasonable diligence and are not materially misleading. (b) All accounts, books, records and ledgers of each member of the Target Group have been, and are being, fully, properly and accurately maintained in accordance with UK GAAP in all material respects, to the extent applicable, and any other applicable legal and accounting requirements and reflect only actual transactions, and there are no material inaccuracies or discrepancies of any kind contained or reflected therein. The minute books of each member of the Target Group contain true, correct and complete records of all minutes for all meetings and other corporate actions of the members, board of directors (including committees thereof), members and managers of each member of the Target Group, as applicable, to the extent they are legally required to do so. The statutory registers of each member of the Target Group reflect all issuances, transfers, repurchases and cancelations of equity interests of each member of the Target Group, as applicable. True, correct and complete copies of the minute books and statutory registers of each member of the Target Group have been provided to FID or its counsel by the relevant member of the Target Group.

  • Loan Account and Accounting Agent shall maintain a loan account (the "Loan Account") on its books to record: all Advances, all payments made by Borrower, and all other debits and credits as provided in this Agreement with respect to the Loans or any other Obligations. All entries in the Loan Account shall be made in accordance with Agent's customary accounting practices as in effect from time to time. The balance in the Loan Account, as recorded on Agent's most recent printout or other written statement, shall, absent manifest error, be presumptive evidence of the amounts due and owing to Agent and Lenders by Borrower; provided, that any failure to so record or any error in so recording shall not limit or otherwise affect Borrower's duty to pay the Obligations. Agent shall render to Borrower a monthly accounting of transactions with respect to the Loans setting forth the balance of the Loan Account for the immediately preceding month. Unless Borrower notifies Agent in writing of any objection to any such accounting (specifically describing the basis for such objection), within 30 days after the date thereof, each and every such accounting shall (absent manifest error) be deemed final, binding and conclusive on Borrower in all respects as to all matters reflected therein. Only those items expressly objected to in such notice shall be deemed to be disputed by Borrower. Notwithstanding any provision herein contained to the contrary, any Lender may elect (which election may be revoked) to dispense with the issuance of Notes to that Lender and may rely on the Loan Account as evidence of the amount of Obligations from time to time owing to it.
