BOOKS, RECORDS AND RETURNS. 4.1 The register of members or equivalent register in the case of any Group Company not incorporated in England and Wales of each Group Company is in the possession and ownership or under the control of the Group Company and is accurate and up to date. 4.2 All returns, particulars, resolutions and other documents required to be given or delivered by any Group Company to the Registrar of Companies for England and Wales or any equivalent registry in other jurisdictions in which a Group Company is incorporated have, so far as the Seller is aware, been correctly made up in all material respects and so given or delivered.
BOOKS, RECORDS AND RETURNS. 6.1. The register of members of each Group Company has been properly kept and contains accurate records of the present members of the relevant Group Company and are in the possession of the relevant Group Company. 6.2. The accounting and other statutory books and registers and all other records required to be kept by each Group Company under applicable Law: 6.2.1. are in the possession and ownership, under the control of, or held to the order of that Group Company; 6.2.2. are up-to-date; and 6.2.3. contain complete and accurate details of the matters which should be dealt with in those books, registers and records in accordance with applicable Law. 6.3. No written claim has been made that any of the books, registers and records referred to in paragraph 6.2 of this Part 3 is incorrect or should be rectified. 6.4. So far as the Founders are aware, all accounts, returns, particulars, resolutions and other documents required by applicable Law to be given or delivered by any Group Company to the registrar of companies or any other governmental, regulatory or other authority of competent jurisdiction have been correctly made up and duly given or delivered on a timely basis.
BOOKS, RECORDS AND RETURNS. 8.1 All material books, records and information belonging to a Group Company are in its possession or accessible by it and adequately and properly documented to a degree and in a manner to be expected of a reasonable business person and are up-to-date.
BOOKS, RECORDS AND RETURNS. 9.1 The register of members, minute books, other statutory books and registers and all other records required to be kept by the Company under the applicable laws and regulations of England and Wales are in the possession and ownership or under the control of the Company, have been properly kept in all material respects and are up-to-date in all material respects. 9.2 No claim has been made that any of the books, registers and records referred to in paragraph 9.1 of this Part 1 of Schedule 3 is incorrect or should be rectified. 9.3 So far as the Sellers are aware (but without having made any enquiries with regard to the requirements of the United States), all returns, particulars, resolutions and other documents required by the applicable laws and regulations of England and Wales or the United States to be given or delivered by the Company to the registrar of companies or any other governmental, regulatory or other authority of competent jurisdiction have been correctly made up and duly given or delivered in all material respects.

Save as disclosed in the Disclosure Letter, the register of members, minute books, other statutory books and registers and all other records required to be kept by each Group Company under applicable law and regulation: 5.1.1. are in the possession and ownership or under the control of that Group Company; 5.1.2. are up-to-date; and 5.1.3. contain accurate details of the matters which should be dealt with in those books, registers and records in accordance with applicable law and regulation. 5.2. All accounts, returns, particulars, resolutions and other documents required by applicable law or regulation to be given or delivered by any Group Company to the registrar of companies or any other governmental, regulatory or other authority of competent jurisdiction have been correctly made up and duly given or delivered on a timely basis.
BOOKS, RECORDS AND RETURNSThe register of members, minute books, other statutory books and registers and all other records required to be kept by each UK Subsidiary under the Companies Xxx 0000 of the UK or any other Legal Requirement are in the possession and ownership or under the control of that UK Subsidiary, have been properly kept and contain complete and accurate details of the matters which should be dealt with in those books, registers and records. No claim has been made that any of such books, registers and records is incorrect or should be rectified. All returns, particulars, resolutions and other documents required by the Companies Xxx 0000 of the UK or any other legislation to be given or delivered by any UK Subsidiary to the registrar of companies or any other governmental, regulatory or other authority of competent jurisdiction have been correctly made up and duly given or delivered.
BOOKS, RECORDS AND RETURNS. 6.1 The statutory registers and minute books of, and all other records required to be kept by, Paragon have been duly kept and are in the possession of Paragon. 6.2 No claim has been made by any person that any of the statutory registers of Paragon is incorrect. 6.3 All notices and other documents required to be given or delivered by Paragon to the Registrar of Companies or any other governmental, regulatory or other body of competent jurisdiction have been given or delivered in accordance with all relevant requirements.
BOOKS, RECORDS AND RETURNS. 2.1 The statutory books and records required to be kept by the Company under applicable Laws: a. are in the possession and ownership or under the control of the Company; and b. contain a materially accurate record of the matters required by Laws to appear in them. 2.2 No written claim has been received by the Company in the last three (3) years that any of the statutory books and records referred to in paragraph 2.1 is incorrect or should be rectified. 2.3 All returns, particulars, resolutions and other documents required by applicable Law to be given or delivered by the Company to the registrar of companies or any other Authority in the last three (3) years have been so given or delivered in accordance with such Laws.
BOOKS, RECORDS AND RETURNS. 8.1 The statutory books (including all registers and minute books) to be kept by each Group Company under applicable law and regulation: 8.1.1 are in the possession and ownership or under the control of that Group Company; 8.1.2 are up-to-date and have been properly maintained on a consistent basis; and 8.1.3 contain accurate and complete records of the matters which should be dealt with in those books and registers in accordance with applicable law and regulation. 8.2 No claim or allegation has been received by any Group Company that any of the books, registers and records referred to in paragraph 8.1 of this part 3 is incorrect or should be rectified. 8.3 Each Group Company has duly and punctually made all returns to and filed all documents which it is required to file with the Registrar of Companies or any other authority or person and all such returns and documents were when filed accurate or complete.
