Broadcast Services. If you use Unite Conferencing’s Fax, Email, or Outbound Broadcast services to send your facsimile, email or outbound call messages (“Messages”) to your clients or potential clients (the “Recipients”) as a condition for using such broadcast services, you represent and warrant that you has the legal right to send all Messages to the Recipients (including obtaining any required consents from the Recipients) and is in compliance with all applicable laws including but not limited to: for use to or from the United States, the TCPA 47 USC 227; CANSPAM Pub. L. No. 108-187; and TSR 00 XXX 000; for use to or from Canada, laws issued by the Canadian Radio-television and Telecommunications Commission concerning telemarketing and unsolicited faxes, Personal Information Protection and Electronic Documents Act; and for use to or from UK the Privacy and Electronic Communications Regulations 2003. You further acknowledge that you are the sender of all Messages and Unite Conferencing is acting at your direction as the broadcaster of the Messages. Unite Conferencing does not provide content and you shall be solely responsible for all content of the Messages and for providing any list of names, numbers or addresses for Client to utilize in sending Messages. You shall indemnify, defend and hold the Unite Conferencing Indemnitees harmless from any and all claims, liability, penalty, fines, costs, expenses, damages including reasonable attorneys’ fees arising out of, connected with or resulting from Unite Conferencing sending the Messages to Recipients or any breach of your obligations set forth in this Paragraph. Enforceability/Waiver. If any part of this Agreement is determined to be invalid or unenforceable, then such invalid or unenforceable provision will be deemed superseded by a valid, enforceable provision that most closely matches the intent of the original provision and the allocation of risks, and the remainder of the Agreement will continue in effect. If any provision(s) is found to be contrary to law, then such provision(s) will be construed, as nearly as possible, to reflect the intentions of the parties with the other provisions remaining in full force and effect. Unite Conferencing’s failure to exercise or enforce any right or provision of this Agreement will not constitute a waiver of such right or provision unless agreed to by Unite Conferencing in a non-electronic writing manually signed by a duly authorized officer of Unite Conferencing.

Broadcast Services. Systems Integration; provided, that the parents in their respective Home Territories and the Newco Group in the RoW shall be the preferred supplier of Communications Services and Outsourcing Services therefor;
Broadcast Services. The Franchisee shall provide, but without charge and subject to the rules and regulations of the Federal Communications Commission, public emergency broadcast capabilities whereby the County can interrupt service on all channels in order to make such public emergency communications as it deems necessary.
Broadcast Services. $65,000 annually with a 6% increase beginning July 1, 2025 for a new annual amount of $68,900. The new annual amount does not include an annual allocation of $5,000 for additional ad hoc services.

  • Beta Services From time to time, We may invite You to try Beta Services at no charge. You may accept or decline any such trial in Your sole discretion. Beta Services will be clearly designated as beta, pilot, limited release, developer preview, non-production, evaluation or by a description of similar import. Beta Services are for evaluation purposes and not for production use, are not considered “Services” under this Agreement, are not supported, and may be subject to additional terms. Unless otherwise stated, any Beta Services trial period will expire upon the earlier of one year from the trial start date or the date that a version of the Beta Services becomes generally available. We may discontinue Beta Services at any time in Our sole discretion and may never make them generally available. We will have no liability for any harm or damage arising out of or in connection with a Beta Service.

  • Cloud Services Unless otherwise stated in the Agreement or in the Order, Company grants Customer a limited, non-transferable, non-sublicenseable, non-exclusive, worldwide license to access and use the Number of Units of Cloud Services during the Term solely for internal business purposes in accordance with the applicable license restrictions stated in the Business Unit Terms, Order, and Documentation.
