Buy American Requirements. The Borrower shall use or cause to be used in connection with the expenditures of funds if such funds were obtained in whole or in part by a loan being made or guaranteed by the RUS only such unmanufactured articles, materials, and supplies as have been mined or produced in the United States or any eligible country, and only such manufactured articles, materials, and supplies as have been manufactured in the United States or any eligible country substantially all from articles, materials, and supplies mined, produced or manufactured, as the case may be, in the United States or any eligible country, except to the extent the RUS shall determine that such use shall be impracticable or that the cost thereof shall be unreasonable. For purposes of this section, an “eligible country” is any country that has with respect to the United States an agreement ensuring reciprocal access for United States products and services and United States suppliers to the markets of that country, as determined by the United States Trade Representative.

Buy American Requirements. The Municipality covenants and agrees that it will comply with the requirements described as follows: (i) The Municipality will comply with all federal requirements applicable to the Loan (including those imposed by the 2014 Appropriations Act and related SRF Policy Guidelines) which the Municipality understands includes, among other requirements, that all of the iron and steel products used in the Project are to be produced in the United States (“American Iron and Steel Requirement”) unless (a) the Municipality has requested and obtained a waiver from the Department's Municipal Facilities Division (“Department”) pertaining to the Project or (b) the Department or Authority has otherwise advised the Municipality writing that the American Iron and Steel Requirement is not applicable to the Project. (ii) The Municipality will comply with all record keeping requirements under the Clean Water Act/Safe Drinking Water Act, including any reports required by a federal agency, the Department or the Authority such as performance of program deliverables, information on costs and Project progress. The Municipality understands that (a) each contract and subcontract related to the Project is subject to audit by appropriate federal and state entities and (b) failure to comply with the Clean Water Act/Safe Drinking Water Act and this Loan Agreement may be a default hereunder that results in a repayment of the Loan in advance of the maturity of the Municipal Securities and/or other remedial actions.

Buy American Requirements. 2.1 Definition: The BAA provides a preference for domestic manufactured and unmanufactured products in Government purchases. At least 50% of the value of the components must be mined, produced or manufactured in the United States (U.S.) (i.e. the Component Test) for a product to be considered "domestic" under the BAA. 1 1 The Component Test is waived for Commercially Available Off-the-Shelf (COTS) items. COTS items must 2.2 Exceptions: Exceptions to BAA are identified within Federal Acquisition Regulation (FAR) Section 25.202 with specific exceptions identified within FAR Subsection 25.202(a). Thespecial exceptions consist of: • Public Interest (i.e. Decision made by the Head of Agency); • Non-availability – Not produced in the U.S. in sufficient quantity; o Class Determination – List of products at identified at FAR Section 25.104; and o Individual Determination – (i.e. Decision by the Head of Agency); • Unreasonable Cost – When the cost of domestic good is more than 6% higher than the cost of the foreign good. (i.e. Decision by the Contracting Officer (CO)); and • Information Technology (IT) as a Commercial Item (CI). The definition of IT includes computers (Refer to FAR Section 2.101). A Determination and Findings (D&F) must be completed when one (1) or more exceptions to the BAA exists. The prepared D&F, containing the justification, must be available for public inspection. The CO must list the excepted material in the contract. Refer to FAR Subsection 25.202(b) for additional details.
