Change Proposal. A written request by Contractor, duly submitted in compliance with the procedural requirements set forth in the Construction Contract, seeking an adjustment in Construction Contract Price or Construction Contract Times, or both; contesting an initial decision by Engineer concerning the requirements of the Construction Contract Documents or the acceptability of Work under the Construction Contract Documents; challenging a set-off against payments due; or seeking other relief with respect to the terms of the Construction Contract.

Change Proposal. (a) The Contractor must make an initial proposal for a Contracting Authority Change within
(i) a description of the Change(s) to be incorporated in this Agreement;
(ii) a description of how the Contractor wishes to introduce the Change;
(iii) details as to how the Change will result in a Critical Delay or a Critical Delay in Completion;
(iv) a proposal to process the Change as a Small Change or a Large Change;
(v) in the event of a Contracting Authority Change, a provisional overview of the Financial Disadvantage of the proposed Change established in accordance with Section 2.11 (Settlement of Financial Situation) of this Schedule, (including an estimate of the costs of compiling and developing the Change proposal), which the Contracting Authority must compensate (assuming that this compensation will take place as a lump-sum payment), or else of the Financial Benefit of the proposed Change for which the Contractor must pay the Contracting Authority;
(vi) in the event of a Contractor Change, a proposal to share the financial benefit of the Change with the Contracting Authority.
(b) The Contracting Authority may request additional information from the Contractor within

Change Proposal. As soon as reasonably practicable (but in any event within [*] days) after sending or receipt of a Change Request, the Supplier will provide UBS with a brief written proposal in relation to the relevant Change (a “Change Proposal”) including, but not limited to:
(a) summary of the scope of the Change;
(b) brief details of the likely impact, if any, of the Change Request on any existing Services; and
(c) an estimate of the likely cost of implementation and/or on-going operation of the relevant Change, including any increase of or reduction in the Charges or additional Charges payable for the proposed Change. If the preparation of a Change Proposal is likely to involve significant effort or cost (“Significant Change Note”), the Supplier shall advise UBS of the same and of the estimated cost before proceeding with it.

10.7.1 a summary of the envisaged scope of the proposed Change;
10.7.2 brief details of the likely impact, if any, of the Change Request on any existing Services; and
10.7.3 an estimate of the likely cost of implementation and/or ongoing operation of the relevant Change, including any increase of or reduction in the Charges or additional Charges which would then be payable for or in respect of the proposed Change.

Change Proposal. In addition to any other express right specified elsewhere in this Agreement, a Party (Requesting Party) may, at any time during the Term, request changes to any part of this Agreement by giving a written 'Agreement Change Proposal' to the other Party (Receiving Party). Each Agreement Change Proposal must be individually sequentially numbered and dated and provide the following details:
(a) the Party requesting the change;
(b) a complete description of the proposed change;
(c) any proposed adjustment to the Fee; and
(d) any date by which the proposed change is requested to be made.
