Changes in Rates and Terms. Transporter shall have the right to propose to the FERC changes in its rates and terms of service, and this Agreement shall be deemed to include any changes which are made effective pursuant to FERC Order or regulation or provisions of law, without prejudice to Shipper's right to protest the same.

Changes in Rates and Terms. Transporter has the unilateral right to file with the FERC or other appropriate regulatory authority and make changes effective in (a) the rates and charges applicable to Rate Schedules FT-1, FT-2, BH-1 and HT-1, (b) the terms or conditions of Rate Schedules FT-1, FT-2, BH-1 and HT-1, or (c) any provisions of the General Terms and Conditions of Service applicable to Rate Schedules FT-1, FT-2, BH-1 and HT-1. Transporter agrees that Xxxxxxx may protest or contest any such filings, or seek any authorization from duly constituted regulatory authorities for such adjustment of Transporter's existing FERC Gas Tariff as may be found necessary to assure that the provisions referred to in (a), (b) or (c) of this Section 5 are just and reasonable.

Changes in Rates and Terms. Consistent with applicable regulatory requirements, laws or tariffs, Company may change or amend its rates, terms, or conditions for Service at any time for existing or potential Subscribers.
Changes in Rates and Terms. If the FERC directly or -------------------------- indirectly requires changes in the costs attributable to the gathering service hereunder, then, effective as of the date of such change, the gathering rate(s) applicable to the service provided hereunder shall be changed to reflect the full recovery of costs attributed to such service, including retroactive recovery of costs where the gathering rate(s) applies. If the FERC directly or indirectly imposes any area or system wide maximum rate for gathering, or otherwise requires an adjustment to the gathering rate(s) and such action(s) places Transporter in a position which is not economically or contractually equivalent to the position originally agreed upon, Transporter shall so notify Shipper. Upon receipt of such notice, the Parties shall commence discussions within 10 Days and thereafter diligently pursue, in good faith, the negotiation and execution of an amendment to this Agreement which results in the Parties being placed in the same economic and contractual position originally agreed upon. If the Parties are unable to reach agreement in such negotiations within a reasonable time (as determined by either Party in good faith), either Party may terminate this Agreement upon 10 Days' prior written notice.

  • Effective Date and Term of Agreement This Agreement is effective and binding on the Company and Employee as of the date hereof; provided, however, that, subject to Section 2(d), the provisions of Sections 3 and 4 shall become operative only upon the Change in Control Date.
