Civil Authority Sample Clauses
The Civil Authority clause defines how contractual obligations are affected when government actions or orders prevent one or both parties from performing as agreed. Typically, this clause applies in situations where authorities restrict access to premises, impose curfews, or otherwise limit business operations due to emergencies such as natural disasters or public health crises. Its core function is to allocate risk and clarify the parties' rights and responsibilities when performance becomes impossible or impractical due to government intervention, thereby reducing uncertainty and potential disputes.
