Communications Access. The Company will arrange with your Physician to have telephone, cellular phone, facsimile, and e-mail service, and will provide you with information on how to contact your Physician through those means (collectively, the “Communications Enhancements”). The Company will arrange for your Physician generally to be available to communicate with you (or your authorized representatives) through one or more of the Communications Enhancements, including to consult with health care providers attending to you out of state, overseas or otherwise outside of the Company’s usual service area. Telephone and email communications will be responded to as quickly as reasonably feasible. In the event that your Physician is not available due to vacation or other reasons, alternative communication with another practitioner at the Practice or with another covering physician will be arranged. Additional charges may apply for international or unusual communication expenses.

Communications Access. Without the prior written consent of the Company, other than in the ordinary course of the business of Buyer and its Affiliates solely to the extent relating to matters unrelated to the Company Group or the transactions contemplated hereby, Buyer shall not (and shall not permit any of its Affiliates or its or their Representatives to) contact or otherwise communicate with any supplier, vendor, customer, payor, lessor, contractor, employee or other commercial relation of Seller or any of its Subsidiaries, including the Company Group, in connection with the transactions contemplated hereby; provided that, the Company will provide Buyer and its authorized Representatives reasonable access, during normal business hours and on reasonable notice, to senior management and the books, records and properties of the Company Group for the purpose of facilitating the transition of ownership to Buyer, including (x) discussing and negotiating employment and retention agreements with key employees identified by Buyer and (y) performing Phase I environmental investigations (provided, that Buyer shall be responsible for all fees, costs and expenses to be incurred with any such Phase I environmental investigation, and no such fees, costs or expenses shall constitute Transaction Expenses or otherwise be for Seller’s account), so long as in each case such access does not unreasonably interfere with the operations of the Company Group and occurs in a manner that protects the health and safety of the employees of the Company; provided that such access shall not extend to any invasive sampling or analysis of soil, groundwater, indoor air, building material or other environmental media including of the sort generally referred to as a Phase II environmental investigation without the express written consent of the Company. All requests for such access shall be directed solely to Xxxxxx Xxxxxxxx & Co. or such other Persons designated by the Company in writing.
Communications Access. Without the prior written consent of the Company, Parent shall not (and shall not permit any of its Affiliates or its or their Agents to) contact or otherwise communicate with any supplier, customer, contractor or employee of the Company Group in connection with the transactions contemplated hereby or engage in any discussions with any supplier, customer, distributor, contractor or employee of the Company Group in respect of the transactions contemplated hereby; provided that, the Company will provide Parent and its authorized Agents reasonable access, during normal business hours and upon reasonable notice, to the properties, books, records and senior management of the Company Group in connection with the transition of the ownership of the Company Group to Parent, so long as such access does not unreasonably interfere with the operations of the Company Group and occurs in a manner that the Company reasonably determines to be appropriate to protect the confidentiality of the transactions contemplated hereby. All requests for such access shall be directed to Financial Technology Partners LP and FTP Securities LLC or such other Persons designated by the Company in writing.
Communications Access. During the period from the date hereof until the earlier of the Closing or the termination of this Agreement in accordance with its terms, without the prior written consent of the Group Companies (not to be unreasonably withheld, conditioned or delayed), Buyer shall not (and shall not permit any of its Affiliates or its or their Representatives to) contact or otherwise communicate with any supplier, customer, lessor, regulator, acquisition target (or representative thereof), contractor or employee of the Group Companies in connection with the transactions contemplated hereby except to the extent Buyer has been in contact with such employee in connection with the transactions contemplated hereby prior to the date hereof; provided, however, that, the Group Companies will provide Buyer and its authorized Representatives reasonable access, during normal business hours and on reasonable notice, to senior management of the Group Companies in connection with the transition of the ownership of the Group Companies to Buyer, so long as such access does not unreasonably interfere with the operations of the Group Companies and occurs in a manner that the Group Companies determines to be reasonably appropriate to protect the confidentiality of the transactions contemplated hereby and the health and safety of the employees of the Group Companies. All requests for such access shall be directed in writing to the Group Companies.

  • Service Access Access to the clinical parts of our Site is restricted to Users. Users of our Site are provided with unique User IDs by the Clinic with which they are associated and must choose a password of their choice to sign on to our Site. Users must provide personal contact information, and you must ensure that your information is kept up to date at all times. User IDs and passwords constitute an electronic signature and will be used by us to authenticate access to our Site. If a User opts to sign onto Xxxxxx.xxx, the User will be able to take advantage of the non- public sections of our Site.   • Communications and Computer Lines Tenant may install, maintain, replace, remove or use any communications or computer wires and cables (collectively, the "Lines") at the Project in or serving the Premises, provided that (i) Tenant shall obtain Landlord's prior written consent, use an experienced and qualified contractor reasonably approved by Landlord, and comply with all of the other provisions of Articles 7 and 8 of this Lease, (ii) an acceptable number of spare Lines and space for additional Lines shall be maintained for existing and future occupants of the Project, as determined in Landlord's reasonable opinion, (iii) the Lines therefor (including riser cables) shall be (x) appropriately insulated to prevent excessive electromagnetic fields or radiation, (y) surrounded by a protective conduit reasonably acceptable to Landlord, and (z) identified in accordance with the "Identification Requirements," as that term is set forth hereinbelow, (iv) any new or existing Lines servicing the Premises shall comply with all applicable governmental laws and regulations, (v) as a condition to permitting the installation of new Lines, Tenant shall remove existing Lines located in or serving the Premises and repair any damage in connection with such removal, and (vi) Tenant shall pay all costs in connection therewith. All Lines shall be clearly marked with adhesive plastic labels (or plastic tags attached to such Lines with wire) to show Tenant's name, suite number, telephone number and the name of the person to contact in the case of an emergency (A) every four feet (4') outside the Premises (specifically including, but not limited to, the electrical room risers and other Common Areas), and (B) at the Lines' termination point(s) (collectively, the "Identification Requirements"). Landlord reserves the right to require that Tenant remove any Lines located in or serving the Premises which are installed in violation of these provisions, or which are at any time (1) are in violation of any Applicable Laws, (2) are inconsistent with then-existing industry standards (such as the standards promulgated by the National Fire Protection Association (e.g., such organization's "2002 National Electrical Code")), or (3) otherwise represent a dangerous or potentially dangerous condition.

  • Communications in writing Any communication to be made under or in connection with the Finance Documents shall be made in writing and, unless otherwise stated, may be made by fax or letter.

In the event of a change in the Service Hours, CUSTOMER will provide PROVIDER with at least fifteen (15) calendar days written notice of such change.
