Compensation Charges. 5.2.1 The parties acknowledge and agree that it may be desirable for employees and other personnel of any member of the BPY Group or the Brookfield Group to provide services not included in the Services to a member of the other group. In these cases, all or a portion of the compensation (including cash, options or other security-based compensation) paid or payable to employees or other personnel who devote a portion of their time to the provision of services to the other group may be allocated to a member of such other group (a “Compensation Charge”). 5.2.2 At the end of each calendar year, Brookfield and BPY agree to negotiate in good faith the terms of any Compensation Charge in respect of that calendar year; provided that the amount of any Compensation Charge allocated to a member of the BPY Group must be approved by the governance and nominating committee of the BPY General Partner.

Compensation Charges. 5.2.1 The parties acknowledge and agree that, at the request of BEP, it may be desirable for employees and other personnel of any member of the BEP Group to receive long-term incentive compensation pursuant to one or more programs or other arrangements offered by any member of the Brookfield Group. In these cases, all or a portion of such long-term incentive compensation (including cash, options or other security-based compensation) paid or payable by the Brookfield Group to such employees or other personnel of the BEP Group shall be allocated to the applicable member of the BEP Group (a “Compensation Charge”). 5.2.2 The amount of any Compensation Charge allocated to a member of the BEP Group shall be reported to the Nominating and Governance Committee of the Managing General Partner on an annual basis.

The Lessee shall pay compensation as determined by the Appropriate Authorities to Lessor towards Horticultural trees/agricultural crops/yielding bore-xxxxx/ drip irrigation/ sprinklers building etc. for the further period as and when informed by SPPD.
Compensation Charges. If breakdown calls are not attended/ resolved within repair time as specified under IV, compensation charges @ Rs. 100/- per day after the specified repair time will be recovered from M/s GILBARCO XXXXXX-XXXX INDIA PVT LTD. for the delay.

Compensation Charges. Notwithstanding any other provisions hereof, the Hirer agree, covenant and undertake that in the event the Instalments or any other monies payable hereunder shall for any reason whatsoever remain unpaid to the Owner on the stipulated date thereof, the Hirer shall pay to the Owner compensation charges as calculated in the manner approved by the Shariah Advisory Council of Bank Negara Malaysia (“BNM”): (a) During the tenure of this Agreement: the rate of one per centum (1%) per annum or such other rates approved by BNM on the overdue Instalments; (b) Upon termination of this Agreement: the rate of one per centum (1%) per annum or such other rates approved by BNM on the outstanding balance (outstanding amount financed and mark-up); (c) After the expiry of the Agreement: the BNM’s prevailing daily overnight Islamic Interbank Money Market (“IIMM”) rate or such other rates approved by BNM on the outstanding balance (outstanding amount financed and mark-up); (d) Post Judgment - the BNM’s prevailing daily overnight IIMM rate or such other rates approved by BNM on the Judgment sum. The compensation amount shall not be compounded and the reference rate for the actual loss shall be determined at the point of default, computed on a daily basis from the payment due date.
Compensation Charges. It is expressly agreed by both parties that the Bank shall be entitled to impose on the Customer compensation (ta’widh) charges on the amount of actual loss incurred by the Bank as a direct result of delay in payment or default by the Customer based on the following mechanisms: (i) During Facility Tenure (a) for default of any payments during the tenure of the Facility, at the compensation rate of one per centum (1 ) per annum or such other rates approved by Bank Negara Malaysia on the overdue scheduled payment, calculated from the date immediately following the date of such default until the date of receipt of payment in full; (b) for default causing the Facility to be terminated or brought to court for judgment prior to the expiry of the tenure of the Facility, at the compensation rate of one per centum (1 ) per annum or such other rates approved by Bank Negara Malaysia on the outstanding balance (outstanding principal and accrued profit); (ii) After Expiry or Maturity of Facility Tenure for default of any payment exceeding the tenure of the Facility, at such rate which shall not be more than the Bank Negara Malaysia’s prevailing daily overnight Islamic Interbank Money Market ("IIMM") rate or such other rates approved by Bank Negara Malaysia on the outstanding balance (outstanding principal and accrued profit) of the Facility subject to any rebate (Ibra') that may be applicable, calculated from the date immediately following the expiry of the tenure of the Facility until date of receipt of payment in full. (iii) Post Judgment for default of payment of Facility where judgment amount has been awarded by the court, at such rate which shall not be more than the Bank Negara Malaysia’s prevailing daily overnight Islamic Interbank Money Market ("IIMM") rate or such other rates approved by Bank Negara Malaysia on the basic judgment sum of the Facility subject to any rebate (Ibra') that may be applicable, calculated from the date the judgment is made until the judgment sum is fully settled. The compensation amount shall not be compounded and the reference rate for the actual loss shall be determined at the point of default, computed on a daily basis from the payment due date.
Compensation Charges. REIMBURSEMENTS 7.1 Contracting Member hereby agrees to pay NCPA for its allocated share of all costs NCPA incurs for providing Services to Contracting Member. Such costs include REC transfer fees, direct costs associated with the management and transfer of RECs, NCPA management costs set forth in NCPA’s then current Annual Budget, and any other reimbursable expenses incurred in performing the Services. All costs NCPA incurs for providing Services to Contracting Member will be allocated as set forth in Exhibit C and NCPA’s then current Annual Budget. The Annual Budget will be updated and approved by the NCPA Commission, as it deems necessary, but not less than each year in connection with NCPA’s Annual Budget process. Such approved updates will reflect NCPA’s then current estimated annual cost for performing such continuing Services. Contracting Member shall pay NCPA for Services rendered pursuant to this Agreement at the time and in the manner set forth herein. The payments specified herein shall be the only payments from Contracting Member to NCPA for Services rendered pursuant to this Agreement. NCPA shall submit all invoices to Contracting Member in the manner specified herein. NCPA and Contracting Member acknowledge and agree that compensation paid by Contracting Member to NCPA under this Agreement is based upon NCPA’s estimated costs of providing the Services required hereunder, including salaries and benefits of employees and subcontractors of NCPA, if any. Consequently, the parties further agree that compensation hereunder is intended to include the costs of contributions to any pensions and/or annuities to which NCPA and its employees, agents, and subcontractors may be eligible. Contracting Member therefore has no responsibility for such contributions beyond compensation required under this Agreement.
