Condition and Maintenance of Equipment. The Equipment of such Grantor is in good repair, working order and condition, reasonable wear and tear excepted. Each Grantor shall cause the Equipment to be maintained and preserved in good repair, working order and condition, reasonable wear and tear excepted, and shall as quickly as commercially practicable make or cause to be made all repairs, replacements and other improvements which are necessary or appropriate in the conduct of such Grantor’s business, except where the failure to make such repairs, replacements or improvements would not have a Collateral Material Adverse Effect.

Each Pledgor shall cause the Equipment to be maintained and preserved in good repair, working order and condition, reasonable wear and tear excepted, and shall as quickly as commercially practicable make or cause to be made all repairs, replacements and other improvements which are necessary or appropriate in the conduct of such Pledgor’s business.

Condition and Maintenance of Equipment. The Equipment of the Grantors, taken as a whole, is in good repair, operating order and condition, ordinary wear and tear, casualty and condemnation excepted. Each Grantor will maintain its Equipment in accordance with Section 5.03 of the Credit Agreement.

Condition and Maintenance of Equipment. (1) Lessee has inspected the Equipment and acknowledges that the Equipment is in good condition and working order, except for those specified Defects, if any, listed by Lessee on Page 1 or listed in a written notice to Lessor mailed within 48 hours after receipt of the Equipment by Lessee;
(2) Lessee shall keep and maintain the Equipment in good condition and working order; and
(3) Lessee shall return the Equipment to Lessor in the same condition as when received, reasonable wear and tear and depreciation resulting from proper use thereof alone expected.

On the Closing Date, the Equipment (taken as a whole) that is included in the Collateral is in good repair, working order and condition, reasonable wear and tear excepted. The Guarantors shall cause the Equipment (taken as a whole) that is included in the Collateral to be maintained and preserved in good repair, working order and condition, reasonable wear and tear excepted, and shall as quickly as commercially practicable make or cause to be made all repairs, replacements and other improvements which are necessary or appropriate in the conduct of the Guarantors’ business in its prudent business judgment.
Condition and Maintenance of Equipment. The Equipment constituting Collateral of each Issuer is in good repair, working order and condition, reasonable wear and tear excepted. Each Issuer shall cause any Equipment acquired exclusively in connection with the Collateral to be maintained and preserved in good repair, working order and condition, reasonable wear and tear excepted, and shall as quickly as commercially practicable make or cause to be made all repairs, replacements and other improvements which are necessary or appropriate in the conduct of such Issuer's business.
Condition and Maintenance of Equipment. 3.1 All office and other equipment owned or used by the Company:
3.1.1 are in good repair and condition (subject to fair wear and tear); and
3.1.2 have been regularly maintained to a good technical standard and in accordance with safety regulations usually observed in relation to equipment of the relevant type, the provisions of any applicable finance leases and hire purchase, rental, credit sale and other similar agreements and all applicable safety laws and regulations currently in force.
3.2 Maintenance contracts are in full force and effect in respect of all material assets of the Company which it is normal or prudent to have maintained by independent or specialist contractors and in respect of all assets which the Company is obliged to maintain or repair under any finance lease or hire purchase, rental, credit sale or other similar agreement.
3.3 Copies of all service histories and maintenance contracts relating to office and other equipment owned or used by the Company are annexed to the Disclosure Letter.
