Conference Room Facility. The parties acknowledge that Landlord currently has a conference room facility located on the eleventh (11th) floor of the East Tower in the Wilshire Colonnade Building (the "Conference Room") which is available for use by all tenants of the Project, at a usage fee established by Landlord in Landlord's sole and absolute discretion. So long as Landlord maintains the Conference Room for non-exclusive use by tenants of the Project, Tenant shall have the right to use the Conference Room for general meeting and other related purposes for up to thirty-six (36) hours per year. Such right to use the Conference Room shall be subject to availability, as determined by Landlord, and to all such reasonable rules and regulations regarding use of the Conference Room as Landlord may impose. Tenant acknowledges that any usage of the Conference Room after Business Hours will be without any HVAC service, unless specific arrangements are made by Tenant with Landlord for HVAC usage. In the event HVAC services are provided to the Conference Room after Business Hours, Tenant shall be charged Landlord's Actual Cost for after Business Hours HVAC usage. Landlord makes no representation or warranty to Tenant that Landlord will continue to provide the Conference Room throughout the Lease Term or that the Conference Room will be available for use by Tenant at any particular time or from time to time. Landlord agrees that the costs incurred in connection with the Conference Room shall not be included in Operating Expenses.

Conference Room Facility. 46.01. As an accommodation, and at no cost or expense to Tenant, for use in common by all tenants in the Building, a conference room facility is available on the fourth floor of the Building during Normal Business Hours on Business Days. Tenant shall have the right to utilize the conference room at its option, either one (1) full day a week or two (2) half days per week. Tenant may use the conference room under the following terms and conditions, which terms and conditions are subject to change at any time, in Landlord's reasonablediscretion: (i) Tenant is not in default under the terms of this Lease beyond any applicable cure period; (ii) Tenant shall have the right to utilize the conference room provided Tenant notifies Landlord in writing of its intent to use the conference room at least twenty four (24) hours in advance and shall not enter the conference room without confirmation from Landlord that the same is available for use; (iii) Tenant shall at all times adhere to the reserved time period and vacate the conference room in broom clean condition at the end of such designated time period; (iv) Use of the conference room is on a "first come first serve basis" and as such is subject to other tenant's prior reservation of the same; and (v) Landlord has the right, in its sole and absolute discretion, at any time and without notice to relocate the conference room.

  • Conference Promptly after the execution of this Contract, Contractor shall confer with the Program Manager, Design Professional, Owner, and Using Agency to identify personnel and relevant organizational charts of each team member, and to establish working relationships with each team member.

  • Conference Attendance The Federation will be entitled to five (5) person days per year release time for designated Federation representatives to attend conferences. All conference expenses will be the responsibility of the Federation, unless funding is requested and approved through regular District processes for conference attendance.

  • Conference Leave Upon written request, supported by a copy of an invitation, an employee shall be granted leave paid at full salary of up to two thirty-fifths of their Appointment Contract(s) to present papers at academic conferences.   • Church Conference Vote At least two-thirds (2/3) of the professing members present at a church conference of the Local Church must vote to disaffiliate from The United Methodist Church “for reasons of conscience regarding a change in the requirements and provisions of the Book of Discipline related to the practice of homosexuality or the ordination or marriage of self-avowed practicing homosexuals as resolved and adopted by the 2019 General Conference, or the actions or inactions of its annual conference related to these issues which follow.” Local Church shall provide documentation, to the satisfaction of Annual Conference, which evidences the result of the disaffiliation vote taken at the church conference. Such documentation must be certified by an authorized officer of Local Church and shall be included as an Exhibit A to this Disaffiliation Agreement.

  • PUBLIC FACILITIES Supplier’s employees may be required to perform work at government- owned facilities, including schools. Supplier’s employees and agents must conduct themselves in a professional manner while on the premises, and in accordance with Participating Entity policies and procedures, and all applicable laws.

  • Conference Telephone Meetings Directors or members of any committee of the Board may participate in a meeting of the Board or such committee by means of conference telephone or similar communications equipment by means of which all persons participating in the meeting can hear each other, and such participation in a meeting shall constitute presence in person at such meeting.

  • Room The Manager grants the Resident occupancy of single space within a shared Resident unit in the Residence owned by the Institution known as: “Confederation College Residence - Xxxxxx Xxxx” (the “Residence”) for the duration of the Term. The number of Residents sharing the unit is dependent on the unit assigned to the Resident.

  • Facility Prudential is willing to consider, in its sole discretion and within limits which may be authorized for purchase by Prudential Affiliates from time to time, the purchase of Shelf Notes pursuant to this Agreement. The willingness of Prudential to consider such purchase of Shelf Notes is herein called the “Facility”. At any time, the aggregate principal amount of Shelf Notes stated in Section 1.2, minus the aggregate principal amount of Shelf Notes purchased and sold pursuant to this Agreement prior to such time, minus the aggregate principal amount of Accepted Notes (as hereinafter defined) which have not yet been purchased and sold hereunder prior to such time, is herein called the “Available Facility Amount” at such time.   • Site Visits ‌ The Commission may visit the School at any time and may, at its discretion, conduct site visits and monitoring. When appropriate, the Commission shall make reasonable efforts to provide notice of visits. Such site visits may include any activities reasonably related to fulfillment of the Commission’s oversight responsibilities including, but not limited to, inspection of the facilities; audit of financial books and records; inspection of records maintained by the School; interviews and observations of the principal, staff, school families, staff of an affiliated nonprofit or educational service provider and community members; and observation of classroom instruction.
