Confidentiality of Business Information. Manager and SNH TRS agree to keep confidential and not to use or to disclose to others, any of their respective secrets or confidential or proprietary information, customer lists, or trade secrets, or any matter or items relating to this Agreement, the management of the Facility or their association with each other except (a) to their respective Affiliates, which may in turn disclose to any holder of a Mortgage, any prospective lender, purchaser or prospective purchaser of the Facility, (b) to any rating agencies, lenders, stock analysts, accountants, lawyers and other like professionals, (c) as expressly consented to in writing by the other party, (d) as required by law or the rules of any national securities exchange or automated quotation system to which SNH TRS or Manager, or any Affiliate of either, is or becomes subject, or (e) as required by law or the applicable regulators with respect to any initial, renewal or other required application for licensure, Medicare or Medicaid participation or other approval or certification of the Facility.

Confidentiality of Business Information. Health Plan, Provider and Practitioner agree to hold all confidential or proprietary information or trade secrets of each other in trust and confidence and agree that such information shall be used only for the purposes contemplated by this Agreement. The parties shall keep strictly confidential all compensation arrangements set forth in this Agreement, except as otherwise required by law. However, Health Plan may disclose Confidential Information as defined in this subsection to a customer for purpose of audit and health plan administration so long as the customer agrees to restrict its use of information to these purposes and agrees not to further disclose the information. Furthermore, this section shall not be construed to restrict Health Plan from sharing all such information with BCBSM and its subsidiaries.
Confidentiality of Business Information. The parties heretofore have received and hereafter may receive various financial and other information concerning their respective activities, businesses, assets, and properties. The parties agree that: (i) all such information thus received by the parties shall not at any time, or in any way or manner, be utilized by the parties for its advantage or disclosed by the parties to others for any purpose whatsoever; and (ii) the parties shall take all reasonable measures to assure that no employee or agent under its control shall at any time use or disclose any information described in this Section; and (iii) this Section 9 shall not apply to (A) any such information that was known to the parties prior to its disclosure to the parties in accordance with this Section or was, is, or becomes generally available to the public other than by disclosure by the parties or any of its employees or agents in violation of this Section; or (B) any disclosure which such party makes to any regulatory agency pursuant to that party's obligations of disclosure to such agency or which is otherwise required by law.

Xxxxxx agrees that all documents, records, and other information relating to the Company or the Company's business that may hereafter come into his possession may be confidential and proprietary to the Company. Xxxx X. Xxxxxx specifically agrees to keep confidential and not to divulge to any other party any of such confidential or proprietary information. All documents and records relating to the Company or the Company's business that are developed by Xxxx X. Xxxxxx or used by him during his employment with the Company shall be deemed to be and are the sole and exclusive property of the Company.

You may be responsible for the loss of such information and/or practice if you reveal it to others, even fellow Company employees, who do not need to know this proprietary information. Both the Company, the employee, and the agent may be held liable for financial losses to the owner of the business information or practice.

Confidentiality of Business Information. 13.1 Except as referred to in sub-clause 13.2, each party shall treat as strictly confidential all information received or obtained as a result of entering into or performing this Agreement which relates to the provisions or subject matter of this Agreement, the other party or the negotiations relating to this Agreement (“Confidential Information”). 13.2 Each party may disclose information which would otherwise be confidential if and to the extent that: (a) it is required to do so by law or any securities exchange or regulatory or governmental body to which it is subject wherever situated; (b) it considers it necessary to disclose the information to its professional advisers, auditors and bankers provided that it does so on a confidential basis; (c) the information has come into the public domain through no fault of that party; (d) the information was previously disclosed to it without any obligation of confidence; or (e) the other party has given its written consent.
