Conflict with Employer Policies. In the event of any conflict between this Agreement and the policies and procedures adopted by Employer from time to time during the Period of Employment, this Agreement shall control.

Conflict with Employer Policies. The Employer’s published Human Resources Policies are in effect where they do not conflict with this Agreement or with applicable legislation. Only those portions of the Policy which conflict with the Agreement, or applicable legislation, will cease to have effect.
Conflict with Employer Policies. In the event that there is a conflict between the contents of this agreement and any rule or policy made by the Employer, or on behalf of the Employer, this agreement shall take precedence over the said rule or policy.

No consent, approval, order or authorization of, or registration, declaration or filing with, any court, administrative agency or commission or other governmental authority or instrumentality, domestic or foreign (a "Governmental Entity") is required by or with respect to CLCE in connection with the execution and delivery of this Agreement by CLCE or the consummation by CLCE of the transactions contemplated hereby.

  • Conflict in Benefits This Agreement shall supersede all prior arrangements, whether written or oral, and understandings regarding the subject matter of this Agreement. To the extent Executive is entitled to severance or other benefits upon termination of employment under this Agreement and any other agreement, including any change in control agreement entered into by the Company and the Executive, entered into prior to the Effective Date, the benefits payable under this Agreement shall supersede and replace any other such agreement.
