Cooperation by Xxxxxx. In exchange for the receipt of the payments set out above, Xxxxxx agrees to cooperate fully in any manner requested by Laclede regarding any and all pending cases, including timely and accurately providing his testimony in cases in which he was involved in any manner during his tenure of employment with Laclede. Xxxxxx will not receive any additional pay for any such testimony. Xxxxxx also agrees that in exchange for the payments set out above, he will remain on-call with Laclede and cooperate fully in any manner requested by Laclede during the period prior to and including his Separation Date and during the twelve-month period ending on September 30, 2008, with respect to reasonable requests for information by Laclede in order to access Laclede’s information, explain information known by Xxxxxx by virtue of his employment with Laclede, or otherwise assist in transitioning Xxxxxx’x job responsibilities with Laclede and transitioning Laclede’s systems and procedures.
Cooperation by Xxxxxx. Tenant shall provide the name and telephone number of Tenant’s accounting manager, or equivalent person, who has a thorough knowledge of the accounting system as it pertains to commercial operations under this Lease and who will assist MAC with any audit conducted by XXX. Tenant will also allow interviews of past and present accounting manager or equivalent person and employees who are or were involved in the financial and operational activities of Tenant.
Cooperation by Xxxxxx. Seller will use its reasonable best efforts to assist the Buyer in securing all necessary consents, approvals, authorizations, exemptions and waivers from third parties as shall be required to enable Seller to effect the transactions contemplated herein, and Seller will otherwise use its reasonable best efforts to cause the consummation of such transactions in accordance with the terms and conditions hereof and to cause all conditions contained in this Agreement over which it has control to be satisfied. Seller further agrees to deliver to the Buyer prompt written notice of any event or condition, which if it existed on the date of this Agreement, would result in any of the representations and warranties of Seller contained herein being untrue in any material respect.
Cooperation by Xxxxxx. Xxxxxx shall use his reasonable best efforts to cooperate with Buyer to secure all necessary consents, approvals (including FCC Approvals), authorizations, exemptions and waivers from third parties as shall be required in order to enable Xxxxxx to effect the transactions contemplated hereby, and Xxxxxx shall otherwise use his reasonable best efforts to cause the consummation of such transactions in accordance with the terms and conditions hereof and to cause all conditions contained in this Agreement over which it has control to be satisfied. Xxxxxx further agrees to deliver to Buyer prompt written notice of any event or condition known to or discovered by him, which if it existed on the date of this Agreement would result in any of the representations and warranties of Xxxxxx contained herein being untrue in any material respect. In addition, Xxxxxx shall cooperate with Buyer and shall use his reasonable best efforts to assist Buyer in obtaining the proper renewal or replacement of the Permits identified on Schedule 4.4.
Cooperation by Xxxxxx. The Company by written notice may require the Holder to promptly furnish in writing to the Company such information regarding the Holder and his distribution of the Registrable Securities as it may from time to time reasonably request and such other information as may be reasonably required or advisable in connection with such registration. The Company shall have the right to exclude from any offering the Registrable Securities of the Holder if he does not comply with the provisions of the immediately preceding sentence. The Holder agrees that upon receipt of any notice from the Company of the happening of any event which makes any statement in a Registration Statement or Prospectus (including supplements and amendments) or any document incorporated or deemed to be incorporated therein by reference untrue in any material respect or that requires the making of any changes in such Registration Statement, prospectus or documents so that, in the case of the Registration Statement it will not contain any untrue statement of a material fact or omit to state any material fact required to be stated therein or necessary to make the statements therein, in light of the circumstances under which they were made, not misleading, the Holder will forthwith discontinue disposition of Registrable Securities pursuant to the Registration Statement covering such Registrable Securities until the Holder's receipt of the copies of a supplemented or amended Prospectus and, if so directed by the Company, the Holder will deliver to the Company all copies, other than permanent file copies, then in the Holder's possession, of the most recent prospectus covering such Registrable Securities at the time of receipt of such notice.
Cooperation by Xxxxxx. (a) Xxxxxx shall furnish to the Company in writing such information and affidavits as the Company may reasonably require in connection with any registration, qualification or compliance with respect to such securities. It shall be a condition precedent to the obligations of the Company to take any action pursuant to this Agreement with respect to the securities of any Selling Shareholder that such Selling Shareholder shall furnish to the Company such information regarding the Selling Shareholder, the securities to be registered and other securities in the Company held, and the intended method of disposition of such securities as shall be required to effect the registration of such securities.
Cooperation by Xxxxxx. Upon request, Xxxxxx must provide to MAC the name and telephone number of Tenant’s accounting manager, or equivalent person, who has a thorough knowledge of the accounting system as it pertains to commercial operations under this Lease and who will assist MAC with any audit conducted by XXX. Tenant will also allow interviews of past and present accounting managers or equivalent persons and employees who are or were involved in the financial and operational activities of Tenant.
Cooperation by Xxxxxx s is a material term of this Settlement Agreement and shall include the following:
