Cooperation with Other Suppliers. The Supplier must cooperate with and not unreasonably interfere with work or deliveries by other suppliers and the Principal’s personnel at the site.
Cooperation with Other Suppliers. (1) Cognizant Group shall cooperate with any Other Supplier, to the extent required for Cognizant Group to provide the Services in accordance with this Agreement or to the extent required for such Other Supplier to provide its services to NAIC Group, in each case, without materially impacting Cognizant Group’s then-current delivery model. Such cooperation shall include:
(a) provision of requested and applicable written information concerning the Services, data and technology used in providing the Services including information regarding the operating environment, system constraints and other operating parameters;
(b) reasonable assistance and support to the Other Suppliers;
(c) reasonable access to Cognizant Group and NAIC Group Systems and architecture configurations associated with the Services, to the extent reasonably requested by Other Suppliers; and – NAIC Confidential –
(d) subject to Section 7.02, access to and use of the Cognizant IP and Cognizant Hardware to the extent reasonably requested by Other Suppliers; provided, however, that provision of such information, assistance, support and access shall be subject to such Other Supplier being bound by confidentiality provisions consistent with those in this Agreement and complying with Cognizant Group’s security policies, to the same extent such policies are applicable to NAIC Group under this Agreement.
(2) In the event that Cognizant Group materially breaches any of its obligations set forth in this Article, and as a result thereof NAIC Group is required to pay any reasonable additional amount to any Other Supplier, then Cognizant Group shall reimburse NAIC Group for any such additional amount NAIC Group is required to pay to such Other Supplier. Such reimbursement shall not limit NAIC Group’s right to recover in accordance with this Agreement, other damages incurred by NAIC Group as a result of such failure; provided, however, that any damages awarded as a result of such additional recovery shall be offset by the amount of any such reimbursement to NAIC Group in connection with such breach to the extent that such additional recovery is for the same Loss for which NAIC Group was reimbursed pursuant this Section 6.01(2).
Cooperation with Other Suppliers. Milliman Group shall cooperate with any third party providing services to a Service Recipient to the extent required for Milliman Group to provide the Services in accordance with this Agreement or to the extent required for such third party to provide its services to Voya Group, in each case, without materially impacting Milliman Group’s then-current delivery model.
Cooperation with Other Suppliers. 2.1 Except as stated otherwise in a Subscription Form or Statement of Work, you must where relevant:
(a) work coNoperatively and collaboratively with, and provide reasonable assistance to, Third Party Service Providers to the extent relevant to your provision of the Services to the Purchasing Agency, both proactively and when reasonably requested by the Purchasing Agency or Third Party Service Providers from time to time, provided that if any actions the Purchasing Agency requests you to take in accordance with this clause 2.1(a) materially change the scope of the Services or materially increase your cost to provide the Services such change shall be agreed in accordance with the Change ProcedureX and
(b) manage the interface and integration of the services and deliverables provided by Third Party Service Providers with your Services and Infrastructure with a view to ensuring an efficient, cost effective and seamless overall delivery of services to the Purchasing Agency, to the extent specified in the relevant Statement of Work. If you’re to act as the Purchasing Agency’s agent visNàNvis other service providers, you’ll need some authorisations. They need to be set out in an Authorisations Schedule to the relevant Statement of Work and you can show them to the relevant service providers as evidence of your authority to act.
Cooperation with Other Suppliers. The Supplier must, in the performance of the Services, fully co-operate with:
(a) Other Providers
(b) community and any organisation that provides services similar to the Services,
(c) without limiting paragraph (a) and (b), any other person, including First Nations groups, academic and research organisations, and other organisations or community groups.
Cooperation with Other Suppliers. Supplier shall cooperate with any Other Supplier, to the extent required for Supplier to provide the Services in accordance with this Agreement or to the extent required for such Other Supplier to provide its services to Voya Group. Such cooperation shall include:
(1) provision of requested and applicable written information concerning the Services, data and technology used in providing the Services including information regarding the operating environment, system constraints and other operating parameters;
(2) reasonable assistance and support to the Other Suppliers;
(3) reasonable access to Supplier and Voya Group Systems and architecture configurations associated with the Services, to the extent reasonably requested by Other Suppliers; and
(4) access to and use of the Supplier IP and Supplier hardware to the extent reasonably requested by Other Suppliers; provided, however, that provision of such information, assistance, support and access shall be subject to such Other Supplier being bound by confidentiality provisions consistent with those in this Agreement and complying with Supplier's security policies or license restrictions, to the same extent such policies are applicable to Voya Group under this Agreement.
Cooperation with Other Suppliers. In the event that DHS enters into a Contract with another Supplier for additional services, the Supplier will ensure that Supplier’s personnel fully cooperate with said other Supplier. Contracted personnel shall not commit any act that interferes with the rendering of Services by any other Supplier or by DHS. Contracted personnel shall cooperate with State personnel, hardware manufacture representatives, system software suppliers, and communications systems suppliers in the provision of Services under this Contract. The apparent silence of the DHS' specifications as to any detail, or the apparent omission of a detailed description concerning any matter, shall be regarded as meaning that only the best commercial practice shall be followed and only material and workmanship of the first quality may be used. Upon any notice of noncompliance provided by DHS, Supplier shall supply proof of compliance with the specifications or provide written notice of their intent to deliver alternate or substitute Services or deliverables. Alternate or substitute Services or deliverables may be accepted or rejected in the sole discretion of DHS, and any such alternates or substitutes shall be accompanied by Supplier's certification and evidence satisfactory to DHS that the function, characteristics, performance and endurance shall be equal or superior to the original Services or deliverables specified. DHS will not unreasonably withhold the approval of alternates or substitutes under this section. The Supplier shall maintain the following insurance coverage:
Cooperation with Other Suppliers. Supplier agrees to cooperate with other suppliers, vendors, consultants and third-parties as reasonably directed by University, subject to the terms of this Agreement.
Cooperation with Other Suppliers. 6.1 Subject to clause 6.2 and except as stated otherwise in a Subscription Form, Order or Statement of Work, you must where relevant work co-operatively and collaboratively with, and provide reasonable assistance to, Third Party Service Providers to the extent relevant to your provision of the Enterprise Software and/or Associated Services to the Purchasing Agency, both proactively and when reasonably requested by the Purchasing Agency or Third Party Service Providers from time to time.
6.2 If any actions the Purchasing Agency requests you to take in accordance with clause 6.1 materially change the scope of the Services or materially increase your cost to provide the Services such change shall be agreed in accordance with the Change Procedure.
Cooperation with Other Suppliers. In the event that DHS enters into a Contract with another Supplier for additional services, the Supplier will ensure that Supplier’s personnel fully cooperate with said other Supplier. Contracted personnel shall not commit any act that interferes with the rendering of Services by any other Supplier or by DHS. Contracted personnel shall cooperate with State personnel, other Medicaid Enterprise Systems (MES) suppliers, hardware manufacture representatives, system software suppliers, and communications systems suppliers in the provision of Services under this Contract.
