Cooperation with Representatives. Seller shall cooperate with Buyer and its accountants, counsel and/or other representatives in providing information and materials pertaining to the operation and marketing of the Property, including access to the Property. Without limiting the generality of the foregoing, from and after the execution and delivery of this Agreement, Seller shall allow a representative or representatives of Buyer access to the Property for the purpose of (a) monitoring the operation of the Property, (b) meeting with and interviewing tenants of the Property, which tenants shall be made available for such interviewing process, and (c) performing such investigations and analyses of the Property as Buyer may reasonably require.
Cooperation with Representatives. Seller shall cooperate with Buyer and its accountants, counsel and/or other representatives in providing information and materials pertaining to the operation and marketing of the Additional Properties, including access to the Additional Properties. Without limiting the generality of the foregoing, from and after the execution and delivery of this Amendment, Seller shall allow a representative or representatives of Buyer access to the Additional Properties for the purpose of (a) monitoring the construction and operation of the Additional Properties and all improvements thereon, including attending any and all construction meetings, (b) meeting with and interviewing tenants or prospective tenants of the Additional Properties, which tenants shall be made available for such interviewing process, and (c) performing such investigations and analyses of the Additional Properties as Buyer may reasonably require.

Cooperation with Representatives. Seller shall cooperate with Buyer and its accountants, counsel and/or other representatives in providing information and materials pertaining to the operation and marketing of the Property, including access to the Property, provided that Seller shall not be required to incur any unreasonable expense (except for Seller's attorney's fees and costs, which shall be at Seller's sole cost and expense) and such access shall be upon prior written or facsimile notice by Buyer to Seller or Seller's property manager (i.e. K.O. Investment, Inc.), and subject to Seller's consent which shall not be unreasonably withheld, conditioned or delayed. Without limiting the generality of the foregoing, from and after the execution and delivery of this Agreement, Seller shall allow a representative or representatives of Buyer access to the Property for the purpose of (a) meeting with and interviewing tenants of the Property provided that (i) such communication does not unreasonably interfere with Tenant's operation of their business or place unreasonable demands on their time, and (ii) Seller shall have no responsibility to make tenants available to Buyer, although if Buyer wants to communicate with a specific tenant, Buyer may request Seller to inform the tenant to expect Buyer's call and to cooperate with Buyer, and (b) performing such investigations and analyses of the Property as Buyer may reasonably require.
Cooperation with Representatives. In addition to the provisions of Section 5.2 herein, Seller shall, at no material cost to Seller, cooperate with Buyer and its accountants, counsel and/or other representatives in providing information and materials pertaining to the operation and marketing of the Property. Without limiting the generality of the foregoing, Seller shall, without charge to Buyer, allow a representative or representatives of Buyer access to the Property for the purpose of (a) meeting with and interviewing (i) the Property Manager’s Regional Manager, (ii) the Property Manager’s General Manager, (iii) the Property Manager’s Director of Sales and Marketing, (iv) the Property Manager’s Maintenance Director, (v) the Seller’s Director of Engineering, (vi) the Property Manager’s Food and Beverage Director and (vii) the Property Manager’s Executive Housekeeper; provided, that with respect to the preceding clauses (vi) and (vii), such access shall be provided only after Buyer’s Deposit has become fully “earned” by Seller and non-refundable to Buyer; provided, further, that Seller and the Property Manager shall have the right to have a representative present at all such meetings described in this clause (a) and (b) performing such investigations and analyses of the Property as Buyer may reasonably require, subject to the requirements of Section 8.1 herein.
Cooperation with Representatives. Subject to the provisions of SECTION 8, Seller shall cooperate with Buyer and its accountants, counsel and/or other representatives in providing information and materials pertaining to the operation and marketing of the Property, including access to the Property; provided, however, that Seller shall not be obligated to provide any information or materials which is subject to the attorney-client privilege or which is proprietary in nature. From and after the execution and delivery of this Agreement, and subject to Section 8, Seller shall allow a representative or representatives of Buyer access to the Property at reasonable times and upon the notice provided for in SECTION 8.1.2, for the purpose of (a) monitoring the operation of the Property and (b) performing such investigations and analyses of the Property as Buyer may reasonably require.

Cooperation with Representatives. Seller shall reasonably cooperate with Buyer and Buyer's Representatives in providing information and materials pertaining to the operation of the Epicure Business in the manner and at the times provided in this Agreement. In addition, after the Loan Commitment Letter shall have been issued and a copy thereof delivered to the Seller Representative (or sooner upon the written waiver by Buyer of all conditions relating to Buyer's financing), Seller shall permit, subject to reasonable times, procedures and other standards to maintain confidentiality of this transaction and minimize disruption of Seller's business and which are mutually and reasonably acceptable to Seller and Buyer, a representative or employee of Buyer to visit from time to time the Epicure Business in order to observe the operations and business of the Epicure Business.

Cooperation with Representatives. SHUMMI agrees that REMEDENT will contract with the business liaison company ORAL 2000, LTD or other such company to provide technical assistance, quality control, shipping arrangements, and payment services if necessary. SHUMMI agrees to extend full cooperation to ORAL 2000, LTD or any other business liaison company that REMEDENT may delegate to the project from time to time, with the understanding that such business liaison company has full authority to demand quality of the products.
