Costs of Technology Transfer. Purchaser shall be responsible for all costs of performing the Technology Transfer, except that Manufacturer shall be responsible for the costs of performing the tasks assigned to Manufacturer in the TTMTP and the costs of any activities that are solely related to the manufacture of Seller Products for Distribution in the Seller Countries (including registration, qualification and validation expenses and stability and bioequivalence studies that support only or substantially the Seller Countries); provided, however, that the Parties shall agree upon an appropriate allocation of the costs of any activities that are substantially (but not solely) related to the manufacture of Seller Products for Distribution in the Seller Countries and are also required for the manufacture of Products for Distribution in the United States.

Costs of Technology Transfer. (a) Support and assistance to be provided by ATL to Cortendo pursuant to clause 8.1 shall be provided at no cost to Cortendo, up to a maximum of [****] ([****]) hours per week and [****] ([****]) hours in the aggregate, for six (6) months after the Start Date; provided that Cortendo shall reimburse ATL for all substantiated out-of-pocket costs (including Third Party fees for services) incurred by ATL relating to the foregoing assistance and support provided to Cortendo that are approved in advance in writing by Cortendo.
Costs of Technology Transfer. Except for such costs to be borne by AAC as set forth herein, Baxter shall be solely responsible for any and all costs associated with the transfer of manufacturing of Products and CoSeal Units from the Cohesion facility to the facility where Products and CoSeal Units are to be manufactured by or on behalf of Baxter. To facilitate the transfer, AAC shall provide up to [***] personnel work hours at no cost to Baxter, other than reimbursement to AAC of out-of-pocket expenses related thereto. AAC shall be responsible for all costs associated with Cohesion’s termination of manufacturing the Product and the CoSeal Unit at the Cohesion facility (including severance payments to employees).
Costs of Technology Transfer. TMC shall pay Biogen's fully-burdened costs associated with Technology Transfer, provided that the activities and the time spent performing the activities for which the costs are to be paid are reflected in the Technology Transfer Plan, as updated from time to time, or TMC has specifically requested the additional time or activities. Biogen shall bill XXX for Biogen's fully-burdened costs related to Technology Transfer on a monthly basis. TMC shall pay all Biogen invoices within thirty (30) days of receipt.

Coherus will reimburse Junshi for (i) internal costs (at the FTE Rate) reasonably incurred by or on behalf of Junshi or its Affiliates in connection with Technology Transfer in excess of 100 hours of consultation and assistance related thereto, and (ii) all verifiable external or out-of-pocket costs actually incurred by or on behalf of Junshi or its Affiliates in connection with any Technology Transfer, in each case ((i) and (ii)), within 45 days after receiving Junshi’s invoice therefor.

Costs of Technology Transfer. Except for such costs to be borne by Kevelt and Pharmsynthez as set forth herein, Xenetic shall be solely responsible for any and all costs associated with the transfer of manufacturing of Virexxa to the facility where Virexxa is to be manufactured by or on behalf of Xenetic. To facilitate the transfer, Kevelt and Pharmsynthez shall provide all employees necessary to effectuate the transfer at minimum cost to Xenetic, other than reimbursement to Kevelt and Pharmsynthez of out-of-pocket expenses related thereto. Kevelt and Pharmsynthez shall be responsible for all costs associated with their termination of manufacturing Virexxa (including any severance or other payments owed to employees following the termination of manufacturing Virexxa by Kevelt and Pharmsynthez).
Costs of Technology Transfer. Nuance will reasonably cooperate, and will cause any of its Affiliates to cooperate, with Apollomics to facilitate the Continuing Technology Transfer to Apollomics. In the course of any Technology Transfer, Nuance will provide Apollomics with reasonable access by teleconference or in-person at Nuance’, or any of its Affiliates’, facilities to Nuance or any of its Affiliates’ personnel involved in the Development or Manufacture of TYG100 to provide Apollomics with a reasonable level of technical assistance and consultation in connection with all Technology Transfers. Apollomics will be responsible for its costs and expenses incurred in connection with the foregoing consultation and assistance in connection with the Initial Technology Transfer and Continuing Technology Transfer.
