County Representations. The County, on its own behalf, makes the following representations and warranties which may be specifically relied upon by all parties as a basis for entering this Agreement. The County is a political subdivision duly created and organized under the Constitution of the State of Georgia. The governing authority of the County is duly authorized to execute, deliver and perform this Agreement. This Agreement is a valid, binding, and enforceable obligation of the County.
County Representations. County represents to the Committed Cities that as of the Effective Date there are no Known claims pending or threatened against the County related to ownership, operation or use of the Central Disposal Site or any of the Former Urban Landfills arising out of, based on or resulting from the presence or release of, or exposure to, any Hazardous Substance. For purposes of this representation, the term “Known” means the actual knowledge after reasonable due inquiry of the County employees listed on Exhibit D.
County Representations. COUNTY accepts and agrees to comply with all terms, provisions, conditions, and written commitments of this Funding Agreement, including all incorporated documents, and to fulfill all assurances, declarations, representations, and statements made by FCWCD or COUNTY in the application, documents, amendments, and communications filed in support of FCWCD’s request for Safe Drinking Water, Water Quality and Supply, Flood Control, River and Coastal Protection Bond Act of 2006 financing for the Project.
County Representations. County hereby warrants and represents that: (a) it has provided or shall provide timely to ARI, all records relating to its electrical use and fees, or any maintenance of Facilities requested by ARI and the information set forth therein is, and all information in other records to be subsequently provided pursuant to this Contract will be true and accurate in all material respects; and (b) it has not entered into any leases, contracts, or agreements with other persons or entities regarding the licensing or provision of a Solar Energy System for the Facilities or with regard to servicing any of the Equipment to be located in the Facilities.
County Representations. The County, hereby represents to the City that (i) the County has the experience, skill and authority necessary to perform the services and otherwise to comply with the County’s obligations set forth herein; (ii) the County will comply with all applicable federal, state and local laws, rules and regulations, codes, statutes and ordinances and orders of any governmental or regulatory authority; (iii) the County will obtain all licenses and permits required to perform the services; (iv) the County will require that any material or work product provided respect to the Event shall not infringe upon any patent, trademark, or copyright, or otherwise violate the rights of any person, firm or corporation; (v) the County will obtain all necessary consents, permissions or releases, and to timely make all payments to third parties that may be required to provide the services; All personal property used in conjunction with services rendered shall remain County property, and shall be used by the County at its sole risk. The City shall not be responsible for any loss of (including theft), or damage to, any of the County’s personal property.

The execution of this Contract by the Chairman of the County Board has been duly authorized and approved by the County, and no authorizations, approvals, or consents are required in order for this Contract to constitute a binding and enforceable legal obligation of the County. 2. The execution of the Contract does not conflict with any other agreement, indenture or any other instrument to which the County is a party.

This Agreement has been duly authorized and properly executed and delivered and constitutes the valid and binding obligations of County, enforceable in accordance with its terms, subject to principles of equity, bankruptcy, insolvency, and other laws generally affecting creditors' rights and the enforcement of debtors' obligations.
