Covenant Against Solicitation of Customers. During the period of Participant’s employment and for two (2) years after his or her Last Day of Employment, Participant acknowledges and agrees that he or she will not, directly or indirectly, solicit or enter into any arrangement with any person or entity which is, at the time of the solicitation, a customer of Company for purposes of engaging in any business transaction of the nature performed by Company, or contemplated to be performed by Company, provided that this Section 2.4 will only apply to customers for whom Participant personally provided services while employed by Company or customers about whom or which Participant acquired material information while employed by Company. For Participants whose primary place of employment as of the Last Day of Employment is in Puerto Rico or Arizona, the restrictions in this Section 2.4 shall be limited to one (1) year following Participant’s Last Day of Employment. The restrictions in this Section 2.4 shall not apply if Participant’s primary place of employment as of the Last Day of Employment is in California or North Dakota; provided, however, to the extent permitted under such state’s laws, Company nevertheless retains all rights and remedies set forth in Sections 2.8 and 2.9 in lieu of enforcing the restrictive covenant set forth in this Section 2.4.

Covenant Against Solicitation of Customers. Employee agrees that during the Term of this Agreement and for a period of two (2) years immediately following termination of this Agreement, Employee shall not, on his own behalf or on behalf of any person, firm, partnership, association, corporation or business organization, entity or enterprise, solicit, contact, call upon, communicate with or attempt to communicate with any customer or prospect of the Company, or any representative of any customer or prospect of the Company, with a view to the selling or providing of any program, product or service competitive or potentially competitive with any program, product, equipment or service sold or provided or under development by the Company during a period of two (2) years immediately preceding termination of this Agreement, provided, however, that the restrictions set forth in this Section 6 shall apply only to customers or prospects of the Company, or representatives of customers or prospects of the Company, with which Employee had contact during such two-year period. The actions prohibited by this section shall not be engaged in by Employee, directly or indirectly, whether as manager, owner, sales or service representative, agent, engineer, technician or otherwise. Employee hereby confirms and acknowledges that the covenant set forth in this Section is reasonable, appropriate and necessary to protect the interest of the Employer and will not cause undue hardship on Employee.
Covenant Against Solicitation of Customers. During the period of Participant’s employment and for two (2) years after his or her Last Day of Employment, regardless of whether termination is voluntary or involuntary, Participant acknowledges and agrees that he or she will not, directly or indirectly, on his or her own behalf or on behalf of any other person or entity, solicit or enter into any arrangement with any person or entity that is, at the time of the solicitation, a customer of Company or any Affiliate for purposes of engaging in any business transaction of the nature performed by Company or any Affiliate, or contemplated to be performed by Company or any Affiliate.

For Participants whose primary place of employment as of the Last Day of Employment is in Puerto Rico or Arizona, the restrictions in this Section 3.4 shall be limited to one (1) year following the Participant’s Last Day of Employment. The restrictions in this Section 3.4 shall not apply if Participant’s primary place of employment as of the Last Day of Employment is in North Dakota.

Covenant Against Solicitation of Customers. During the term of this Agreement and for a period of twenty-four (24) months after any termination or expiration of this Agreement, for any reason, Executive shall not, directly or indirectly, individually or on behalf of any Person, solicit Executive Customers (as defined below) for the purpose of providing products or services which are competitive with the products or services offered by the Company. For purposes of this provision, the term "Executive Customers" means Customers (I) that were solicited or served by Executive during the term hereof, (ii) whose dealings with the Company were coordinated or supervised, in whole or in part, by Executive, or (iii) with respect to whom Executive obtained Confidential Information during the one-year period immediately prior to any termination or expiration of this Agreement.
Covenant Against Solicitation of Customers. Except as otherwise expressly provided herein, each Member covenants and agrees that, for a period of twenty-four (24) months after a Member ceases to be associated with the Company as a Member (the “Non-Solicit Period”), the Member will not, directly or indirectly, either on the Member’s own behalf or on behalf of any other individual or commercial enterprise, contact, communicate, solicit, or transact any business with or assist any third-party in contacting, communicating, soliciting, or transacting any business with (i) any current customer or client, including, without limitation, any referral source (each, a “Referral Source”) of the Company; (ii) any prospective customer, client, or Referral Source of the Company who or that was being solicited at the beginning of the Non-Solicit Period; or (iii) any individual or entity who or that was within the most recent twelve (12) month period a customer, client or Referral Source of the Company, for the purpose of inducing such customer, client, potential customer or Referral Source to be connected to or to benefit from any business or other commercial activity that competes with the Business or to terminate its or their business relationship with the Company, excluding general solicitations or general announcements on social media platforms.

Covenant Against Solicitation of Customers. For a period of one (1) year after the Termination Date of the Consulting Agreement, Consultant shall not contact or deal or solicit or do business with any customer of the OPEL with respect to a product that may compete in any way with products that were in development or sample or offered for sale by OPEL during the Consultant’s period of engagement by OPEL or any of its affiliates or subsidiaries.
