Covenants of the Agency. (a) After first satisfying, to the extent provided for therein, the S-1 Electricity requirements of all Members under the Power Sale Agreements S-1, as such requirements are established from time to time, the Agency shall endeavor to market and dispose of, under the most economically advantageous terms and conditions reasonably obtainable, all surplus electric power and energy which it obtained from its power supply resources, and which, in the sole judgment of the Agency, can be disposed of without adversely affecting the Agency’s ability to meet its obligations under this Agreement or under any agreements, indentures or instruments relating to any bonds, notes or other indebtedness of the Agency, subject to any limitations under the Internal Revenue Code of 1986, as amended, and applicable regulations and rulings thereunder (the “Code”) applicable to the maintenance of the tax-exempt or tax-advantaged status of obligations issued by the Agency pursuant to the Code.
