Damages Upon Lease Termination. If Landlord terminates this Lease, (i) Tenant shall remain liable to Landlord for all obligations of Tenant under this Lease arising up to the date of such termination, and Tenant shall surrender the Premises to Landlord on the date specified in Landlord’s notice of termination, and (ii) Landlord may recover from Tenant the sum of: all Base Rent, Additional Rent and all other amounts accrued hereunder to the date of such termination; and all damages incurred by Landlord arising from such Event of Default, including but not limited to (A) the cost of reletting the whole or any part of the Premises, including without limitation brokerage fees and/or leasing commissions incurred by Landlord (provided that Tenant shall not be liable for any portion applicable to the period after the scheduled expiration date of the Term), and costs of removing and storing Tenant’s or any other occupant’s property, repairing, altering, remodeling, or otherwise putting the Premises into the condition necessary to rent the Premises at the prevailing market rate to the extent that Tenant was required to perform such restoration at the scheduled expiration of the Term of this Lease, brokerage fees, advertising costs and all reasonable expenses incurred by Landlord in pursuing its remedies, including reasonable attorneys’ fees and court costs; and (B) the excess of the then present value of the Base Rent and other amounts payable by Tenant under this Lease as would otherwise have been required to be paid by Tenant to Landlord during the period following the termination of this Lease measured from the date of such termination to the expiration date stated in this Lease, over the present value of any net amounts which Landlord can reasonably expect to recover by reletting the Premises for such period, taking into consideration all relevant factors, including, but not limited to, (a) the length of time remaining in the remaining Term, (b) the then current market conditions in the general area in which the Premises is located, (c) the likelihood of reletting the Premises for a period of time equal to the remainder of the Term, (d) the net effective rental rates then being obtained by landlords for similar type space of similar size in similar type buildings in the general area in which the Premises is located, (e) the vacancy levels in the general area in which the Premises is located, (f) current levels of new construction that will be completed during the remaining Term and how this c...

Damages Upon Lease Termination. In the event that Landlord elects to terminate this Lease, then upon such election, Tenant shall pay the Lease Termination Payment to Landlord within thirty (30) days after receipt of notice from Landlord of such election. Thereafter, such amounts as Landlord may actually receive from reletting, shall be paid to Tenant as received by Landlord to reimburse Tenant for payment of such amounts, after deducting therefrom the reasonable costs incurred by Landlord of collection and for re-letting the Premises, including, without limitation, the costs of broker’s fees and the costs of making alterations and repairs in order to re-let the Premises.‌
Damages Upon Lease Termination. If the LANDLORD elects to terminate the LEASE, the LANDLORD will be entitled to recover as damages: 26.1.1.1. The sum of all ANNUAL MINIMUM RENT and all other RENT payable under the LEASE by TENANT up to the date TENANT quits and surrenders the PREMISES to LANDLORD, including any late fees and attorneys' fees which LANDLORD may have incurred in connection with such repossession; and 26.1.1.2. Reasonable costs and fees associated with maintenance, repair and re-leasing the PREMISES, including, without limitation, advertisements, lease fees and commissions and leasehold improvement costs.

The City shall have no obligation to compensate Consultant for work not verified by logs or timesheets.

As a condition precedent to the receipt of any of the severance benefits hereunder the Executive hereby agrees to execute a release of claims against the Company and its affiliates in form and substance reasonably satisfactory to the Company. C. In the event Executive elects to terminate employment as set forth in Section 5(F) then in such event any options not vested as set forth in Section 3(B) shall terminate. D. Upon any termination or expiration of the Executive's employment hereunder pursuant to Section 5, the Executive shall have no further liability or obligation under or in connection with this Agreement; provided, however, that the Executive shall continue to be subject to the provisions of Sections 8, 9, 10, 11 and 12 hereof (it being understood and agreed that such provisions shall survive any termination or expiration of the Executive's employment hereunder for any reason). Upon any Voluntary Termination by the Executive (other than a resignation by the Executive for Good Reason), or expiration of Executive's employment agreement, the Company shall have no further liability under or in connection with this Agreement, except to pay the portion of the Executive's Base Salary earned or accrued at the date of termination.
