DATA PROCESSOR PERSONNEL. Access to Personal Data by Data Processor will be limited to personnel who require such access to perform Data Processor’s obligations under the Agreement and who are bound by obligations to maintain the confidentiality of such Personal Data at least as protective as those set forth herein and in the Agreement.
DATA PROCESSOR PERSONNEL. Druva shall ensure that its personnel engaged in the Processing of Personal Data are informed of the confidential nature of the Personal Data, have received appropriate training regarding their responsibilities, and have executed written confidentiality agreements. Druva shall ensure that Druva’s access to Personal Data is limited to those personnel assisting in the provision of the Cloud Services in accordance with the Customer Agreement.
DATA PROCESSOR PERSONNEL. The Data Processor shall take reasonable steps to ensure the reliability of any employee, agent or contractor of the Data Processor who may have access to the Personal Data, ensuring in each case that access is strictly limited to those individuals who need to know or access the relevant Personal Data, as strictly necessary for the purposes of the Principal Agreement, and to comply with applicable laws in the context of that individual’s duties to the Data Processor, ensuring that all such individuals are subject to confidentiality undertakings or professional or statutory obligations of confidentiality.

Compa shall take commercially reasonable steps to ensure that any employee, agent, or contractor of Compa, who may have access to the Customer Personal Data, are subject to confidentiality undertakings or statutory obligations of confidentiality, ensuring in each case that access is limited to those individuals who need to know or access the relevant Customer Personal Data, as necessary for the purposes of the Principal Agreement.
DATA PROCESSOR PERSONNEL. 4.1. To the extent permissible under applicable law, the Data Processor shall conduct an appropriate background investigation of all employees or contractors of the Data Processor and who may have access to Personal Data [hereinafter: “Data Processor Personnel”], prior to allowing them such access. If the background investigation reveals that the Data Processor Personnel are not suited to access Personal Data, then Data Processor shall not provide the Data Processor Personnel with access to Personal Data.
4.2. The Data Processor shall ensure that all Data Processor Personnel: (i) has such access only as necessary for the purposes of providing the Data Controller with the Processing Services and complying with Applicable Laws; (ii) is contractually bound to confidentiality requirements no less onerous than this DPA; (iii) is provided with appropriate privacy and security training; (iv) is informed of the confidential nature of Personal Data, and required to keep it confidential; and (v) is aware of the Data Processor 's duties and obligations under this DPA.
DATA PROCESSOR PERSONNEL. 5.1. The Data Processor must make Personal Data available only to those personnel performing Services in accordance with the Agreements.
5.2. The Data Processor must take commercially reasonably steps to ensure the reliability of any personnel engaged in the Processing or Personal Data.
5.3. The Data Processor must ensure that all personnel engaged in the Processing of Personal Data have:
a) been informed of the confidential nature of the Personal Data;
b) received appropriate training on their responsibilities;
c) signed an appropriate confidentiality agreement, are otherwise bound to a duty of confidentiality, or are under an appropriate statutory obligation of confidentiality. The obligation to treat Personal Data pursuant to such confidentiality obligations must survive the termination of the engagement of those personnel.
DATA PROCESSOR PERSONNEL. Use of Customer’s Personal Data by Data Processor will be limited to personnel who require such use to perform Data Processor’s obligations under the Agreement and who are bound by obligations to maintain the confidentiality of such Personal Data.

The Data Processor shall take reasonable steps to ensure the reliability of any employee, agent or contractor of any Subprocessor who may have access to the Personal Data provided by the Company as an Agent of the Data Controller, ensuring in each case that access is strictly limited to those individuals who need to know / access the relevant Personal Data provided by the Company as an Agent of the Data Controller, as strictly necessary for the purposes of the Principal Agreement, and to comply with Applicable Laws in the context of that individual’s duties to the Subprocessor, ensuring that all such individuals are subject to confidentiality undertakings or professional or statutory obligations of confidentiality.
