Delivery, Installation and Acceptance of Equipment. (a) Lessee shall order the Equipment, cause the Equipment to be delivered and installed at the location specified in the Equipment Schedule and pay any and all delivery and installation costs and other Equipment Costs in connection therewith. When the Equipment has been delivered and installed, Lessee shall promptly accept such Equipment and evidence said acceptance by executing and delivering to Lessor an “Acceptance Certificate” in the form attached hereto as Exhibit E.
(b) Lessee shall deliver to Lessor original invoices (and proof of payment of such invoices) and bills of sale (if title to such Equipment has passed to Lessee) relating to each item of Equipment accepted by Lessee.
Delivery, Installation and Acceptance of Equipment. 7.1 The Supplier shall deliver the Equipment on the date specified in the Purchase Order or, if no such date is specified, within 28 days of the date of the Purchase Order. Time is of the essence as to the delivery of the Equipment under the Contract. If any delivery specified in the Purchase Order cannot be met, the University may:
a) cancel the Contract in whole or in part without liability to the University;
b) refuse to accept any subsequent delivery of items comprised in the Equipment which the Supplier attempts to make;
c) purchase substitute items elsewhere; and
d) hold the Supplier accountable for any loss and additional costs incurred.
7.2 The Equipment shall be properly packed and secured in such manner as to enable it to reach its destination in good condition. No charge shall be made for wrapping, packing, cartons, boxes, crating or containers unless specified in the Purchase Order, and the University shall not be responsible for returning any such materials.
7.3 The Equipment shall be delivered by the Supplier carriage free to the place of delivery specified in the Purchase Order, or as otherwise specified by the University by means of advice notes quoting the University's order number. The Equipment shall be received at the place of delivery, subject to the University's inspection and approval. Any Equipment which the University rejects as not conforming with the Purchase Order shall be returned at the Supplier´s risk and expense.
7.4 Unless the University and the Supplier have, before or at the same time as the Purchase Order, agreed in writing (signed on behalf of the University) additional conditions regarding preparation of or environmental requirements at the site at which the Equipment is to be installed, the Supplier acknowledges and agrees that the Equipment is suitable to be installed and used at the premises at which the University intends to use it and that there are no additional conditions regarding site preparation or environmental requirements.
7.5 In relation to installation and acceptance tests:
a) except where Condition 7.5(e) applies, the Supplier shall, without further charge to the University, install the Equipment at the premises at which the University intends to use it and subject the Equipment to its standard installation and acceptance tests;
b) if the Equipment passes those tests, the supplier will issue an acceptance certificate to that effect to the University, but receipt by the University of such an acceptance c...
Delivery, Installation and Acceptance of Equipment. Lessee shall order each Equipment, shall cause the Equipment to be delivered and installed at the locations specified under the applicable Lease Schedule and shall pay all taxes, delivery costs and installation costs, if any, in connection therewith. If the Purchase Price is deposited under an Escrow Agreement for the acquisition of the Equipment, such funds shall be disbursed as provided therein. The insufficiency of proceeds of any Lease to pay all costs of the Equipment subject thereto shall not affect Lessee’s obligations under this Section. When the Equipment described in such Lease Schedule is delivered, installed and accepted, Lessee shall promptly execute and deliver to Lessor an Acceptance Certificate for the Equipment.
Delivery, Installation and Acceptance of Equipment. The Sub-Lessee shall order the Equipment, cause the Equipment to be delivered and installed at the location specified in each Lease and pay any and all delivery and installation costs and other Equipment Costs in connection therewith. When the Equipment listed in any Lease has been delivered and installed, the Sub-Lessee shall immediately accept such Equipment and evidence said acceptance by executing and delivering to the Lessor and the Lessee a Certificate of Acceptance.
Delivery, Installation and Acceptance of Equipment. (a) Lessee shall order the Equipment, cause the Equipment to be delivered and installed at the location specified in the Leases and pay any and all delivery and installation costs and other Equipment Costs in connection therewith (which amounts may be funded from the Acquisition Fund or amounts from the Acquisition Fund will be used to reimburse Lessee for any prior payment from Lessee’s own funds). When the Equipment listed in any Lease has been delivered and installed, Lessee shall promptly accept such Equipment and evidence said acceptance by executing and delivering to Lessor an acceptance certificate in the form attached hereto as Exhibit B.
(b) Lessee shall deliver to Lessor original invoices and bills of sale (if title to such Equipment has passed to Lessee) relating to each item of Equipment accepted by Lessee. With respect to Equipment not purchased through an Acquisition Fund, Lessor shall, upon receipt of an Acceptance Certificate from Lessee, prepare a Schedule of Property and Rental Payment Schedule. Lessee shall execute and deliver such Schedules to Lessor within 5 business days of receipt.

(a) Lessee shall order the Equipment to be acquired and financed hereunder, cause the Equipment to be delivered and installed at the location specified in the Equipment Schedule and pay any and all delivery and installation costs and other Equipment Costs in connection therewith through a Disbursement
(b) Lessee shall deliver to Lessor together with each Disbursement Request original invoices (and proof of payment of such invoices if Xxxxxx seeks reimbursement for prior expenditures) and bills of sale or other evidence of title transfer relating to each item of Equipment accepted by Lessee as evidenced by such Disbursement Request. Once approved, Lessor shall deliver such Disbursement Request to the Escrow Agent for disbursement from the Escrow Account in accordance with the Escrow Agreement.

Lessee shall conduct such inspection and testing of the Equipment as it deems necessary and appropriate in order to determine the Equipment’s capability and functionality in order to accept such Equipment. When the Equipment has been delivered and installed, Lessee shall promptly accept such Equipment and evidence said acceptance by executing and delivering Disbursement Requests to the Escrow Agent pursuant to the Escrow Agreement for the purpose of effecting disbursements from the Escrow Account and the Delivery Costs Account to pay (or reimburse) Equipment Costs or Delivery Costs (as applicable) for the Equipment so acquired and installed. In connection with the execution and delivery by Lessee of the final Disbursement Request, Lessee shall deliver to Lessor an “Acceptance Certificate” in the form attached hereto as Exhibit E.
(b) Lessee shall deliver to Lessor together with each Disbursement Request original invoices (and proof of payment of such invoices if Lessee seeks reimbursement for prior expenditures) and bills of sale or other evidence of title transfer relating to each item of Equipment accepted by Lessee as evidenced by such Disbursement Request. Once approved, Lessor shall deliver such Disbursement Request to the Escrow Agent for disbursement from the Escrow Account in accordance with the Escrow Agreement.

Lessee shall conduct such inspection and testing of the Equipment as it deems necessary and appropriate in order to determine the Equipment’s capability and functionality in order to accept such Equipment. When the Equipment has been delivered and installed, Lessee shall promptly accept such Equipment and evidence said

(a) The Lessee shall order the Equipment, cause the Equipment to be delivered and installed at the location specified in the Lease, and pay any and all delivery and installation costs and other Equipment Costs in connection therewith. When the Equipment listed in any Lease has been delivered and installed, the Lessee shall promptly accept such Equipment and evidence said acceptance by executing and delivering to the Lessor an acceptance certificate in the form attached hereto as Exhibit B (the "Acceptance Certificate").
(b) The Lessee shall deliver to the Lessor original invoices and bills of sale (if title to such Equipment has passed to the Lessee) relating to each item of Equipment accepted by the Lessee. With respect to Equipment not purchased through an Acquisition Fund, the Lessor shall prepare a Schedule of Property and a Rental Payment Schedule which shall be finalized and executed simultaneously with the Lessee’s execution of the Acceptance Certificate.
