Designated Facility. PCC1 and PCC2 Renewable Energy Product under this Confirmation will be generated by and/or attributable to one or more of the facilities (each a “Designated Facility” and collectively, the “Designated Facilities”) listed in Appendix I. Each Designated Facility must be an Eligible Renewable Energy Resource. Seller may add additional Designated Facilities by providing Buyer with an updated Schedule A that includes each such additional Designated Facility, and such updated Schedule A shall thereupon replace the existing Appendix I to this Confirmation; provided, however that Seller must designate an additional Designated Facility prior to the delivery of any Product to Buyer from such additional Designated Facility under this Confirmation.
Designated Facility. Cardinal shall manufacture the Drug Products for the worldwide market in the Facility or an Alternate Facility. Notwithstanding the foregoing, the parties hereto agree that the requirement to validate an Alternate Facility and the allocation of costs and expenses related thereto shall be borne as follows:
(a) Cardinal shall validate an Alternate Facility for fluid bed drying (with capacity reasonably comparable to the capacity for fluid bed drying at the Facility) in accordance with the Specifications as soon as practicable after the effective date of this Agreement. The cost of validating the Alternate Facility for fluid bed drying shall be borne equally by the parties hereto.
(b) Cardinal shall validate an Alternate Facility at which the Drug Products are able to be readily manufactured and packaged in accordance with the Specifications (other than the fluid bed drying pursuant to Section 3.4(a) above):
(i) if Cardinal, on its own accord and for reasons unrelated to business decisions made by Adams, chooses to validate such Alternate Facility, in which caxx Xxrdinal agrees to and shall bear the cost of such validation,
(ii) if the forecasts under Section 4.1 hereof demonstrate additional capacity at the Facility (located in Fort Worth) is required for Cardinal to fulfill its obligations to Adams under this Agreement, or if Adams requires increased production capacity or desires such Alxxxxxte Facility for business reasons determined by Adams in its sole discretion, such that the Facility would not xx xxle to accommodate Adams's requirements or Cardinal's obligations to Adams for the Xxxx Xroducts or for such other business reasons of Xxams, in which case Adams agrees to and shall bear the cost of such validation; or
(iii) if the parties, for reasons other than as provided in clauses (i) and (ii) of this Section 3.4, mutually agree to arrange for Cardinal or a Cardinal Affiliate to validate such Alternate Facility, in which case the parties agree, in good faith, to negotiate the fair allocation of all costs associated with such validation, and
(c) at Adams's sole cost and expense, Adams shall have the right, in its solx xxxxxetion, to validate a facxxxxx of its own at which the Drug Products are able to be readily manufactured and packaged in accordance with the Specifications.
Designated Facility. For the performance of any Services under this Agreement, the Operator shall contact its FMP® PM to obtain confirmation of the Designated Facility. Any work effected or completed without obtaining such confirmation from the FMP® PM shall be at the Operator’s entire expense.
Designated Facility. Xxxxxxxxxx agrees to deliver all Solid Waste collected by the Franchisee pursuant to this Agreement to a County Designated Facility. Xxxxxxxxxx further agrees to pay the commercial tipping fee, established by County Resolution, for all Solid Waste collected pursuant to this Agreement.
Designated Facility. A facility that the local government has authorised to provide quarantine services to those diagnosed with COVID-19.
Designated Facility. Franchisee agrees to deliver all Solid Waste collected by the Franchisee pursuant to this Agreement to a County Designated Facility. Franchisee further agrees to pay the commercial tipping fee, established by County Resolution, for all Solid Waste collected pursuant to this Agreement.
Designated Facility. Subject to Condition 3.1(b), the User is not permitted under this Agreement to use any part of the Common User Facility other than the Designated Facility. In using the Designated Facility, the User must:
(a) make no use of the Designated Facility other than the Permitted Use;
(b) not access any part of the Common User Facility outside the Hours of Permitted Use;
(c) comply with the Port Facilities Security Plan and all other security requirements relating to the Common User Facility, as notified by DevelopmentWA to the User from time to time;
(d) comply with the requirements of the Defence Security Authority (Commonwealth) in relation to the use of the CUF;
(e) not cause any loss or damage to the Common User Facility; and
(f) comply with all Facility Rules as may be revised from time to time.
Designated Facility. Supplier shall access Chordiant’s software only on a Secure Computer System (as defined below) at Supplier’s dedicated physical facility for the Chordiant EDC (the “EDC Site”).
Designated Facility. Consultant generally will perform services in his own facility. The Company may in its discretion provide the Consultant with space to work from time to time, but the Consultant will not have a regularly assigned workspace.
Designated Facility. 1.3.4.1 All Solid Waste , Recyclable Materials and Yard Trash shall be hauled to the Designated Facility or Facilities as directed in writing by the appropriate Manager. It is the intent of the Entities to locate such facilities within Alachua County whenever possible.
