Designated Persons. None of the Borrower, the Broker Subsidiary or any Bank Subsidiary, nor, to the knowledge of the Borrower, any of their respective directors or officers, is a Designated Person. No Borrowing or the use of proceeds thereof by the Borrower or any Subsidiary will, directly or, to the knowledge of the Borrower, indirectly, violate Anti- Corruption Laws or Sanctions.
Designated Persons. During the Term, each party will maintain within its organization a designated person to serve as such party's primary point of contact for day-to-day communications, consultation and decision-making regarding the Services. Each designated person will be responsible for providing all day-to-day consents and approvals on behalf of such party under this Agreement. Each party will ensure its designated person has the requisite organizational authority, skill, experience and other qualifications to perform in such capacity. If either party’s designated person ceases to be employed by such party or such party otherwise wishes to replace its designated person, such party will promptly name a new designated person by written notice to the other party.
Designated Persons. Only those qualified persons authorized by City Manager, shall perform work provided for under this Agreement. It is understood by the parties that clerical and other nonprofessional work may be performed by persons other than those designated.
Designated Persons. A person or entity: (i) listed in the annex to, or otherwise the subject of the provisions of, any executive order administered by OFAC or the U.S. Department of State or (ii) named as a “Specially Designated National and Blocked Person” or a “Foreign Sanctions Evaders” on the most current list published by OFAC at its official website or any replacement website or other replacement official publication of such list; or is otherwise the subject of any Sanctions Laws and Regulations.
Designated Persons. The Designated Persons must meet the following conditions: HSBC Bank USA, N.A. Precious Metals Depository Agreement
i. List must be on company/personal letterhead.
ii. Designated Persons’ names must be typed or printed, then signed by the individuals.
iii. Instructions must be included (i.e. multiple signatures required for withdrawals).
iv. Authorization letter must be signed by an officer of the Depositor. The Depositor must use reasonable efforts to notify the Depository of any changes in the list of Designated Persons immediately.
Section 7.1. The Depositor must provide a listing of individuals authorized to transact business involving materials held by the Depository. This list shall be attached to this Agreement as Schedule 1.
Section 7.2. The Depository shall be entitled to rely upon any notice or other instrument in writing received by the Depository from Designated Persons and reasonably believed by the Depository in good faith to be genuine.
Section 7.3. The Depositor will hold harmless and indemnify the Depository for any transaction made by the Depository upon the instructions whether written or by facsimile transmission of an individual not properly removed by the Depositor from the Designated Persons list.
Designated Persons. None of the proceeds of any Loan will, to the Borrower’s knowledge, be used to finance the activities of or make any payment to a Person or country that is a Designated Person or a Sanctioned Country at the time of such financing or payment.
Designated Persons. As used in this Agreement, the words “Seller’s knowledge” or words of similar import shall be deemed to mean, and shall be limited to, the actual knowledge of Xxxxxx Xxxxxxxxx and Xxxx X. Xxxxxx, with obligation of due inquiry of the Hotel Manager and the general manager of the Hotel as to the accuracy of the representations and warranties of Seller as set forth in this Article IV; provided, however, there shall be no personal liability on the part of such person arising out of any representations or warranties made herein or otherwise.

Designated Persons. Section 7.1. Depositor will deliver to Depository an incumbency certificate setting forth the individuals ( the "Designated Persons " ) authorized to transact business involving materials held by Depository. .
Section 7.2. The Depository shall be entitled to rely upon any notice or other instrument in writing received by the Depository,signed by any two Designated Persons and reasonably believed by the Depository in good faith to be genuine.
Section 7.3. Depositor will hold harmless and indemnify Depository for any transaction made by Depository upon the instructions whether written or by facsimile transmission of Designated Persons as to which Depository has not received timely notice of the termination of their authority previously delivered pursuant to Section 7.1.
